DEED OF DONATION

This DEED OF DONATION, made and entered into by and between:

HERMINIA B. ARTUZ, likewise of legal age, Filipino, single, and a resident of Tanza,
Roxas City, Capiz, Philippines, hereinafter referred to as the DONEE.

WHEREAS, the herein DONOR is a holder of a motor tricycle city franchise duly
issued by the Office of the City Mayor, Tricycle Regulatory Unit, Roxas City, Capiz, and more
particularly described as follows:

Expiry Date : June 27, 2009

WHEREAS, for and in consideration of DONOR’s love and affection to the herein
DONEE, she hereby donates and bequeaths unto the herein DONEE the above-described
motor tricycle franchise, to take effect at the time of the signing of this document.

That the DONEE hereby accept the donation and express her appreciation and
gratefulness for the kindness and generosity of the DONOR.
