ORGANO JV ABSTRACT
ACT
Abstract of Joint Venture agreement between Murugappa Group & Organo Corporation – Japan,
dated 19th August 2015.
Organo Corporation, a Company incorporated and organized under the laws of Japan, and having its
Head Office at 1-28 Shinsuna, Koto-Hu, Tokyo, Japan, which expression shall, unless repugnant to
the context of meaning thereof, be deemed to include its successors and permitted assigns);

repugnant to the context of meaning thereof, be deemed to include its successors and permitted
assigns);
Organo & Polutech are herei after olle ti ely referred to as Parties a d i di idually as Party
1. RECITALS:
(A) Organo is engaged in the business of Water and wastewater treatment
(B) Polutech is presently engaged in the business of water and wastewater treatment in India.
(C) The Parties have agreed to form a Joint Venture between Organo and Murugappa Group in
certain areas of Industrial Water and Wastewater Treatment Systems in India which will be
carried on through the JVC.
2. REGULATORY FILING AND CONDITIONS SUBSEQUENT
The Parties agree that the Na es Murugappa a d Orga o shall o ly e used i the a e of the
JVC based on the approval of the respective Parties as the legal owner of such names under this
agreement. The Parties agree that on the Closing Date or immediately upon Closing, as soon as
pra ti ally possi le, the a e of the JCV shall e ha ged to Murugappa Orga o Water “olutio s
Ltd su je t to re eipt of e essary appro als fro the RoC.
The shareholding pattern of the JVC Shall be as under:

3. BOARD OF DIRECTORS
On and from the closing date, the Board of the JVC will compromise of 4 (four) directors. The
Murugappa Group shall have the right to have 2 (two) nominee directors on the Board (Murugappa
Directors) and Organo shall have the right to have 2 (two) nominee directors on the Board (Organo
Directors)
The Directors shall not be required to hold any qualification shares.

The chairman of the Board (Chairman) shall be appointed from one of the Murugappa Directors,
who shall preside as Chairman of all Board Meetings.
4. BUSINESS PLAN AND ADMINISTRAION, REPRESENTATIVE OF THE MURUGAPPA GROUP
BUSINESS PLAN: Annual Business plan shall be prepared by the Parties having regard to market
practice and developments during the preceding Financial Year and adopted by the Board annually
before the end of preceding Financial Year.
Management Operation: The JVC will be managed and operated in a manner consistent with the
Business Plan.
The Officers of the JVC shall be responsible for the day to day management of the JVC which shall be
carried out in accordance with the Business Plan.
The Chief Operating Officer and the Chief Technical Officer shall be in charge of the day to day
management and operations of the Business. They shall be under the supervision of the Board.
5. BUSINESS AND LICENSE OF TECHNOLOGY
The purpose of JVC is to undertake the Business. It is clarified that any business not falling into
category of industrial plant engineering business and/or water treatment business including but not
limited to, standard equipment, sugar refining, are not included in the Business.
Organo Shall:
a) Provide to the JVC General Technical Support - Refer annexure 1 for details:
b) Grant to the JVC an exclusive license for India to use the Special Technology in the manner
detailed in the Special Technology Agreement
c) Assist JVC in commencing and expanding its business with Japanese companies in India in
respect to its Business.
d) List of Special Technology – Refer – Annexure 2
Murugappa Group Shall:
a) Support the operations of the Business and accordance with the agreed Business Plan and
ensure the overall operation of the JVC in the best interests of all Parties.
b) Contribute its knowledge and experience in dealing with Indian Companies, and impart such
knowledge and experience to the JVC
c) Facilitate and be responsible for the efficient management and administration of the JVC in
the manner detailed in the Corporate Advisory Service Agreement.
6. TERMS AND CONDITION
This agreement shall become effective on the date of its execution and shall remain valid
and binding on the Parties until such time that it is terminated in the accordance with:
Before the Closing, this agreement may be terminated by Organo or the Murugappa Group,
by giving written notice to the other, if:
a) The conditions precedent have not been fulfilled or waived (to the extent legally
permissible by the Party entitled to do so) by the Long Stop Date;
b) The other Party failed to perform or comply with its material obligation(s) under this
Agreement and, if curable, such failure is not cured within thirty (30) Business Days after
c) There shall be in effect a final non-appealable governmental action, suit or proceeding
restraining, prohibiting or materially adversely affecting the consummation of the
transactions contemplated hereby
Annexure 1 : General Technical Support:
1: scope
The detailed scope of the General Technical Support is decided by Organo at its sole
discretion.
2. Manner
2.1: General Technical Support shall be provided in such manners as Organo Considers
appropriate from time to time, including:
a) Providing the JVC with the technical documentation
b) Accepting key engineers of the JVC for the purpose of technical training Sending to the

2.2 Organo shall from time to time, provide the JVC with technical documentation in
English in relation to the Business. The Parties agree that the copyrights to any such
translations or conversations shall, at all times, remain the sole property of Organo.
2.3 Upon written request JVC and subject to acceptance by Organo, Organo shall
accept key engineers of the JVC for the purpose of technical training in relation to the
Busi ess at Orga o’s plant or any other places designated by Organo. The number of
personnel who shall be provided such training and at the time and period of such
training shall be mutually agreed to between the Parties. All travel, living and other
incidental costs pertaining to such personnel shall be borne by the JVC.
2.4 Upon the written request of the JVC and subject to accordance by Organo, Organo
shall send to the JVC, at times and for periods mutually agreed upon by the Parties, one
or ore of Orga o’s e gi eers ea h, a Orga o Perso el to gi e e gi eeri g
assistance and instructions within the scope of the Business. Such written request by the
JVC must be received by Organo at least [one (1)] month prior to the dispatch of any
Organo Personnel, and shall state the purpose, nature of the assistance required, the
number and name(s) of Organo Personnel to be dispatched, duration of the dispatch
and other relevant details.
