Application Process
An application for the Kofax Global Partner Program can be
obtained by e-mailing a request to channel.kfx@kofax.com.
Prospective partner applications will be reviewed and
responded to within 30 business days. Upon acceptance to the
program and following the execution of a Kofax Global Partner
Program Agreement, the corresponding program benefits will
be activated.
* For Authorized Partners selling into customers in specified emerging market countries the standard discount levels for new and renewal support will be amended so that it is the same discount as
applies to licenses. See Exhibit G for the list of countries excluded from the Emerging Market discount. The first year and renewal maintenance discounts only apply when Partners are selling to a

Definition of Terms:
End User: Refers to a business or entity that is licensed to use Kofax. Businesses or entities may be organized into separate business
units, subsidiaries, affiliates or departments, and as such there may be more than one End User within a single business or entity.
Prospect: An End User organization that is a candidate for Kofax solutions and is not currently a Kofax customer or in the Kofax sales
database.
Partner: An organization that is an authorized partner in the Kofax Global partner Program.
Opportunity: When a partner is actively engaged in conversations with a Prospect, where a business need has been identified and
there is interest in a Kofax solution to address that need. An Opportunity is a prospective transaction with an End User.
Lead creation: the process by which a partner enters a prospective opportunity into the Kofax Community Portal. Once the required
information is provided, the Kofax representative can convert the lead to an opportunity thus approving the registration.

If the registered prospect’s request to transact directly with Kofax is made within the last 48 hours of any calendar quarter, then Kofax may accept an order from the prospect
prior to the end of such quarter, subject to giving notice to the registering partner. The registering partner will be entitled to compensation per Section 7(a) if the prospect ac-
knowledges (no later than 10 days after fulfillment) that it would have dealt with the registering partner on the order if asked by the partner, had notice been given as contem-

interest in a Kofax solution to address that need. An Opportunity is a Prospective transaction with an End User.
Partner: An organization authorized by Kofax to resell Kofax software to End Users. Partners typically add value to a Kofax system
and provide integration expertise to End Users.
Prospect: An End User Public Sector entity that is a candidate for Kofax solutions and is not currently a Kofax customer or in the
Kofax sales database. May also refer to a new buying Opportunity within an existing installed base account.
Public Sector: Any United States-based Federal, State, or Local government entity or other agency or educational institution
primarily supported by public funds.

Registration Expiration The registered Opportunity must close within 180 days which is calculated from the date of approval notification. This
expiration date may be extended with the approval of Carahsoft and Kofax management.
Please note that Kofax Express and VRS qualify for the standard Information Capture discounts, however they do not count towards
minimum revenue requirements for tier assignment.
Other countries related to the listing in Exhibit F may also be eligible for non-Emerging Market status. If clarification is
required, please seek guidance from Kofax Sales Support.
