Each order placed by a partner must be accompanied by an

Partner Status Review


Kofax reviews partner status on a semi-annual basis during the
months of January and July. The primary program tier-setting
review is held in January. Partners that attain the requirements
for the next program tier, as applicable, will be notified by the
end of February of each year and new benefits will take effect
within 30 days.

Partners must be in good standing to be eligible for the benefits


of the higher tier. Kofax will perform audits during the semi-
annual status reviews to ensure partners have achieved at least
40 percent of annual tier revenue attainment goals (at mid-
year), all training and certifications meet designated tier
requirements and other tier level requirements have been met.

The annual review will also measure partner on-time


maintenance renewals. Partners found to be consistently
delinquent in their maintenance renewals, defined as less than
a 90 percent on-time performance of renewals, may be subject
to a one-tier reduction in their maintenance renewal discount
at Kofax’s discretion.

Program Agreement, the corresponding program benefits will
be activated.

Annual Partner Tier Review Process


Kofax partner tier levels are reviewed and updated on an
annual basis. Partner tiers are based on annual license
revenue generated in the 12 months prior to tier review.

Opportunity Registration Guidelines
The Kofax Deal Registration Program clearly defines a process for managing and protecting prospect opportunities generated by a
reselling partner. Kofax partners must meet the requirements and follow the guidelines outlined below when submitting a prospect
opportunity or “lead” for registration. The Kofax Deal Registration Program engages the Kofax Field sales organization to co-sell
with the Partner while protecting the Partner against Kofax Field Sales quoting customer directly.

Deal Registration Criteria


Kofax partners that wish to register a lead must meet the following criteria:

Kofax Approval Kofax Sales Team

The registered opportunity must close within 180 days, which is calculated from the date of Kofax’s notification of approval.

Definition of Terms:
End User: Refers to a business or entity that is licensed to use Kofax. Businesses or entities may be organized into separate business
units, subsidiaries, affiliates or departments, and as such there may be more than one End User within a single business or entity.
Prospect: An End User organization that is a candidate for Kofax solutions and is not currently a Kofax customer or in the Kofax sales
database.
Partner: An organization that is an authorized partner in the Kofax Global partner Program.
Opportunity: When a partner is actively engaged in conversations with a Prospect, where a business need has been identified and
there is interest in a Kofax solution to address that need. An Opportunity is a prospective transaction with an End User.
Lead creation: the process by which a partner enters a prospective opportunity into the Kofax Community Portal. Once the required
information is provided, the Kofax representative can convert the lead to an opportunity thus approving the registration.

Terms and Conditions:

1. Opportunity eligibility criteria:


a. The opportunity is not already submitted by another Kofax Partner.
b. The opportunity is not being pursued by the Kofax Sales team.
c. Before the Kofax representative converts a lead to an opportunity, the partner has made significant pre-sales efforts related to the deal, such as meeting with the
decision-makers, qualifying the opportunity, helping the end user to quantify the project budget with Kofax products, and helping the end user to define the project
requirements to include Kofax products. Partners must include a description of such efforts on the Kofax Deal Registration Form.
d. Where there is more than one prospective End User within a single business or entity, protection from a deal registration will relate only to the specific opportunity with a
single End User.
e. The partner enters the opportunity as a lead in the Kofax Partner Community. The Kofax representative will convert to an approved opportunity if the required criteria is met.
2. Each registered deal must represent a single opportunity with a single end user. Partners may not combine opportunities or end user accounts for any purpose.
3. Each deal registration is valid for a single opportunity. After a deal is closed, add-on sales or follow on opportunities with the same end user are not covered under the initial
deal registration.
4. Registration Process:
a. Partner must submit a lead for review via the Kofax Partner Community Portal in the Manage Lead section, all necessary fields MUST be completed before the lead is
converted to an opportunity. The first partner to submit a deal that meets all program criteria will be approved for that end user opportunity.
b. If a deal is approved, Kofax will notify the partner by e-mail. Kofax strives to notify partners of its decision within seven (7) business days.
c. If a deal is declined, the Partner will continue to view the lead in the Portal, but the lead will not be converted to an opportunity.
5. Deal Registration Expiration. A partner must close an approved deal prior to the expiration period of 180 days from approval date. Partners may request one extension per
opportunity. At its discretion, Kofax may extend the approval period if sufficient justification exists.
6. Protection and Exceptions. An opportunty that is approved by Kofax provides the registering partner with protection against Kofax Field sales quoting directly to the
customer for that end-user opportunity subject to the following exceptions, under which Kofax may directly pursue the same opportunity:
a. If the registered end-user requests a quote or bid directly from Kofax or is unable or unwilling to do business with the partner, then Kofax may provide a quotation to such
party (based upon Kofax’s then current Kofax Global Price List less any other special consideration that Kofax and Partner may have previously agreed to for that party),
provided that Kofax will make commercially reasonable efforts thereafter to notify partner of such request. Kofax will also wait 48 hours before accepting and shipping an
order from such registered prospect based upon such quotation. During this period of time, Kofax will permit the registered prospect to cancel such order without penalty
and place the order through the partner.1
b. If the registered prospect has rejected the registering partner’s bid or quote;
c. If the partner does not close the deal within the Registration Expiration period specified above, and no extension has been granted;
d. If the partner does not quote Kofax products or services as identified in its registration form;
e. If the partner becomes inactive or is no longer in good standing within the 180 days from the deal registration approval date; or
f. If the partner does not include the opportunity in regular Kofax forecasting reports or fails to involve Kofax sales in deal activities such as joint sales calls and joint
presentations, unless otherwise agreed to by Kofax.
g. If the partner fails to provide adequate contact and follow up with registered prospects on a regular basis consistent with good business practices or behaves in any man-
ner that is detrimental to Kofax’s business.
h. If the scope of the deal expands beyond the original statement of work or project plan provided by the partner with the initial deal registration (see section 8(b) for
additional details and remedy on this exception).
7. Remedy.
a. In the event that a Kofax sales representative violates the terms of this deal registration program prior to the deal registration expiration date (for example, by pursuing an
approved registered deal where no exception provides for a Kofax direct engagement), then the partner is eligible, as partner’s sole and exclusive remedy, to receive com-
pensation up to the partner’s then current discount percentage of the net value of the software licenses and the first year of maintenance and support received by Kofax.
b. In the event the scope of the deal expands beyond the original size provided by the partner in the initial deal registration whereby the end user wishes to expand the op-
portunity to other business units, subsidiaries, affiliates or departments and requests to work directly with Kofax on this expanded deal, then Kofax will make
commercially reasonable efforts to notify partner of such request. If Kofax does ultimately accept an order from the end user for this expanded opportunity (prior to the
deal registration expiration date) then the partner is eligible for a fee in compensation up to the partner’s then current discount percentage of the net value of software
licenses and the first year of maintenance and support received by Kofax for the portion of the deal that was originally registered by the partner.
c. In the event the end user prospect requests a quote or bid directly from Kofax or is unable or unwilling to do business with the partner, then Kofax may provide a
quotation to such party (based upon Kofax’s then current Kofax Global Price List less any other special consideration that Kofax and Partner may have previously agreed
to for that party), provided that Kofax will make commercially reasonable efforts to notify partner of such request and wait 48 hours before accepting and shipping an
order from the registered prospect based upon such quotation. If Kofax does ultimately accept an order from the end user (prior to the deal registration expiration date)
then the partner is eligible, if approved by Kofax, for a fee in compensation up to the partner’s then current discount percentage of the deal value of software licenses and
the first year of maintenance and support received by Kofax.
8. Participation. Partners must formally submit a prospective opportunity as a lead through the Kofax Partner Community Portal and Kofax must formally accept such registra-
tion by converting the lead to an opportunity in order to be afforded the protection and benefits outline in this document.
9. Disputes. Partners must submit any disputes arising from this deal registration program to channel.kfx@kofax.com, including a written description of all issues and alleged
harm, prior to commencing any legal proceeding or formal dispute-resolution procedure. Any applicable dispute resolution provisions in the Kofax Global Partner Program
Agreement shall apply.
10.Miscellaneous. Approval or rejection of a deal registration submission will be made at the sole discretion of Kofax and will be non-negotiable and final. Kofax does not guar-
antee the success or closure of any registered deal approved under this program. Kofax reserves the rights to modify, supersede, or eliminate all or any of these terms and
conditions or to terminate the program without notice.
11. RFPs and RFQs are not eligible for deal registration unless the registering partner can demonstrate that they were fundamental to the creation of the RFP/RFQ.

If the registered prospect’s request to transact directly with Kofax is made within the last 48 hours of any calendar quarter, then Kofax may accept an order from the prospect
prior to the end of such quarter, subject to giving notice to the registering partner. The registering partner will be entitled to compensation per Section 7(a) if the prospect ac-

Lead Referral Guidelines
The Kofax Lead Referral Program enables a Kofax partner to earn additional revenue by simply referring opportunities to Kofax. This program
provides a fee to partners that submit a referral for Kofax products and services that turn into a successful sale to an end user within 180 days.
The lead referral process is easy, and is an effective way for partners to enjoy a generous reward of 10 percent of the net price of Kofax
products and services. The Kofax Lead Referral Program is ideal for partners that have opportunities for products that are not available to our
channel partners or for services and support that are delivered by Kofax and are complementary to a partner’s own offerings.

Lead Referral Criteria


Kofax partners that wish to refer a lead to Kofax must meet the following criteria:

2. Each lead must represent a single opportunity with a single end user. Partners may not combine opportunities or end user accounts for any purpose.
3. Each lead referral is valid for a single opportunity. After a deal is closed, add-on license or volume sales, support/maintenance renewals, or other follow on opportunities
with the same end user are not covered under the initial lead referral agreement.
4. Lead Referral Submission Process:
a. Partner must complete and submit a signed Referral Agreement and Referral Schedule to the Kofax Sales team.
b. If the lead referral is approved, Kofax will notify the partner and provide a counter-signed referral agreement. Kofax strives to notify partners of its decision within
seven (7) business days.
c. If a lead referral is declined, Kofax will notify the partner by e-mail, and will include the reasons for such decision.
5. Lead Referral Expiration. Kofax must receive a firm order from the referral end user upon which Kofax can close the order and recognize revenue within 180 days after
acceptance of the lead referral.
6. Payment:
a. Lead referral fees are payable to a partner on the following deal components:
i. Kofax Licenses: 10% of the net value received by Kofax up to a maximum fee of $100,000.
b. Payment is conditioned upon receipt of a firm order from the referral end user. Kofax must be able to recognize revenue on this order and the referral end user must
submit full payment to Kofax for this order.
c. Payment of referral fees will be due and payable within forty (45) days following Kofax’s receipt of payment from the Referral End User.
7. Disputes. Partners must submit any disputes arising from this lead referral program to channel.kfx@kofax.com, including a written description of all issues and alleged
harm, prior to commencing any legal proceeding or formal dispute-resolution procedure. Any applicable dispute resolution provisions in the Kofax Global Partner
Program Agreement shall apply.

The Kofax U.S. Public Sector Partner Program clearly defines a process for managing and improving Kofax software prospect
opportunities in the U.S. Public Sector space that are generated or maintained by a reselling partner. Kofax partners must meet the
requirements and follow the guidelines outlined below when submitting a Prospect Opportunity or “deal” for registration and
processing orders.

U.S. Public Sector Partner Program Benefits


• Minimize channel conflict between Kofax sales teams and Kofax partners
• Encourage investment and competition—Kofax partners that invest in significant presale efforts will be able to register deals to
avoid opportunism by other Kofax distribution channels

• Optimize resource allocation—partners improve efficiency by having visibility into opportunities already registered by other partners

Definition of Terms:
End User: Refers to a U.S. Public Sector entity that is licensed to use Kofax software. Entities may be organized into separate units,
branches, divisions or departments and, as such, there may be more than one End User within a single entity.
Opportunity: When a Partner is actively engaged in conversations with a Prospect, where a need has been identified and there is
interest in a Kofax solution to address that need. An Opportunity is a Prospective transaction with an End User.
Partner: An organization authorized by Kofax to resell Kofax software to End Users. Partners typically add value to a Kofax system
and provide integration expertise to End Users.
Prospect: An End User Public Sector entity that is a candidate for Kofax solutions and is not currently a Kofax customer or in the
Kofax sales database. May also refer to a new buying Opportunity within an existing installed base account.
Public Sector: Any United States-based Federal, State, or Local government entity or other agency or educational institution
primarily supported by public funds.

Terms and Conditions:
1. All transactions including software licenses, first- year maintenance and maintenance renewals for Public Sector customers must be transacted through Carahsoft unless specifically
approved in writing by Kofax.
2. All requests for U.S. Public Sector quotations will be directed to Carahsoft and Carahsoft will create and deliver quotes to authorized resellers.
3. Carahsoft is the sole GSA Schedule 70 holder for Kofax software. Access to Carahsoft’s GSA Schedule 70 will only be provided on registered opportunities and to the Partner who regis-
tered the Opportunity.
4. Carahsoft will impose a 4% U.S. Public Sector Fee on all quotations, registered opportunities and orders.
5. Authorized Kofax Partners with approved deal registrations will receive the net discounts based on their current Kofax Partner program tier level less the 4% Public Sector Fee to Carah-
soft as stated in the Public Sector Program Guide posted on the partner portal.
• Platinum– 36% for licenses. 36% for 1st year and renewal maintenance
• Gold– 26% for licenses. 26% for 1st year and renewal maintenance
• Associate– 21% for licenses. 21% for 1st year and renewal maintenance
Authorized Partners requesting a quotation on an Opportunity that is registered with another Partner will be eligible for a 5% net discount on quotations for licenses or for 1st year mainte-

7. Authorized Partners may receive quotes and place orders on non-registered opportunities at the discounts listed in #5 above.
8. Professional Services will be quoted at a 10% discount.
9. The partner of record for an end-user opportunity shall be deemed the registered partner for a maintenance renewal opportunity. As such, maintenance renewal opportunities are auto-
matically registered to the partner of record. The partner of record can receive quotes on their registered maintenance renewal opportunities at the discounts listed in #5 above. For part-
ners that are not the partner of record for a maintenance renewal, those partners can receive quotes on registered maintenance renewal opportunities at the discounts listed in #6 above.
8. Opportunity eligibility criteria:
a. The Opportunity must be with a Public Sector entity.
b. The Opportunity is not a current End User that is working with another Partner or with Kofax directly
c. The Opportunity is not registered by another Kofax Partner.
d. The Opportunity is not being pursued by the Kofax Sales team.
e. On occasion, registered Partners or Kofax may work cooperatively with another Partner. The terms of that engagement will be negotiated on a case-by-case basis.
f. Before registering a deal, the Partner has made significant presales efforts related to the deal, such as meeting with the decision-makers, qualifying the Opportunity, helping the End
User to quantify the project budget with Kofax products, helping the End User to define the project requirements to include Kofax products and
delivering demonstrations or proofs of concept. Partners must include a description of such efforts on the Kofax Public Sector Deal Registration Form.
g. Where there is more than one Prospective End User within a single business or entity, protection from a deal registration will relate only to the specific Opportunity with a single End
User.
h. Opportunities sourced from bid boards are not eligible for Deal Registration.
i. Opportunities originating from RFP/RFQ scenarios may be rejected unless there is adequate justification to show the Partner influenced the Opportunity and/or added value in the
RFP process.
9. Each registered deal must represent a single Opportunity with a single End User. Partners may not combine opportunities or End User accounts for any purpose.
10. Each deal registration is valid for a single Opportunity. After a deal is closed, add-on sales or follow on opportunities with the same End User are not covered under the initial deal registra-
tion.
11. In the event two opportunities are submitted and later are found to be the same Opportunity, the registration will go to the Partner who registered the Opportunity first, as long as ad-
equate justification and evidence of value-add is provided.
12. Registration Process:
a. Partner must submit Opportunity for review via the Kofax Public Sector Deal Registration Form. The first Partner to submit a deal that meets all program criteria will be approved for
that End User Opportunity. Carahsoft will deliver software quotations for all approved opportunities.
i. Deal Registration forms shall be submitted to Carahsoft at the following website: http://www.carahsoft.com/dealreg/
b. If a deal is approved, Carahsoft will notify the Partner by e-mail. Carahsoft strives to notify Partners of its decision within seven (7) business days.
c. If a deal is declined, Carahsoft will notify the Partner by e-mail, and will include the reasons for such decision.
13. Registration Expiration. A Partner must close an approved deal prior to the expiration period of 180 days from approval date. Partners may request one extension per
Opportunity. With Kofax review and approval, Carahsoft may extend the approval period if sufficient justification exists.
14. Exclusivity and Exceptions. A deal that is approved by Carahsoft provides the registering Partner with exclusivity from Kofax Sales team efforts for that End User
Opportunity, subject to the following exceptions, under which Kofax may directly pursue the same Opportunity:
a. If the registered Prospect requests a quote or bid directly from Kofax or is unable or unwilling to do business with the Partner, then Kofax may provide a quotation to such party (based upon Kofax’s
then current Kofax Global Price List less any other special consideration that Kofax and Partner may have previously agreed to for that party), provided that Kofax will make commercially reason-
able efforts thereafter to notify Partner of such request. Kofax will also wait 48 hours before accepting and shipping an order from such registered Prospect based upon such quotation. During this
period of time, Kofax will permit the registered Prospect to cancel such order without penalty and place the order through the Partner.
b. If the registered Prospect has rejected the registering Partner’s bid or quote;
c. If the Partner does not close the deal within the Registration Expiration period specified above, and no extension has been granted;
d. If the Partner does not quote Kofax products or services as identified in its registration form;
e. If the Partner represents competing products;
f. If the Partner becomes inactive or is no longer in good standing within the 180 days from the deal registration approval date;
g. If the Partner does not include the Opportunity in regular Carahsoft/ Kofax forecasting reports or fails to involve Kofax sales in deal activities such as joint sales calls and joint presenta-
tions, unless otherwise agreed to by Kofax;
h. If the Partner fails to provide adequate contact and follow up with registered Prospects on a regular basis consistent with good business practices or behaves in any manner that is
detrimental to Kofax’s business;

then current discount percentage of the net value of the software licenses and the first year of maintenance and support received by Kofax.
b. In the event the scope of the deal expands beyond the original size provided by the Partner in the initial deal registration whereby the End User wishes to expand the Opportunity to
other business units, subsidiaries, affiliates or departments and requests to work directly with Kofax on this expanded deal, then Kofax will make commercially reasonable efforts to no-
tify Partner of such request. If Kofax does ultimately accept an order from the End User for this expanded Opportunity (prior to the deal registration expiration date) then the Partner
is eligible for a fee in compensation up to 15% of the net value of software licenses and the first year of maintenance and support received by Kofax for the portion of the deal that was
originally registered by the Partner.
16. Disputes. Partners must submit any disputes arising from this deal registration program to Kofax@carahsoft.com, including a written description of all issues and alleged harm, prior to
commencing any legal proceeding or formal dispute-resolution procedure. Any applicable dispute resolution provisions in the Kofax Global Partner Program Agreement shall apply.
17. Approval or rejection of a deal registration submission will be made at the sole discretion of Carahsoft and Kofax and will be non-negotiable and final. Kofax reserves the rights to modify,
supersede, or eliminate all or any of these terms and conditions or to terminate the program without notice.
18. Any reseller found to violate these terms, or “free riding” on the significant presales efforts of other resellers, can and may be suspended from the Deal Registration program.
19. Kofax may request review and approval on any registered opportunities. Any requests for deal registration with a value in excess of $100,000 must also be approved by Kofax.
