That I, RAUL C. VILLANUEVA, Filipino of legal age, married, as Corporate

Secretary of SECDEA MANAGEMENT & DEVELOPMENT CORP. with Principal Office
address at Duratrak Compound, Bajada, Davao City Philippines, after being duly sworn
according to law, hereby depose and say;

In its recent special meeting held on January 8, 2013 the Board of Directors
passed and approved the following resolutions:

“RESOLVED, AS IT IS HEREBY RESOLVED, that the Corporation shall

acquire of a parcels of land, without improvements, registered in the name of co-owners
Benjamin Santos and Emelyn Ibabao, identified as Lot 3-L, covered by TCT No. T-
242045, with an area of 1,596 Square Meters, more or less, registered in the name of
Benjamin Santos, identified as Lot 3-W, covered by TCT No. T-242056, with an area of
2,582 Square Meters, more or less, identified as Lot 3-V, covered by TCT No. T-242055,
with an area of 2,583 Square Meters, more or less, identified as Lot 3-U, covered by TCT
No. T-242054, with an area of 2,583 Square Meters, more or less, identified as Lot 3-T,
covered by TCT No. T-242053, with an area of 2,582 Square Meters, more or less,
identified as Lot 3-S, covered by TCT No. T-242052, with an area of 2,582 Square
Meters, more or less, identified as Lot 3-R, covered by TCT No. T-242051, with an area
of 2,582 Square Meters, more or less, registered in the name of Emelyn Ibabao,
identified as Lot 3-M, covered by TCT No. T-242046, with an area of 2,582 Square
Meters, more or less, identified as Lot 3-N, covered by TCT No. T-242047, with an area
of 2,582 Square Meters, more or less, identified as Lot 3-O, covered by TCT No. T-
242048, with an area of 2,582 Square Meters, more or less, identified as Lot 3-P,
covered by TCT No. T-242049, with an area of 2,583 Square Meters, more or less,
identified as Lot 3-Q, covered by TCT No. T-242050, with an area of 2,581 Square
Meters, more or less, all situated at San Isidro, Babak, Island Garden City of Samal,
Davao del Norte, Philippines, all of Psd-11-101214, registered in the name of Clarito E.
Guadalquiver, identified as Lot B-1, covered by TCT No. C-15594, with an area of 18,471
Square Meters, more or less, identified as Lot B-2, covered by TCT No. C-15595, with an
area of 15,000 Square Meters, more or less, both situated at San Isidro, Babak, Davao del
Norte, Philippines, all Psd-11-061193;

“RESOLVED, FURTHER, that the President, SAMUEL G. AFDAL, is hereby

authorized to negotiate the registered owners on the best and reasonable terms and
conditions for the acquisition of those parcels of land, and to sign, execute and deliver
the Deed of Absolute Sale and any and all other deeds, documents, and other written
instruments necessary to put into effect and implement the foregoing acts.

“RESOLVED, FINALLY, to authorize the Secretary to operate the necessary

certification and for which the public is expected to rely upon until further notified of its
amendment, nullification or revocation.”

The above-mentioned resolutions have not been changed, revoked, amended or

modified as of this even date.
