3. CONTRACT

PARTICIPATION CONTRACT

That they subscribe, on the one hand, Mr. ADAM SALVATIERRA, in his capacity as Executive Director of the Exhibition Fair
"international fair in Los Angeles, USA." And, on the other hand, the lady on behalf of the Company "SUPERMERCADO CENTRO DE
TODOS" with legal address at Calle 93B # 13 - 47 of the city of NEIVA-HUILA; document that, if necessary, prior recognition of
signatures and rubrics, will have effects on public instrument wales, subject to the following stipulations:

First.- The company SUPERMERCADO CENTRO DE todo, under the direction of its legal representative, Mrs. Katerine riveros, is
empowered by the entity of commerce, through Resolution No. 1004156871 dated 06/12/96 issued by its Board of Directors, to carry to
effect the realization of the exhibition called the international fair of the USA at the facilities of ANGELES located at 85C # 16-20,
between (January 1, 2019) and (January 5, 2019), that is, during 5 DAYS of calendar runs.

Second.- With the consequent authorization of Mr. ADAM SALVATIERRA), under a temporary lease contract for the aforementioned
purpose, in the clause of this contract and with the full powers and attributions that correspond to the company of los angeles , this
through of its legal representative, CEDE and AWARDED IN CONCEPT OF TEMPORARY LOCATION during the indicated period of 5
days of exhibition, STAND (1) in the room that is located in the first level of said facilities, with a total useful area of 5 meters square,
bound for the exhibition of the following materials (table, chairs, shelves) to be exposed in the area for trade or the heading of
construction machinery 2 square meters of free surface on the outside environment (front) (side ) of the built facilities, marked with the
Number 20.

Third.- The price of lease of the area indicated in the preceding clause and for the agreed time, is for the sum of $ 500,000 per square
meter, value that the leasing company undertakes to cancel in the following manner:
a) To the signing of this contract, fifty percent (50%) of the total amount corresponding to the leased area or the sum of 250,000. THE
EXECUTING UNIT will issue a provisional receipt for the payment made.

b) The balance, that is, the sum of 250,000 corresponding to the remaining fifty percent (50%), the lessee undertakes to cancel until
January 5, 2019 of this year, as the maximum period agreed upon by mutual agreement between both parties. extending the
corresponding invoice in this instance .

Fourth.- Failure of the second payment in a concerted date between the contracting parties, will lead to the termination of this contract,
being the automatic default as of right by the simple lapse of time, without the need for mediation notes of any kind between the
contracting parties, making the local company liable to lose all rights to the return of the amount paid (50%) and leaving the Executing
Unit of the Exhibition Fair free to dispose of the space rented in the way that best suits you.

Fifth.- It is expressly agreed that the location of the stand or rented space that is the subject of this contract is not transferable by the
tenant (or lessee company).

Sixth.- The leasing company "SUPERMERCADO CENTRO DE TODOS" declares to know the scope of all the clauses of
this temporary lease contract ral, as well as declares to know the REGULATIONS to which the exhibition "DE LOS ANGELES USA"
exhibition will be subject, which is part of this contract, and undertakes to observe strict compliance with the standards prescribed
therein.

Seventh.- For its part, the Executing Unit of the Exhibition Fair of the international fair of Los Angeles USA responsible for the
preparation, promotion, dissemination and execution of the event, is committed to give faithful and strict compliance to the conditions,
prescriptions and standards indicated in this contract and its respective regulations; dispositions to which the exhibition fair will be
subjected.

Eighth.- We: (ADAM SALVATIERRA), in legal representation of the Executing Unit of the Exhibition "INTERNATIONAL OF LOS
ANGELES" on the one hand, and the SUPERMARKET COMPANY CENTER OF ALL, in its quality of tenant, represented by THE
HEIDER ALEXANDER ERAZON JAMAUCA, on the other hand, we express our full agreement with the clauses signed in this contract,
signing it in record, in the city of of los angeles USA on the 5th day of the month of January 2019.

CONTRATO DE PARTICIPACION

Que suscriben, por una parte, el señor ADAM SALVATIERRA, en su calidad de Director Ejecutivo de la Feria Exposición
“feria internacional en Los Ángeles, USA.” y, por otra, la señora en representación de la Empresa “SUPERMERCADO
CENTRO DE TODOS” con domicilio legal en la Calle 93B # 13 – 47 de la ciudad de NEIVA-HUILA; documento que, en caso
necesario, previo reconocimiento de firmas y rúbricas, tendrá efectos legales de instrumento público, con sujeción a las
siguientes estipulaciones:

Primera.- La empresa SUPERMERCADO CENTRO DE TODO, bajo la dirección de su representante legal, señora Katerine
riveros , se encuentra facultada por la entidad del comercio, mediante Resolución N°1004156871 de fecha 12/06/96
expedida por su Directorio, para llevar a efecto la realización de la feria exposición denominada feria internacional de los
USA en las instalaciones de los ANGELES situado en la calle 85C#16-20, entre ( 1 DE ENERO DEL 2019) y (5 DE ENERO
DEL 2019), o sea durante 5 DIAS de corridos calendario.

Segunda.- Con la consiguiente autorización del señor ADAM SALVATIERRA), conforme a contrato de arrendamiento
temporal para la expresada finalidad, en la cláusula del presente contrato y con las plenas facultades y atribuciones que le
corresponde a la empresa de los angeles, ésta por intermedio de su representante legal, CEDE y ADJUDICA EN CONCEPTO
DE LOCACION TEMPORAL durante el período señalado de 5 días de exposición, STAND (1) en la sala que se encuentra
ubicado en el primer nivel de dichas instalaciones, con una superficie útil total de 5 metros cuadrados, con destino a la
exposición de los siguientes materiales (mesa, sillas, estantes) a ser expuestos en el Area destinada al comercio o para el
rubro de maquinaria de construcción 2 metros cuadrados de superficie libre en el entorno exterior (frontal) (lateral) de las
instalaciones edificadas, marcadas con los Número 20.
Tercera.- El precio de locación de la superficie señalada en la cláusula precedente y por el tiempo convenido, es por la
suma de $ 500.000 por metro cuadrado, valor que la empresa locataria se compromete a cancelar de a siguiente manera:

a) A la suscripción del presente contrato, un cincuenta por ciento (50%) del monto total correspondiente a la superficie
rentada o sea la suma de 250.000 . LA UNIDAD EJECUTORA extenderá un recibo provisional por concepto del pago
efectuado.

b) El saldo, o sea la suma de 250.000 correspondiente al cincuenta por ciento (50%) restante, el locatario se compromete
a cancelar hasta fecha 5 de enero del 2019 del presente año, como plazo máximo convenido de mutuo acuerdo entre
ambas partes. extendiéndose en esta instancia el correspondiente factura.

Cuarta.- El incumplimiento del segundo pago en a fecha concertada entre las partes contratantes, dará lugar a la rescisión
de este contrato, siendo la mora automática de pleno derecho por el simple transcurso del tiempo, sin necesidad de que
medien notas de comunicación de ninguna clase entre las partes contratantes, haciéndose pasible la empresa locataria a
perder todo derecho a la devolución del importe abonado (50%) y dejando en libertad a la Unidad Ejecutora de la Feria
Exposición a disponer del espacio rentado en la forma que mejor le convenga.

Quinta.- Queda expresamente convenido que la locación del stand o espacio alquilado motivo de este contrato, es
intransferible por parte del locatario (o empresa locataria).

Sexta.- La empresa locataria “SUPERMERCADO CENTRO DE TODOS” declara conocer los alcances de todas las cláusulas del
presente contrato de locación temporal, así como también declara conocer el REGLAMENTO al que se sujetará la realización
de la feria exposición “DE LOS ANGELES USA” el mismo que forma parte de este contrato, y se compromete a observar el
estricto cumplimiento de las normas prescritas en él.

Séptima.- Por su parte, la Unidad Ejecutora de la Feria Exposición de la feria internacional de los angeles USA responsable de
la preparación, promoción, difusión y ejecución del señalado evento, se compromete a dar fiel y estricto cumplimiento a las
condiciones, prescripciones y normas señaladas en el presente contrato y su respectivo reglamento; disposiciones a las que
se sujetará la feria exposición.

Octava.- Nosotros: (ADAM SALVATIERRA) , en representación legal de la Unidad Ejecutora de la Feria Exposición
“INTERNACIONAL DE LOS ANGELES ” por una parte, y la Empresa SUPERMERCADO CENTRO DE TODOS , en su calidad de
locataria, representada por LA SEÑORA KATERINE RIVEROS RODRIGUEZ, por otra, expresamos nuestra plena conformidad
con las cláusulas suscritas en el presente contrato, suscribiéndolo en constancia, en la ciudad de de los angeles USA a los 5
días del mes de enero del 2019.
