Course Description
There are two parts of governance in this course: corporate and government. The corporate governance
deals with the relationships among the many stakeholders involved and the goals for which the corporation
is governed. Principal stakeholders are the shareholders, management and the board of directors. Other
stakeholders include employees, suppliers, customers, banks and other lenders, regulators, the environment
and the community at large. Therefore, topics to be covered include board structure, roles and responsibility
of directors, board activities, the performance roles, the conformance roles, governance in public
companies, governance in family companies, and governance in non profit organization. The topic of
governance in the governmental unit will be specifically covered in the part of government governance
focusing on state financial control. The international dimensions will be included in discussion of each
topic due to the fact that international group (as customer, investor or others) is one component of the
stakeholders.
The lectures provide information on key concepts and their inter-relations supported by tutorials to
promote discussion and provide guidance to develop further understanding. An important feature is the
integration of learning and assessment via student group presentations. Independent study will be based
on recommended reading material.

-Understanding and apply the principles of good corporate governance to governing and monitoring
organizational process (including governmental unit).
There are five major objectives for this course. This course will
1. introduce students to some basic concepts and theories in the field of corporate governance and state
financial control
2. provide opportunities for students to practice principles of good corporate governance skills through
real world case analyses;
3. offer opportunities for students to develop both oral and written communication abilities; and
4. provide knowledge and skills for students to conduct effective organizational research.
Grading Policy
A student’s final grade (A, B, C, D, and E) will be based on the weighted average of the following SIX
categories: Individual Class Participation, Quizzes, Reading Article Discussion, Individual Case
Analysis, Group Case Discussion, Group project and presentation, and Exam, each of which will be
evaluated in the form of an expanded letter grade (A, B, C, D, E).

All students are expected to attend classes and be prepared for an oral test for review of the chapter (based
on random call on) and actively involved in the discussions during the lecture time. This part of the
evaluation will be based on his/her attendance (sign-in sheet and instructor observations) and overall
participation throughout the whole semester. Generally, a student can get an A level grade in this category
if he/she has few or no absence, is mostly on time, and participates actively on a regular basis in class
discussions.
Each student in group will be assigned to be one of the discussion leaders for a reading article for a
certain week as listed in the schedule part of the syllabus. In addition to leading discussions in front of the
class, each individual discussion leader will need to submit to the instructor, a two to three page (double
spaced) review of the reading at the time of the discussion. Coordination in leading discussions among
multiple discussion leaders is permitted and encouraged.
The quality of each student's discussion will be evaluated in the following questions:
- Does the student demonstrate a basic understanding of the assigned reading?
- Does the student use the readings as a base to develop new ideas or insights?
- Does the student apply theories and concepts learned from the course?
- Can the student formulate appropriate critiques of the readings and defend his/her position in
discussion with other class members?
Each student will conduct a two to three page (double spaced) case analysis for a designated case. There
is no fixed format for the case analysis but it generally should address the following issues:
- What are the key internal and external problems or challenges faced by the organization?
- What are the core strengths and weaknesses possessed by the organization?
- What are the main strategies used by the organization?
- What are the issues of corporate governance faced by the organization?
- What corporate governance concepts and theories can you apply?
- What critical recommendations can you come up with for the future development of the organization?
To ensure a good quality, each group is strongly urged to start the preparation process at least two weeks
prior to the designated group case discussion date.

Students will form into groups (3 students per group) and prepare a major written paper. Each group will
choose an Indonesian industry to examine. You will analyze the Indonesian companies conditions using
the tools we study in class Additionally, you will examine the points as discussed point 3 above.
Reports should be approximately 15 pages long, double-spaced, plus exhibits. They will be due the last
day of class (the first part).
6. Exam (20%)
There will be a mid-term and final as outlined in the grading structure. The tests will be a review
of concept we discussed in the class. The tests will cover text book information, possible outside
readings given in class, along with classroom discussions.
