CONTRACT OF SUB-LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF SUB-LEASE made and executed by and between:

_______________________, a corporation duly organized and existing under Philippine laws, with
office address at ________________________________, herein represented by its
_______________________________, ______________________ hereinafter referred to as the SUB-LESSOR.;

and

_____________________________________, Filipino, of legal age, married to _________________________,


with postal address at _______________________________________________, Philippines, herein referred to as
the SUB-LESSEE;

WITNESSETH:

WHEREAS, the SUB-LESSOR is the LESSEE of a commercial space located at


_________________________________________________________.

WHEREAS, the SUB-LESSEE wishes to sub-lease a space with an area of (____) square meters in
the above-mentioned location for a period of ______ (___) year commencing on ______________________ and
ending on ______________________.

WHEREAS the SUB-LESSOR with the consent of the LESSOR has agreed to sub-lease the afore-
mentioned space to the SUB-LESSEE for a period of one ______ (___) year;

NOW THEREFORE, for and in consideration of the above premises and agreements between the
parties herein, the SUB-LESSOR hereby sub-leases unto the SUB-LESSEE the above-mentioned space
subject to the following terms and conditions:

a. That the rental rate starting on _____________________________ shall be PESOS


______________________ (P____________), net of all government taxes. The SUB-LESSOR shall
issue an Official or Acknowledgment Receipt upon payment to acknowledge such payment;

b. That the SUB-LESSEE shall post a security deposit equivalent to _______ (___) month/s
rental payable upon signing of this contract, such deposit being refundable to the SUB-
LESSEE within ten (10) days after the end of the sub-lease period upon settlement by the
SUB-LESSEE of all obligations to the SUB-LESSOR for utilities and other obligations related
to the use of the SUB-LESSEE of the rented space;

c. That the SUB-LESSEE shall pay the SUB-LESSOR upon signing of this contract, advance
rental equivalent to _______ (___) month/s rent to be applied to the first to third months of
the sub-lease;

d. That the SUB-LESSEE may put leasehold improvements on the leased space provided, that
upon termination of the lease, all permanent improvements introduced into the leased space
which cannot be improved without seriously damaging the leased property shall become
property of the SUB-LESSOR, but the SUB-LESSEE shall have the option to restore the space
to its original condition, ordinary wear and tear excepted;

e. That the SUB-LESSOR shall refrain from leasing any of its commercial spaces to any
person/entity engaged in competition with the SUB-LESSEE’s line of business, without the
prior written approval of the SUB-LESSEE.

f. That the SUB-LESSEE shall secure the necessary permits and licenses from the proper
government offices to undertake a business in the said location;

g. That the SUB-LESSEE shall keep the property clean and sanitary at all times and shall not
use the afore-mentioned space for any illegal and immoral purposes;

h. That the SUB-LESSEE shall have the right to terminate this contract for any cause upon
fifteen (15) days prior written notice to the SUB-LESSOR. In such an event, SUB-LESSEE
shall be entitled to the return of the security deposit and any unused rentals;

i. That all utilities such as electricity, water, telephones to be used and installed in said space
shall be for the account of the SUB-LESSEE and all installation and connection costs shall be
for the account of the SUB-LESSEE;

j. That the SUB-LESSEE shall secure sufficient and comprehensive insurance coverage,
inclusive of third party liability, to insure his business and his assets;

k. That the SUB-LESSEE shall not store any flammable materials and elements in the space
being sub-leased and shall provide sufficient fire-fighting equipment (e.g. fire extinguisher) for
emergency use;

l. A breach by either party of the obligations, representations, and warranties under this
contract shall entitle the aggrieved party to terminate this contract.

m. This supersedes all existing contracts covering this space.

n. The SUB-LESSOR warrants and represents that the consent of the LESSOR for this sub-lease
has been obtained prior to the execution of this Agreement. A breach of this warranty shall
entitle the SUB-LESSEE to an amount not less than Ten thousand pesos (P 10,000.00) as
damages, without prejudice to any other legal remedies available to the SUB-LESSEE.

o. In the event that any party is constrained to file suit for the interpretation or enforcement of
the terms of this Contract, or otherwise arising out of or incidental of this Contract, the
parties agree that the exclusive venue for any such litigation shall be the proper courts of
Makati City, to the exclusion of other courts.
