SECURITY MANAGEMENT SERVICE AGREEMENT

This contract for Consultancy Services entered into by and between

___________________ with address at ____________________hereinafter referred to as the
“First Party” and ____________________, with address at
_____________________hereinafter referred to as the “Consultant”.

WITNESSETH:

WHEREAS, the First Party requires the services of a Consultant to handle highly
technical and confidential matters of the Office of First Party for which the Consultant has
offered her services and the First Party has accepted her offer;

WHEREAS, CONSULTANT, has been adjudged by the First Party to have the best
qualifications appropriate for the needed tasks and services;

NOW, THEREFORE, in the interest of service, the service of the Consultant is

hereby engaged subject to the following terms and conditions, to wit:

1. TERM - This Contract shall be for a period of One (1) year only commencing
on ___________ to ____________. However, the First Party shall have the exclusive
option to terminate this contract at any time during its term upon at least five (5) days
prior notice if, in the assessment of the First Party, the Consultant has failed to
satisfactorily render and perform their services herein stipulated;

2. COMPENSATION - For her services, the Consultant shall receive a

monthly professional fee of ________________ Pesos (Php ______________),
exclusive of applicable taxes, due on the 30th day of every month served and is subject to
submission of monthly accomplishment report;

3. PLACE OF SERVICE - The Consultant shall be under the direct supervision

and control of the First Party and to be regarded as a highly technical and confidential
position;

4. DUTIES - The Consultant shall render and perform the following services:

h. Perform other tasks that may be assigned by the First Party.

 5. Nothing in this Agreement shall be taken to establish an employee – employer
relationship between the Parties. For this purpose, the Consultant hereby holds the First
Party free and harmless from any and all liability arising under labor laws;

6. The Consultant agrees to attend and handle matters conscientiously and with
best care, skill and ability, and shall at all times work to protect the interest of the First
Party; and

7. In no case shall the Consultant assist or take part in any court/administrative

action/s against the First Party within one (1) year after the termination of this Contract.
