FAO LICENSE TO SERVICE PROVIDER

FAO hereby grants to the Service Provider a non-exclusive, royalty-free license to use, publish, translate
and distribute, privately or publicly, any item or part of the outputs produced under this Agreement for
non-commercial purposes.

o) To comply with disclosure requirements and enhance transparency, the Parties may release
and/or publish the following information about this Agreement: (i) the name and nationality of the
Parties; (ii) a brief description and location of the Services provided; and (ii) the amount of this
Agreement. The Parties specifically consent to the release and/or publication of such information. The
Parties will not release or publish information that could reasonably be considered confidential or
proprietary.

B&M Gates Foundation

1) License to Foundation. You grant the Foundation a perpetual, irrevocable, nonexclusive,


worldwide
royalty-free, fully paid up, and sub-licensable license to use Project IP to (i) conduct research,
develop, modify, make and have made products or processes embodying Project IP worldwide
for (ii) the use, modification, sale, offer for sale, importation, or distribution of products or
processes within the Territory for the Foundation’s charitable purposes. The sole purpose of the
license granted to the Foundation is to ensure that Global Access is achieved. During the
implementation of the Project, you may demonstrate to the satisfaction of the Foundation that
Global Access can best be achieved without the Foundation’s exercise of such a license (or
through the exercise of a license of different scope). In such a case, the Foundation and you
agree to make good faith efforts to modify or terminate this license, as appropriate. Any such
modification or termination will be at the discretion and approval of the Foundation.

“Territory” means Low-income economies and Lower-middle-income economies


according to the World Bank classification.

“Project IP” means rights you hold in intellectual property (or applications therefore),
whether registered or not, granted in any jurisdiction, including (but not limited to)
copyright and related rights, database rights, patents, and trade secrets or confidential
information that arise during work performed as part of this Grant. This includes work
done in the current phase of the Grant and in earlier phases of this or a related grant by
the Foundation.

GLOBAL TRUST FUND

Any and all Intellectual Property Rights created on the Project shall be jointly owned by the
Project Parties and acknowledged as such in relevant Intellectual Property Rights notices. Each
Project Party shall have a royalty-free irrevocable worldwide licence to copy, use, distribute,
transmit and display the subject matter of the Intellectual Property Rights publicly and to make
and distribute derivative works in any digital medium for any responsible purpose subject to
proper attribution of authorship with the right to sublicence the Intellectual Property Rights to the
public on equivalent terms.
