DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED is entered into and executed by SUSAN P. MAMHOT, of legal age, Filipino,
single, and a resident of barangay Poblacion, Ayungon, Negros Oriental, hereinafter called the
VENDOR, in favor of,

E,LISA C. TROCIO, also of legal age, Filipino, married Ireneo Trocio, and resident of
barangay the Municipality of Tayasan, Negros Oriental, hereinafter referred to as the VENDEE;

WITNESSETH:

That the VENDOR herein is a the registered owner of a certain parcel of land known as
Lot No. 3-B of the subdivision plan (LRC) Psd-156681, being a portion of Lot N o. 3, Pcs-3417,
LRC Cad. Rec. No. 152, situated in the Barrio Looc, Dumaguete City, Negros Oriental,
consisting of ONE HUNDRED FIFTY FOUR (154) square meters, more or less; covered by
Transfer Certificate of Title No. 35968, and which parcel of land is more particularly described
as follows, to wit:

“A parcel of land (Lot No. 3-B of the subdivision plan (LRC) Psd-156681, being a portion of
Lot No. 3, Psd-3417, LRC Cad. Rec. 152), situated in the barrio of Looc, Dumaguete City,
Province of Negros Oriental. Bounded on the North East, points 4-1 by Lot 3-C; on the South
East, points 1-2 by Lot 3-A; on the South West, points 2-3 by Lot 2; and on the North West,
points 3-4 by Lot 3-D; containing an area of ONE HUNDRED FIFTY FOUR (154) square
meters, more or less;
WITNESSETH FURTHER:

That for and in consideration of the sum of THREE MILLION PESOS (Php
3,000,000.00), Philippine Currency, Vendor herein does hereby SELL, TRANSFER, and
CONVEY unto the vendee, her heirs and assigns, all vendor’s rights, interests and participations
over the above-described parcel of land, known as Lot No. 3-B, consisting of One Hundred
Fidfty Four (154) square meters, more or less, including all kinds of improvements found
therein, like the house; free from all liens and encumbrances, under the following terms and
conditions:

1. That the VENDEE will pay the VENDOR herein the amount of FIVE HUNDRED
THOUSAND PESOS (Php 500,000.00) upon the signing of this contract;

2. That the amount of ONE MILLION PESOS (Php1,000,000.00) shall be paid by the
vendee within EIGHTEEN (18) months from the date of the execution of this contract;

3. That the balance of ONE MILLION FIVE HUNDRED THOUSAND PESOS (Php
1,500,000.00) shall be paid by the Vendee within the next EIGHTEEN (18) months after
the aforementioned One Million is fully paid.

4. That the vendee shall immediately occupy the house and Lot, subject matter of this
contract, however, the vendee shall pay the rental of TEN THOUSAND PESOS
(Php10,000.00) monthly until the ONE MILLION PESOS (Php1,000,000.00), mentioned
in Number two (2) of this deed is fully paid;

5. That the Deed of Absolute Sale will be executed the moment the whole consideration of
this contract is fully paid by the Vendee.

6. That the VENDEE shall pay all the expenses in the titling of this parcel, of land in her
name and capital gain tax;

7. That any violation of the terms and conditions of this contract shall rescind the same.

That the vendor herein declare that this land is not covered by the Comprehensive
Agrarian Reform Law because it is a residential land; and that due notice has been given to all
persons affected by this transaction in compliance with the provisions of the New Civil Code of
the Philippines, pertaining to the rights of the redemptioner and preemptioner, but nobody opted
to exercise the said rights; and the vendor warrants her title and ownership over the said parcel
of land and will defend the rights of the vendee against any adverse claim whatsoever.

IN WITNESS WHEREOF, we have hereunto affixed our signatures this ___day of July
2009, at Tayasan, Negros Oriental.

BEFORE ME, this ____day of July 2014, at Tayasan, Negros Oriental, personally
appeared the Vendor, Susan P. Mamhot, who exhibited to me her Community Tax Certificate
Number 23672564, issued on March 2, 2014 at Dumaguete City, Negros Oriental; known to me
to be the same person who executed the foregoing deed, consisting of two pages, including this
page of acknowledgement and all pages were duly signed by the her together with her two
instrumental witnesses and that she acknowledged to me that the same is her free act and
voluntary deed.

Dear Sir:

I would like to remind you of your obligations or contract of labor with MRS. DE LAS
ARMAS of Divinagracia Street, Poblacion, Sibulan, Negros Oriental, as shown in the herein
attached document which is marked as ANNEX “A’ hereof and which is self explanatory. We
have already paid you the amount of not less than < EIGHTY THOUSAND PESOS
(Php80,000.00) and you have not make good of this contract.

May we advised you to do good of this contract of work within THIRTY (30) days from
today so that we can completely pay you of the remaining balance, otherwise we will be
constrained to ventilate this matter to the Court of Law, in order to enforce our rights under the
prevailing circumstances.
