SECRETARY’S CERTIFICATE

I, MARITES S. BOMEDIANO, of legal age, Filipino, and a resident of Blk.

13 Lot 11 Phase 4 Ponte Verde de Santo Tomas, Santo Tomas Batangas, after having
been sworn in accordance with law, hereby depose and state, THAT:

1. I am the duly appointed Secretary of the Home Owners Association Phase

4 Ponte Verde de Santo Tomas (“HOA P4”), an association duly
constituted and existing under the laws of the Philippines with office
address within Phase 4 Ponte Verde de Santo Tomas.

2. I certify that the Board of Directors of the HOA P4, in a Special Meeting
held on June 1, 2019, for which a quorum existed, the following resolutions
were approved and adopted by the vote of majority of the directors present,
to wit:

“RESOLVED, that Home Owners Association Phase 4

Ponte Verde de Santo Tomas, be, as it is hereby authorized to cause
the closure of the broken fence located at the road end of Ponte Verde East
Drive Phase 4, Barangay Santiago by re-building and/or construction
of portion of the concrete wall/fence.

“RESOLVED FURTHER, that Home Owners Association

Phase 4 Ponte Verde de Santo Tomas be, as it is hereby authorized
to cause the necessary reparation and construction of
damaged/destroyed concrete wall fence covering the vicinity of
Phase 4.

RESOLVED FURTHER, that Home Owners Association

Phase 4 Ponte Verde de Santo Tomas be, as it is hereby authorized
to cause public notice and/or advisory of the fence closure and
access of Ponte Verde East Drive Phase 4, Barangay Santiago to the
public effective upon the start of the re-building/construction of
the concrete wall by the Developer, St. Francis.
 RESOLVED FURTHER, that such notice to the public
shall be made through posting in contiguous area of the Barangay
Hall of Barangay Santiago, and to the site intended to be enclosed.

“RESOLVED FINALLY that for purposes of the foregoing

matter, the association, through its Board of Directors, hereby
designates Ronald Adlawan, of legal age, married, and a resident
of Blk. 14 Lot 5, Phase 4 Ponte Verde de Santo Tomas, Santo
Tomas, Batangas, to be its authorized representative to act for and
on its behalf, with full authority to sign, obtain, execute, deliver,
file and process any and all documentary requirements necessary
for the above-mentioned purposes.
