CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and entered into by and between:

GORGONIA FEVIDAL, of legal age, Filipino, single and a resident of

Sampaguita, Tacloban City, hereinafter referred to as the SELLER, and SUSAN S. SHI,
of legal age, Filipino, married, with residence at Sampaguita, Tacloban City, hereinafter
referred to as the BUYER,

WITNESSETH: That—

The SELLER is the registered owner of a parcel of land situated in Sampaguita,

Sagcahan, Tacloban City covered by Transfer Certificate of Title No. T-3704 of the
Register of Deeds of Tacloban City, containing 400 sq.m. more or less.

NOW THEREFORE, premises considered, the SELLER hereby agrees to sell

and dispose the above-described property unto and in favor of the BUYER for the
consideration of ONE MILLION FOUR HUNDRED THOUSAND PESOS
(P1,400,000.00) and the BUYER agrees to buy said property by paying the
downpayment of P500,000.00 upon execution of this instrument, and the remaining
balance of P900,000.00 not later than JANUARY 15, 2012, on which date it is also
agreed that the SELLER shall vacate the premises; simultaneous with the payment of
the remaining balance, the SELLER shall execute the corresponding Deed of Absolute
Sale in favor of BUYER, it being understood further that the BUYER shall shoulder all
necessary costs for the transfer of title. To be complied by parties in good faith.

IN WITNESS WHEREOF, the parties hereto have hereunto affixed their

signatures this 31 August 2011 at Tacloban City.
