C ontract of Lease

KNOWN ALL MEN BY THESE PRESENTS:

This Contract of Lease is made and entered into by and between:

ALVIN RIVERAL PERILLO, of legal age, Filipino,


married, a resident of 72 L. Tudtud St., Mabolo, Cebu
City, Cebu, Philippines (hereinafter referred to as the
“LESSOR”);
-and-

JOHN RAY E. PACHECO, Filipino, of legal age, a


resident of resident of 0619 Sitio Anagan, Barangay
Apas, Cebu City, (hereinafter referred to as the
“LESSEE”), represented by his Attorney-In-Fact,
RALPH ALI E. PACHECO, of legal age, Filipino,
married, a resident of resident of 0619 Sitio Anagan,
Barangay Apas, Cebu City, pursuant to a Special
Power of Attorney hereto attached as ANNEX “A”

W I T N E S S E T H:

That the LESSOR shall grant and the LESSEE shall accept a lease of
a portion of a residential property, containing an area of more or
less 75 square meters (sqm.) located at 72 L. Tudtud St., Mabolo,
Cebu City, subject to the following terms and conditions:

I.
BASIC STIPULATIONS

LESSEE : JOHN RAY E. PACHECO


LEASED AREA (Approx.) & : A portion of a residential property, Edades Condominium,
LOCATION La Guardia, Lahug, Cebu City, Cebu, Philippines

USE OF LEASED PREMISES : The LESSOR hereby agrees that the LESSEE shall be
allowed to operate or use the Leased premises for engaging
in the business of a water refilling station under the name
of “Aquajuan Water Refilling Station” and for any other
purpose, upon prior verbal or written consent from the
LESSOR.

FIXED MONTHLY RENTAL : P/10,000.00 payable on every 15th day of each month for
the duration of the lease.

PERIOD, COMMENCEMENT : This lease shall be for a period of two (2) years
& RENEWAL commencing on July 15, 2019 until July 14, 2021 (hereinafter
Lease period”) and renewable prior to the termination of
the Lease Contract.

SECURITY DEPOSIT : PHILIPPINE CHURRENCY: TWENTY THOUSAND


PESOS P/20,000.00 or equivalent to two (2) months rental,
payable on July 15, 2019, and refundable upon proof that
all rentals, charges, and utilities, have been fully paid.
Subject to automatic forfeiture.

ADVANCE RENTAL : PHILIPPINE CHURRENCY: TEN THOUSAND PESOS


(P/10,000.00) or equivalent to one (1) month rental, payable
on July 15, 2019, which shall be applied on the first month
of lease.

SUB-LEASE OR TRANSFER : The LESSEE shall have no right to sublease, assign, or

OF LEASE transfer this lease or its rights to any third person.

INDEMNITY : The LESSEE assumes all risks and liabilities with respect to
the use, operation, management and maintenance of the
Leased premises and all appurtenant facilities and utilities
originating therein.

UTILITY BILLS : The LESSEE assumes payment of the water bills, electrical
bills, telephone bills, and other utility connections during
the term of the lease contract, including any lease
extensions thereof, if any, on the Leased premises. In the
event that the LESSEE fails to pay her utility bills at the
termination of the Contract of Lease, the LESSOR shall be
authorized to deduct from the Security Deposit, the
amounts due for payment of the utilities.

IMPROVEMENTS AND/OR : The LESSEE shall not make any changes, alterations, or
ALTERATIONS improvements in the Leased Premises without the prior
verbal or written consent from the LESSOR.

II.
TERMS AND CONDITIONS OF THE LEASE

1. Term: This Contract of Lease is for a term of one (2) years, beginning on
July 15, 2019 and expiring on July 14, 2021. The LESSEE shall have the
option to exercise the option to renew the Contract, as may be finally
agreed upon by the parties, prior to the termination of the lease.

2. Rental: The monthly rental shall be TEN THOUSAND PESOS


(P/10,000.00) Philippine Currency. Payment for the Leased Premises shall
be made before the 15th day of each month, covering the period of the
lease. In the fulfillment of all obligations due hereunder, involving the
payment of money, including but not limited to the obligations involving
rentals, taxes, and charges for utilities, the LESSEE is hereby given a grace
period of thirty (30) days from demand within which to effect payment of
the required amount before the lessor may exercise its right to recover
against the LESSEE and/or terminate this Contract.

3. In case the LESSEE fails to pay the accrued rentals and charges for the
utilities during the period of the Lease, the LESSOR shall be entitled to
padlock the premises, and retain possession of personal properties and
effects owned by the LESSEE and contained within the leased premises.

4. Advance Rental: The LESSEE shall pay an advance rental equivalent to the
sum of TEN THOUSAND PESOS (Php 10,000.00) payable on July 14,
2019. The said advance rental shall be applied or deducted from the 1st
month’s rental covering the period of July 15, 2019 until July 14, 2019.

5. Deposit: The LESSEE shall deposit with the LESSOR the sum of TWENTY
THOUSAND PESOS (Php 20,000.00) payable on July 15, 2019, which
shall be returned upon the termination of this agreement and upon the
surrender by the LESSEE of all the keys to the leased premises, subject to
deduction for unpaid rentals, electricity or water bills unpaid, damages on
the premises, and other conveniences which may have accrued either due
to the LESSOR or due to others which the latter may hold the former liable
as a requirement for reconnection.

6. Premises Use and Prohibition: The LESSOR hereby expressly agrees and
allows that the Leased premises shall be used by the LESSEE for engaging
in the business of a water refilling station. It is the understanding of the
parties hereto that the Leased Premises may be used for any other
purpose, upon prior written consent and approval of the LESSOR. It is

moreover the understanding of the parties hereto that the LESSEE shall
not use the leased promises owned by the LESSOR for any illegal trade of
any form and such other illegal acts punishable by law or rules and
regulations enforced by the government authorities.

7. Warranties: The LESSEE declares that the premises to him hereby leased
are in good and tenantable condition and that he agrees to keep and
maintain the same in such good and tenantable condition, subject to
normal wear and tear, and further agrees that any damage to the leased
premises due to the carelessness or negligence of said LESSEE, his agents
or other persons under or subject to his control who may have gained
access to the leased premises, shall be paid for promptly by the said
LESSEE in accordance with the LESSOR’S reasonable, and fair estimate of
the cost of repairing such damage.

8. Loss, Damage & Injuries: The LESSOR shall not be liable for loss of and/or
damages to goods and property in, upon or about the leased premises or
for injuries to persons in, and/or about the said premises for any cause
whatsoever, including the act of occupancy or enjoyment of said premises
by the LESSEE or by third persons who may have gained access to the
leased premises, and the LESSEE agrees to hold the LESSOR harmless
from any and all responsibility on account of any such loss and/or
damages to goods and property; or any such injuries to persons.

9. Sanitation: The LESSEE promises to keep the leased premises in clean and
sanitary condition for the better maintenance of the leased premises;

10. Delivery of Premises Possession: The LESSEE, at the expiration of the term of
the lease or cancellation of this lease as herein provided, will promptly
deliver the said premises to the LESSOR in as good and tenantable
condition, in all respects, as the same now are, reasonable wear and tear
expected, devoid of all occupants, furniture, articles, and effects of any
kind.

11. Authority Representation: Each of the parties hereto represents and


warrants that they have full power and authority to enter into and
perform their obligations under this Contract. All necessary actions,
consents, and approvals for the execution of this Contract has been taken
and/or obtained.

12. Prior Agreement: This Contract of Lease supersedes and renders void any
and all deposits, agreements, and understandings, oral and/or written,
previously entered into between parties, covering the property herein
leased, and this contract may not hereafter be modified or altered except
by instrument in writing duly signed by the parties hereto;

13. Venue: It is hereby expressly agreed by the parties that the venue of any
court action/litigation by virtue of non-payment of the agreed rentals or
any other breach/violation of the terms and conditions of the Contract
shall be exclusively filed at the City of Cebu.
