1. Why did Geokinetics (“GOK”) file for chapter 11?


GOK has been exploring strategic alternatives for several months. Throughout the process, it became clear
that the most efficient way to preserve value was to conduct a sale of substantially all assets in conjunction
with a chapter 11 proceeding. Therefore, GOK commenced chapter 11 proceedings and intends to proceed
with a sale of its assets to SAE Exploration, Inc. This provides a quicker, and cleaner transaction to ensure
that we have a successful path to the future.
2. What is SAE’s business?
SAExploration Holdings, Inc. is an international geophysical services company offering a full range of
seismic data acquisition services in North America, South America and Southeast Asia to international oil
companies. SAE specializes in providing seismic data acquisition services in geographically complex
environments, and its services include the acquisition of 2D, 3D, time-lapse 4D and multi-component seismic
data on land, in transition zones and in shallow water, as well as seismic data field processing.
3. How does the GOK filing impact suppliers? Will I be paid for goods and services delivered to GOK
after the chapter 11 filing?
GOK has obtained an agreement for Debtor-In-Possession financing that will allow for it to meet post-petition
obligations in the normal course of business. GOK will pay suppliers in the normal course of business for
goods and services delivered on or after its [June 26, 2018], filing. With respect to pre-petition obligations,
the automatic stay of the Bankruptcy Code prohibits GOK from paying any pre-petition obligations without
express permission from the Court.
4. What determines the difference between a pre-petition and post-petition invoice?
The payment of claims arising before the petition date and after the petition date will be determined in
accordance with the Bankruptcy Code.
5. Will there be a critical vendor motion?
GOK has filed a motion that seeks permission to pay certain claims of essential suppliers and other
counterparties. This motion contains a form for suppliers to complete and submit for consideration as a
critical vendor.
6. Will suppliers have the same contact at GOK?
GOK anticipates minimal changes to points of contact. However, if any instances arise, they will reach out to
suppliers with that information as soon as possible.
7. Who is the Notice & Claims Agent in the chapter 11 case and how can I access the legal filings?

8. Where was the Company’s chapter 11 case filed?
The case has been filed in the United States Bankruptcy Court, Southern District of Texas in Houston, which
is in the same city as the Company’s corporate headquarters.
9. How long will this chapter 11 proceeding take? And what happens in the meantime?
GOK intends to complete this process as efficiently and quickly as possible. In the meantime, GOK will
continue to operate its business as usual in many respects. GOK has filed a series of motions with the Court
requesting approval to continue paying dealer incentives, warranty reimbursements, and other expenses in the
ordinary course of business. It is anticipated these motions will be granted without delay so that there is
minimal disruption in GOK’s normal operations.
