Dear Sir,
Please refer to your letter dated May 03, 2018 requesting for credit facility from our Bank. We are pleased to inform that
upon recommendation of Branch Credit Committee and subsequent recommendation of the Head Office Credit Review
Committee, the Board of Directors of the Bank, has approved the following facilities on the debt structure, terms and
conditions as under:
1. Debt Structure

Nature of Credit Facility : Overdraft
Amount : Tk.25.00 Lac only
Purpose : To meet up working capital requirement of your business and its expansion.
Rate of Interest : 12.50% p.a. or as may be fixed by head office from time to time
Interest Service : Interest will be charged and realized on quarterly rest or upon expiry whichever is

Allowing disbursement to the extent of Tk.20.00 lac by issuing pay order to Jamuna Bank Ltd., Tongi Branch, Gazipur to buy
off outstanding liability with them under the approved overdraft limit of Tk.20.00 lac pending mortgage formalities of the
collateral securities to be mortgaged with us within 07 (seven) days time from the date of first disbursement.

Waiver of insurance coverage for theft & burglary, flood & cyclone through undertaking. However you will execute
insurance against fire & RSD hazard.
Note : After taking over the loans of you from Jamuna Bank Ltd. Tongi Branch the above mentioned properties will be
mortgaged against the approved Overdraft and approved Home loan facilities with us.

iv. You must ensure the authenticity of all documents of the mortgage property.
v. In case of enhancement of facility registered mortgaged / charge to be created covering the enhanced facility as per the
laws of land.
vi. A sign board must be kept displayed on the above mentioned property mentioning that the property has been
mortgaged with Southeast Bank Limited, Tongi Branch and it will be ensured that the mortgagor(s) is the sole
owner of the property.
vii. Letter of disclaimer from the landlord of the premise regarding control, possession, take over and removal of
machinery and other movable assets of the company by the Bank at any time is to be provided.
viii. No Objection Certificate (NOC) from you and the landlord to the effect that Bank’s officials shall have free access into
the factory for visit and supervision at any time is to be provided.
ix. You must provide the copy of the last settlement Jarip or a copy of field Porcha if the settlement Jarip is not completed.
x. You must confirm that the property schedules are in conformity with the property documents and if any variance is
found, the same shall be intimated immediately to our branch.
xi. Any building structure and / or other construction works have already been constructed or to be constructed on the
offered collateral property must be in accordance with the structure and specification approved by the competent
government authority like RAJUK, PWD etc. / competent authority.
xii. If approval from any government authority like RAJUK, PWD etc. / competent authority is required for completion
of the registered mortgage formalities of the offered collateral property in favor of the Bank, you must obtain such
NOC from the competent authority prior to completion of the mortgage formalities.
xiii. The hypothecated items will remain insured 10% above the funded liability at your cost covering the risk of Fire &
RSD, Theft & Burglary, Flood & Cyclone with bank mortgage clause. If you are unwilling to take insurance covering
Theft & Burglary , undertaking to be provided to the effect that in case of Theft & Burglary you will bear all the losses.
xiv. You have to submit the monthly statement of hypothecated stocks to the Bank and properly maintain stock card.
xv. Branch will conduct surprise stock verification at least 04 (four) times in a year.
xvi. You have to pay Duty / Sales Tax, VAT if any, and other charges from the own sources and will provide undertaking to
that effect.
xvii. You have to route all your business transaction through our branch.
xviii. You have to execute all charge documents and security documents as may be asked by the branch from time to time in
a legally enforceable manner and to the satisfaction of the branch.
xix. You have to provide an undertaking to the effect that you shall keep necessary funds / arrangements in your account
with the Bank on which the cheques are drawn to honor the same.
xx. For irregular and overdue situation in the account the Bank may, at its discretion, apply penal interest.
xxi. You must keep the bank informed of any change in your official and residential address.
xxii. Bank reserves the right to set off between accounts.
xxiii. In the event of default Bank reserves the right to take any action to realize it’s dues along with up to date interest
including circulation of debt claim to the other lending institutions, Bangladesh Bank or any other regulatory bodies as
well as for information to General Public through Print / Electronic media with or without the photograph of you and
the guarantor(s).
xxiv. You shall furnish any information that Southeast Bank Limited, Tongi Branch may request from time to time
and allow the officials of Southeast Bank Limited to visit / inspect the shop / godown.
xxv. You will explicitly undertake that all information supplied to the Bank in connection with the approved credit lines is
correct.
xxvi. If any adverse CIB report is found during the tenure of the loan you must rectify the same immediately. In case of
failure to rectify the same bank may call back the facility(ies) or withhold the drawings in the loan accounts.
xxvii. Any material or adverse change in business condition will cause the amount due to the Bank from you
immediately repayable.
xxviii. You have to provide acceptance, if agreeable, thereof within 15 (fifteen) days from the date of issuance of this
sanction advice to the branch, failing which the facility shall stand as cancelled.

xxix. The Bank retains the right to call back / suspend /cancel any of the facility / all the facilities in part or full at any time
with or without any reason whatsoever. In case of such suspension / cancellation the total amount due shall be repaid
by you immediately along with up to date interest, failing which a penal interest @ 0.50% or higher as may be decided
by the bank shall be applicable.
xxx. The sanction is not applicable and stands as cancelled if any of the directors of Southeast Bank Limited, as per
meaning of Bank Company Act 1991 and its subsequent amendments, has any direct or indirect interest in the business
under consideration.
xxxi. The acceptance of the sanction shall constitute your required acceptance authorization / declaration / undertaking to
different requirements under the sanction which includes but not limited to:
a) Southeast Bank Limited to act and take necessary steps to ensure the cause of the sanction.
b) Southeast Bank Limited is authorized to debit the account as may be warranted from time to time.
c) To abide by the terms and conditions imposed / to be imposed by Southeast Bank Limited from time to time.
xxxii. The facilities made available to you are subject to any conditions or limitations specified, from time to time, by the
Bangladesh Bank and / or any other regulatory authority. You must agree to be bound by all regulations issued, from
time to time, by the Bangladesh Bank and / or any other regulatory authority.
xxxiii. All other terms and conditions for such type of financing shall be applicable.
xxxiv. You have to bear all legal and other expenses relating to the disbursement of facilities as well as maintaining of such
facilities till those are fully liquidated including interest.
xxxv. Effective and constant supervision and follow-up should be maintained to ensure timely repayment of advances and it
should also be taken care of that the loan does not become overdue under any circumstances.
xxxvi. You shall have to submit an application for renewal of the facilities together with required papers including financial
statements and cash flow statements to the branch at least three (03) months before expiry for facilitating the branch
for credit appraisal and obtaining Head Office approval.
xxxvii. In each renewal / enhancement / rescheduling a fresh set of charge documents and personal guarantee of the you /
mortgagor(s) and guarantor(s) is to be provided.
xxxviii. Branch will not allow the facility before completion of all the required documentation formalities as per approved
security arrangement.
