This AGREEMENT made and entered into this ___ day of __________ 2019, in
Brgy. San Isidro, Taysan, Batangas, by and between:

We, AURORA T. RAMOS, widow, of legal age, Filipino- American citizen, with
residence address at Jordan St., Base View Subd., Banay- Banay, Lipa City, Batangas,
Philippines for herself and as Attorney in Fact of ARISTOTLE T. RAMOS, married to
Maria A. Bolado, PONCIANO T. RAMOS JR, married to Maria Elisa T. Ramos, DIGNA
GLENDA T. RAMOS, single, and VICTORIA RAQUEL T. RAMOS, married Larry B.
Mallari, all of legal ages, American citizens with residence address at Jordan St., Base
View Subd., Banay- Banay, Lipa City, Batangas, Philippines and 20134 Leadwell St., #112
Winettka, CA 91306 and 4445 Parkway, Sacramento CA 95823, by virtue of a Special
Power of Attorney duly executed.

WITNESSETH, that:

WHEREAS, we are the sole heirs of the deceased PONCIANO RAMOS SR., who
died on February 24, 2016 in Los Angeles CA, USA, copy of his death certificate is hereto
attached as Annex A:

WHEREAS, PONCIANO RAMOS SR. died intestate, without Will or Testament,

and without any outstanding debts in favor of any person or entity;

WHEREAS, the said decedent is the absolute and registered owner of three parcels
of land located at Brgy, San Isidro, Taysan, Batangas described as follows:

 WHEREAS, the parties hereto being of legal ages and with full civil capacity to
contract, hereby by these presents agree to settle as they settle the intestate estate of
decedent PONCIANO RAMOS SR.

WHEREAS, pursuant to Rule 74, Sec. 1 of the Revised Rules of Court of the
Philippines and being with full capacity to contract, we do hereby adjudicate unto
ourselves the parcels of land described above in equal shares.

FURTHER, FOR AND IN CONSIDERATION of the sum of THREE MILLLION

SIXTEEN THOUSAND SEVEN HUNDRED SIXTY-FIVE PESOS (3, 016, 765.00)
Philippine Currency, the receipt whereof is hereby acknowledged in full sum from MR.
RODOLFO G. MENDOZA, of legal age, Filipino and with residence address at Brgy.
Simlong, Batangas City, we do hereby SELL, TRANSFER CONVEY AND DELIVER by
way of ABSOLUTE SALE unto said MR. RODOLFO G. MENDOZA, his assigns and
successors in interest the properties above described with all the improvements existing
thereon;

That we hereby warrant our valid title to and peaceful possession of the property
herein sold and conveyed and further declares that the same is free and clear of all liens
and encumbrances of any kind whatsoever.

That these lands are not tenanted and does not come within the operation of the
Land Reform Code and allied Presidential Decree and Circular of the Department of
Agrarian Reform.

That all provisions of Article 1621- 1623 of the New Civil Code of the Philippines
have been complied with and that this document shall be registered under Republic Act
496.

IN WITNESS WHEREOF, we hereunto set our hand on the ____ day of ________,

covered by KATUNAYAN NG ORIHINAL NA TITULO Blg. P-38306, P-38308 and P-
38309.
