ACKNOWLEDGEMENT
WITNESS MY HAND AND SEAL, on the date and place first above

2. TERM: This term of lease is for ONE (1) YEAR. from January 25, 2010 to
January 24, 2010 inclusive. Upon its expiration, this lease may be renewed
under such terms and conditions as my be mutually agreed upon by both
parties, written notice of intention to renew the lease shall be served to the
LESSOR not later than seven (7) days prior to the expiry date of the period
herein agreed upon.
3. RENTAL RATE: The monthly rental rate for the leased premises shall be
in PESOS: FIVE THOUSAND PESOS (P 5,000.00), Philippine Currency. All
rental payments shall be payable to the LESSOR.
4. DEPOSIT: That the LESSEE shall deposit to the LESSOR upon signing
of this contract and prior to move-in an amount equivalent to the rent for
THREE (3) MONTHS or the sum of PESOS: FIFTEEN THOUSAND PESOS
(P 15,000.00), Philippine Currency. wherein the two (2) months deposit shall
be applied as rent for the 11th and 12th months and the remaining one (1)
month deposit shall answer partially for damages and any other obligations,
for utilities such as Water, Electricity, CATV, Telephone, Association Dues or
resulting from violation(s) of any of the provision of this contract.
7. PUBLIC UTILITIES: The LESSEE shall pay for its telephone, electric,
cable TV, water, Internet, association dues and other public services and
utilities during the duration of the lease.
11. JUDICIAL RELIEF: Should any one of the parties herein be compelled
to seek judicial relief against the other, the losing party shall pay an amount of
One Hundred (100) % of the amount clamed in the complaint as attorney's
fees which shall in no case be less than P50,000.00 pesos in addition to other
cost and damages which the said party may be entitled to under the law.
12. This CONTRACT OF LEASE shall be valid and binding between the
parties, their successors-in-interest and assigns.

ACKNOWLEDGMENT

WITNESSETH; That
1. Lease Agreement – These terms and conditions for a Motor Vehicle Lease
(MVOL) already embodies all terms and conditions for the lease commencing
at 7:00AM of 24 January 2010 and ending at 7:00 PM of January 23, 2010;
4. Repair and Maintenance – The LESSEE is solely responsible for the repair
and maintenance of the service vehicle and complete check up which shall be
performed every 5,000 kilometres’ or every three months whichever comes
first. In an unlikely event of damage, a suitable replacement vehicle shall be
provided by the LESSOR.
7. Billing – The LESSOR will provide the LESSEE with detailed invoice every
15 days of lease with supporting documents (driver’s trip report, vehicle trip
tickets and overtime slip duly signed by concerned Account Manager/s.
8. Contract Extension – Upon the expiry date of the initial contract both
parties may agree to the term of this contract or either parties notifies the
other in writing fifteen (15) days before the required termination date subject
to the same terms and conditions as at the expiry.
9. Early Termination – In the event that the LESSEE wishes to return the
vehicle prior to the agreed termination date, the LESSOR shall advise the
LESSEE fifteen (15) days prior to termination date.
10. Fuel – The vehicle is supplied with full tank of gasoline and is refilled at
the LESSEES expense upon return or else it will be charged to the LESSEES
based on the fuel gauge reading during vehicle pull-out.
11. Vehicle and Driver’s Fee – The monthly Driver’s fee is already included in
the monthly lease rate of Nine Thousand Pesos (P 9,000). The overtime rate
of extra day in excess of twenty two (22) days per month is Eight Hundred
Sixty Pesos (P860.00). The overtime rate of extra hour in excess of nine (9)
hours is Ninety Five Pesos (95).Eight Hundred Sixty Pesos (P 860.00) per
day will be deducted from the monthly lease rate on days that the vehicle /
driver failed to report for tripping, or when the account manager advised of no
tripping one day prior.
12. Both parties acknowledge that the LESSOR’s billing will be subject to the
withholding tax requirement per applicable laws, rules and regulations,
withholding shall be effected and remitted directly by the LESSEE the BIR.
13. This agreement embodies the entire agreement of the parties on the
matter, and supersedes all previous communications or representations
whether oral or written between the parties.
14. The LESSOR shall be accountable and responsible for the acts or
omissions of all the accounting staff deployed with the LESSEE. Accordingly,
the LESSOR shall hold the LESSEE free and harmless from any and all
claims or liability in connection such acts or omissions and shall fully
indemnify the LESSES for such claims or liability. In no event shall the
LESSOR’s liability exceed the fees it receives under this Agreement. The
LESSOR and its personnel shall not be held liable due to its reliance to
information or data provided by the LESSEE.
15. The LESSOR shall be fully responsible for any damages or loss incurred
on the vehicle.
16. Both parties shall be liable for any delays or failures to perform due to
causes beyond its control.
17. Both parties agree that overtime works by the LESSOR shall be allowed
as per the request of the LESSEE.
18. This arrangement contract sets forth the complete agreement between
the parties and super cedes all previous discussions and communications
relating to the subject matter of this arrangement.

ACKNOWLEDGMENT
CHATTEL MORTGAGE
-AND-
WITNESSETH; That:
That the MORTGAGOR is indebted unto the MORTGAGEE in the sum
of Two Hundred Thousand Pesos (Php 200,000.00), Philippine Currency,
receipt of which is acknowledged by the MORTGAGOR upon the signing of
this instrument, payable within a period of two (2) years, with interest thereon
at the rate of (18) % per annum;
That for, and consideration of , this indebtedness, and to assure the
performance of said obligation to pay, the MORTGAGOR hereby conveys
by way of CHATTEL MORTGAGE unto the MORTGAGEE, his heirs
and assigns, the following personality now in the possession of said
MORTGAGOR;

The MORTGAGOR is indebted unto the MORTGAGEE in the sum of
Two Million Pesos (P2,000,000.00), Philippine Currency, receipt of which is
acknowledged by the MORTGAGOR upon the signing of this instrument,
payable to the order of the MORGAGEE without need of prior demand or
notice within a period of One (1) year at ONE HUNDRED SEVENTY
THOUSAND PESOS (Php 170,000.00) monthly starting on February 25,
2010 and on every month thereafter until fully paid, with interest thereon at
the rate of EIGHTEEN (18%) percent per (annum).
NOW, THEREFORE, for and consideration of the afore-mentioned
indebtedness, and to assure the performance of said obligation to pay, the
MORTGAGOR does hereby convey and DELIVER by way of MORTGAGE
unto the MORTGAGEE, (his/her) heirs, successors and as signs, the
following parcel of land, together with all the improvements found and
standing thereon, more particularly described as follows:

That the DONEE is a cousin of the DONOR, who has lovingly dedicated
five (5) years of his life as the latter's personal caregiver and companion;
That the DONOR affirms that this donation is not made with intent to
deceive his creditors, and that he has reserved for himself sufficient funds
and property;
That the DONEE hereby accepts and receives this donation made in his
favor by the DONOR, and hereby manifests his gratefulness for the latter's
generosity.

ACKNOWLEDGMENT
NOW THEREFORE, for and in consideration of the love and affection the
DONOR has for the DONEE, the DONOR does hereby TRANSFER, GIVE

the above-described parcel of land, to take effect upon the DONOR'S demise,
subject to the following conditions:
1. That the DONEE hereby accepts and receives this donation made
in his favor by the DONOR, and hereby manifests his gratefulness for
the latter's generosity and liberality;
2.That further, the DONOR hereby reserves unto himself the right to
possess and sell the above-described property, as true owner
thereof, before his death, without need of prior consent or approval
by the DONEE.
IN WITNESS WHEREOF, we have hereunto set our hands, this 25
January 2010 at the City of Manila, Philippines.

WE, the undersigned witnesses hereby attest and certify: That the
foregoing DONATION MORTIS CAUSA was executed by JIM S. PASCUAL
and consists of two (2) pages, including this page where the Attestation of
Witness and the Acknowledgement before the Notary Public appears; That
this was signed by the DONOR and the DONEE in our presence, and we at
their request, have signed these presents on the last page hereof, and on the
left-hand margin of each and every page, in their presence, and in front of
each and everyone of us.
