EMPLOYED CONSULTANTS

THIS AGREEMENT is made on the following date: _____________

BETWEEN

(1) BUSINESS ADVICE BUREAU LIMITED (BAB); and

(2) ___________________________ of ______________________________________________

________________________________________________ (“the Recipient”).

1. CONFIDENTIAL INFORMATION

The methods, trade secrets, training methods and materials, and know-how (“the System”) of
conducting and marketing BAB’s business are secret and confidential and are the exclusive property
of BAB. In this Agreement “Confidential Information” means all information of a confidential or
proprietary nature (including information imparted orally) relating to BAB’s System, products,
processes, potential or actual customers, suppliers and business and including any operating manual or
training materials revealed to or learnt by the Recipient at any time from BAB for the purpose of
discussing the possibility of the Recipient becoming a licensee of BAB or for the purpose of enabling
the Recipient to conduct his business as a licensee of BAB (“the Purpose”).

2. RECIPIENT’S OBLIGATIONS

In consideration of the disclosure to it by BAB of Confidential Information, the Recipient shall:

2.1 keep the Confidential Information secret;

2.2 use the Confidential Information only for the Purpose; and

2.3 not copy the Confidential Information without the prior written consent of BAB.

3. INFORMATION IS BAB’S PROPERTY

The Recipient acknowledges that the Confidential Information, and the media and tangible property
recording it, is the absolute property of BAB. The Recipient shall, on request by BAB at any time,
return to BAB the Confidential Information including any copies, notes, drawings or recordings made
of the Confidential Information (or, where applicable and if BAB so requests, the Recipient shall
destroy or erase the same).

4. EXCEPTIONS

The Recipient’s obligations under this Agreement shall not extend to Confidential Information which
the Recipient can prove to BAB’s reasonable satisfaction:

4.1 has ceased to be secret without default on the Recipient’s part;

4.2 was already in the Recipient’s possession prior to disclosure by BAB; or

4.3 has been received from a third party who did not acquire it in confidence.

5. REMEDIES

Without prejudice to any other rights and remedies that BAB may have, the Recipient agrees that the
Confidential Information is valuable and that damages may not be an adequate remedy for any breach
by the Recipient of this Agreement. The Recipient agrees that BAB will be entitled without proof of
special damage to the remedies of an injunction and other equitable relief for any actual or threatened
breach by the Recipient of this Agreement.

6. WAIVER

No failure or delay by any party to exercise any right, power or remedy will operate as a waiver of it
nor will any partial exercise preclude any further exercise of the same, or of some other right, power
or remedy.

7. GOVERNING LAW AND JURISDICTION

This Agreement will be governed by and construed in accordance with English Law and the parties
hereby submit to the jurisdiction of the English Courts.
