CO-OPERATIVE EXCLUSIVE LISTING CONTRACT

In consideration of your promise to list and exhibit the property at the address noted below, Seller
hereby gives Urban Search Corporation of Chicago (hereinafter “Broker”) the sole and
exclusive right to sell, through your efforts or with any brokers cooperat­ing with you, the property
located at ___________________________________________________________, Unit ____
_______ , in the City of __________________ , County of ________________, State of Illinois,
for a period of one year from the date of accep­tance of this contract at the price of $___________
__________or any less sum that Seller may hereafter accept.

Seller hereby agrees to pay Broker a commission of 6% (six percent) of the total purchase price
plus $250 (two hundred fifty dollars) at Closing. Seller also agrees to reimburse Broker­ for
international phone calls made in connection with the sale of this property.

In the event said property is sold or title con­veyed within a protection period of one (1) year after
the termination date of this Contract to anyone to whom the property was presented during the
term of this Contract, Broker shall likewise have earned its commission hereunder. However, this
provision shall not apply if Seller has entered into a valid written exclusive listing agreement with
another licensed real estate broker during the protection period.

SELLER UNDERSTANDS THAT IN THE EVENT A SALES CONTRACT IS EXECUTED


AND THE EARNEST MONEY IS FORFEITED BECAUSE OF THE PURCHASER’S FAULT,
THE EAR­NEST MONEY SHALL BE APPLIED FIRST TO THE PAYMENT OF THE SELLER’S
ATTORNEY’S FEES AND THEN TO PAYMENT OF THE BROKER’S COMMISSION, AND
THIS AGREEMENT SHALL BE CONTINUED FROM THE DATE OF DEFAULT THROUGH
THE TERMINATION DATE OF THIS CONTRACT OR ANY EXTENSION THEREOF.
SHOULD SELLER DEFAULT ON ANY CONTRACT FOR THE PURCHASE OR EXCHANGE
OF THE PROPERTY, ANY COMMISSION OWED UNDER THIS AGREEMENT SHALL
BECOME PAYABLE IMMEDIATELY.

Seller agrees to promptly deliver to Broker the following documents: Proprietary Lease; By-Laws;
Rules and Regulations, if any, adopted by the Board of Directors; Budget for the current year;
Statement of Income and Expenses for the two prior calendar years.

Seller agrees to complete and sign the Residential Real Property Disclosure Report required by
Public Act 88-111, as well as the lead-based paint, radon and mold disclosures. And agrees to
comply with the require­ments of the Act to the best of Seller’s ability and to not knowingly give
any false or inaccurate information regarding the disclosures required.

The Brokerage Relationships in Real Estate Transactions Law which took effect in the State of
Illinois on January 1, 1995 requires the agency relationship disclosure contained in the following
five paragraphs:

Broker designates_________________________________, a sales associate affiliated with


Broker as the only legal agent of the Seller (“Seller’s Designated Agent”). Seller acknowledges
that Seller’s Designated Agent may from time to time have another sales associate, who is not
an agent of the Seller, sit at an open house of Seller’s property or provide similar support in
the marketing of Seller’s property. Broker reserves the right to name additional Designated
Agents when in Broker’s discretion it is necessary, and shall so notify Seller in writing. Seller
understands and agrees that this agreement is a contract for Broker to market Seller’s property
and that Seller’s Designated Agent is the only legal agent of the Seller.

Seller has been informed that potential buyers may elect to engage the services of a licensed
real estate broker or sales associate as their own agent (Buyer’s Agent). Broker is authorized to
show the property to prospective buyers represented by Buyer’s Agents.

Seller understands and agrees that other sales associates affiliated with Broker, other than
Seller’s Designated Agent, may represent the actual or prospective buyer of Seller’s property.
Further, Seller understands and agrees that if the property is sold through the efforts of a sales
associate affiliated with Broker who represents the Buyer, that other sales associate will be
acting as a Buyer’s Designated Agent.

Seller understands that Seller’s Designated Agent may, under some circumstances,
undertake to represent both the Seller and the Buyer, thus becoming a Dual Agent. Seller
agrees to sign the Disclosure and Consent to Dual Agency form attached to this Exclusive
Listing Contract.

It is Broker’s policy to cooperate with other brokers. Broker, in its sole discretion, will pay a
portion of its commission to any Buyer’s Agent or other cooperating agents who are involved
in the sale of the property. Seller acknowledges that the compensation offered to such
cooperating brokers may vary from broker to broker.

Broker and Seller’s Designated Agent are authorized to have access to the property at all
reasonable times for the purpose of showing it to prospective purchasers and to use pictures of
the property for marketing purposes.

Seller understands that the information which Seller provides to Seller’s Designated Agent as
listing information will be used to advertise Seller’s property to the public and that it is essential
that this information be accurate. Although Seller is listing Seller’s property in its present physical
condition (“as is” condition), Seller understands that Seller may be held responsible by a buyer for
any latent or hidden, undisclosed defects in the property which are known to Seller but which are
not disclosed to the Buyer.

THE PARTIES UNDERSTAND AND AGREE THAT IT IS ILLEGAL FOR EITHER OF THE
PARTIES TO REFUSE TO DISPLAY OR SELL SELLER’S PROPERTY TO ANY PERSON
ON THE BASIS OF RACE, COLOR, RELIGION, SEX, ANCESTRY, HANDIC­AP, FAMILIAL
STATUS OR NATIONAL ORIGIN. THE PARTIES AGREE TO COM­PLY WITH ALL
APPLICABLE FEDERAL, STATE, AND LOCAL FAIR HOUSING LAWS.

Seller further agrees to protect Broker by quoting a selling price of $_______________________


and to immediately refer to Seller’s Designated Agent the names and addresses of all prospective
purchasers or brokers who contact Seller for any reason during the time covered by this Exclusive
Listing Contract or any extension thereof.

Broker agrees to pay for any advertising of the property.

This contract shall be binding upon and inure to the benefit of the heirs, administrators,
successors, and assigns of the parties hereto.

It is understood that this Contract is irrevocable during the above-stated period, or any
extension thereof.
