MEMORANDUM OF ASSOCIATION

UNDER THE SOCIETIES REGISTRATION ACT, 1860

1. Name of Association : STUDENTS’ ASSOCIATION


VOLUNTEERING FOR EARTH

2. Location of Regd. Office : Mandi Dabwali.

3. Area of Operation : State of Haryana.

4. Aims & objects :

a) To raise, own, manage, and administer institution for


imparting awareness among the society for environment.
To run projects / programs to save the environment from
social or other harming activities of the society.

b) To make programmes directly related to environmental


needs, interest for coming up generations.

c) To provide facilities and infrastructure for the promotion


and upliftment of standard of living of people by making
environment necessities available

d) To take all the steps which are necessary to meet the


aims and objects of the society to raise the funds,
subscriptions, donations, etc, so as to achieve the object
of the society.

e) To establish library reading rooms to publish the


magazine so as to promote the cause of the society.

f) To draw out the latent talents of the child and provide


congenial environment for the fullest exploitation so as to
contribute their might to make the world happier,
healthier place to live in.

g) To develop and enlarge secular outlook irrespective of


caste, creed & colour.

h) To give wide publicity to the aims and objects of the society.

i) To get contribution in the form of subscriptions and donations
to improve the finance of society.

j) To get the help recognitions from the govt. for the interest and
uplift of the society.

k) To create trust and wakf on behalf of the society.

l) To sell mortgage and dispose of the property of the society for


the benefit of the society.

m) To acquire property by purchases, mortgages, donations &


gifts.

n) To spend and invest the funds and income of the society and as
the governing body agree for the benefit of the society.

o) To do anything which may be conclusive to the interest of the


society

5. Conditions

a) The income and property of the society shall be applied firmly


towards the promotion of the objects of the society mentioned
in the Memorandum of Association and no portion thereof shall
be paid or transferred directly or indirectly to the members of
the society.

b) No member of the governing body of society shall be appointed


to any salaried office of the society or any office of the society
paid by fees, that no remuneration shall be given by the
society to any member of such governing body except re
payments of out of pocket expenses and interest on money
lent or rent for the premises to the society.

c) The society by its constitution is required to apply its profits if


any, or other income in promoting its objects.

d) If upon the winding up or dissolution of the society there


remaining after satisfaction of all its debts and liabilities any
property whatever the same shall not be paid to or distributed
among the members of the society, but shall be given or
transferred to same other institution having object in similar to
the objects of the society to be determined by the members f
the society at or before the time of dissolution.

e) The management of the affairs of the society is entrusted in
accordance with the rules and regulation of the society to a
governing body of which first member area.

RULES & REGULATIONS OF THE ASSOCIATION

1. INTRODUCTION
The name of the association shall be- STUDENTS ASSOCIATION
VOLUNTEERING FOR EARTH, MANDI DABWALI DISTT SIRSA. The
aim of the association is to impart the awareness in environment
by running projects or creating other infrastructure for running
programs or projects.

2. TERMS OF ADDMISSION OF MEMBERS:-

(i) A person not less than 18 years of age and believe on the
aims of association can be members of this association.
He has to fulfill all the terms and conditions of the
association, which will be set by the managing committee
and amended from time to time. All the terms & conditions
of the association will be binding upon the members.

(ii) Managing committee will scrutinize all the applications and


the committee has right to reject the application without
giving any notice.

(iii) His membership can also be terminated if the member


failed to attend three meetings continuously.

(iv) The insolvent person cannot be member of the association


and if a person declared insolvent after getting
membership, his/her membership will also be terminated.

(v) A person convicted due to corruption/fraud/misconduct can


not be member of association and after getting
membership a person convicted due course of law on such
charges his membership will also be terminated.

3. OFFICE-BEARERS:
(i) (a) President (b) Vice-President (C) Secretary (d) Cashier

(ii) The office bearers of the association will be elected by the


delegates of the association by a majority of votes and will
ordinarily hold office for the year, but will be eligible for re-election.

4. RESIGNATION/EXPULSATION OF MEMBERS/OFFICE
BEARERS:
The membership stand cancelled: -
(i) Due to death of Member
(ii) Resignation by the Member
(iii) Failure to deposit annual membership fee.
(iv) In case of insolvent.
(v) In case of person become of unsound mind or lunatic
(vi) Convicted by any court in due course of law.

MEETING AND QUORUM


5. General Body:

(i) The ordinary General Meetings of the Association will be


held at least once in two years at a place and date to
be decided by the Executive.
(ii) The General Secretary will issue a notice of two weeks
along with the agenda of the meeting to the units to
be further conveyed to the members.
(iii) The meeting will be held at the Head office, unless
otherwise decided by the Executive committee.
(iv) The quorum of the meeting will be 3/5TH of the total
membership.
(v) The tenure of office bearers shall be 2 years thereafter
a fresh election will take place.

6. EXECUTIVE COMMITTEE:

(I) All the power of the affairs of the association


shall be vested with the executive committee
which will carry out the work of the
association according to the decision policy
and programme as laid down by the
association
(II) The executive committee will consist of the
following: -
(III) All elected office-bearers
(IV) Presidents of all the units,

(V)The members of the executive committee will
hold office for two years but will be eligible
for re-election
(VI) The executive committee shall have the
power

(a) To frame, alter and repeal rules and bye-laws


for the proper conduct of the business of the
Association subject to the approval of the
Association.
(b) To exercise general control over finances.
(c) To fill causal vacancies of its members and
office-bearers during the terms of office. all
such members nominated by the executive
committee shall hold office for the remaining of
the term only.

7. MEETING OF THE EXECUTIVE COMMITTEE:-

(I) The executive committee will meet as often as may be


deemed necessary, provided that the interval
between any two consecutive meetings of the
executive will not case exceeded three months in
any case.
(II) The meeting will be held at the time and place fixed by
the General Secretary in consultation with the
President. Due notice with the Agenda is to be sent
to every member the Executive committee.
(III) The quorum will consist of 3/5TH of the members of
the executive committee.
(IV) The president will preside over the meeting of the
executive committee and in his absence the Vice-
President will preside. In the absence of both, the
members present will elect a chairperson for the
meeting.
(V)The President officer, apart from his own vote, will have
a casting vote in case of tie.
(VI) A notice of seven days along with the agenda will be
sent to the units to be conveyed to the members.
(VII) The meeting will ordinarily be held at the Head office
unless otherwise decided by the Executive
committee.
(VIII) The President will president over the General meeting
both ordinary and Emergent and in his absence the
Vice-President will preside. In the absence of both,

the members present will elect a chair-person for the
meeting.

7. PRESIDENT:
(I) The President will preside over all the meetings
of the Association and the Executive
committee and in his absence the Vice-
President will preside. In the absence of both,
the present members for that meeting will
elect a Chairperson.
(II) He shall guide and control the activities of the
association
(III) He shall regulate the proceedings of the
meetings and conferences, interpret the rules
and regulations and give ruling on
doubtful/contested points.
(IV) He will address letters/memorandum on
behalf of the Association.
(V)He shall sign the minutes of the meetings and
other important documents on behalf of the
Association.

9. VICE-PRESIDENT:
In the absence of the president the Vice-president will act as
President and will have the same power as those of the president
when acting in that capacity.

10 SECRETARY:

(I) Maintain a record of all the proceedings of the Association


and the Executive committee.
(II) Issue notices and circulate agenda for all the meetings
and carry on all correspondence in consultation with
the president on behalf of the Association.
(III) Call meetings of the Association and the Executive
committee.
(IV) By miscellaneous articles for maintenance of the
office.
(V)Acquire by purchase, lease or hire any building, house,
office furniture and other articles necessary for the
association.
(VI) Perform any other duty assigned to him by the
president, executive committee or the association.
(VII) The Secretary organization will take all possible step
to strengthen the organization of the Association and
maintain close contacts with other Association having

objects similar to the objects of the Association. He
makes contract the entire local unit to activate and
participate.
(VIII) He may convene meetings of the secretaries of units
to consider steps for increasing the effectiveness of
Association, to consider problems of individual units
and recommend to the Executive for consideration
action proposed at the meetings.
(IX) He will address communications to the units and other
associations on the matter concerning the associations

(I) He will receive all the money and the contribution from
the units
(II) He will make payments of the bills sanctioned by the
General Secretary or the president.
(III) He will maintain the accountants of the Association.
(IV) He will put up the accounts and books before the
meeting of the Executive committee for scrutiny.
(V)He will put all the books and accounts before the auditor
for checking.

13. CASH FUNDS AND ACCOUNTS:

The Association will open a bank account in a Scheduled bank in the


name of the Association and two may operate accounts any office
bearers.

14. AUDIT:

(I) The financial year of the Association shall be from April 1st to
March 31st of next years.
(II) A committee of auditors appointed by the Executive
committee shall audit the accounts of the Association
annually.
(III) The accounts shall be laid before the General Bodies
Meetings
(IV) The audit report by C.A to be submitted to director of
registered societies.

15. VOTING ON AUDIT REPORT


(I) Every member shall have one Vote.
(II) The presiding officer apart from his own vote will
have a casting vote in case of tie.
16. RIGHTS

(a) Ever Member shall have right to access books of
accounts and other records maintained by the
society during office hours.
(b) Every Member shall have right to take the copy
of any records maintained by the
society/committee after applying for so in
written to the secretary.
(c) Ever member shall have right to resign from the
society by submitting the resignation to the
president and president shall lay down the
resignation in next meeting for discussion.

18. AMENDMENT OF THE MEMORANDUM AND ARTICLE OF


ASSOCIATION AND THE CONSTITUTION:
Amendments to the Memorandum or Articles of Association will
made only if they have been passed by the members of the
Association by a 2/3 majority present and voting at the meeting,
specially called for the purpose or the General Meeting after a
notice of at
19. DISSOLUTION
The society may be dissolved as per provisions of Society
registration Act 21 of 1860.
