1.1. Functions.

The Consultant shall act as the Chief Engineer of the Company


under the supervision of the share holders, the CEO of the Company (the
“CEO”) or any other executive or share holder designated in coordination
with the by the Company, and his duties shall include managing and
supervising all aspects of engineering in connection with the projects and
assets (the “Projects”) of the Ram Global Group such as Ram West Ram
Integrity and its subsidiaries or affiliates (the "Subsidiaries") as requested and
defined from time to time by the CEO, or the share holders including the
following:
1.1.1. Day-to-day management and strategic planning of the Projects
including coordination and supervision control of Projects' schedules.
1.1.2. Projects' plans, budgets and programs for the procurement and
execution of the Projects.
1.1.3. Planning and design of the Projects, including without
limitation: in the following aspects
1.1.3.1. supervising the selection of, negotiation and contracting with
architects and designers;
1.1.3.2. preparation and submission to the Company of final budgets,
time tables and business plans on the basis of the final design;
1.1.3.3. Preparing all the professional and technical materials for
tenders for general contractor or sub contractors if the
company will act as General Contractor for its own projects as
the case might be
1.1.3.4. Analyze all the results received in the tenders and help in all
aspects of negotiations with the offers.
1.1.4. Engagement of primary and sub construction
contractors contracted for the Projects.
1.1.5. Manage and supervise the project in all aspects as mentioned in
this addendum ,and supervise the project Construction Manager
(Foreman) in case the company will act as it own general contractor
1.1.6. Collaborate with the project supervising company appointed
and approved by the Bank( that will finance the project) and give him all
the information and help in order to give the bank all information
required to distribute the funds to the project on time
1.1.7. Liaise with the Projects' building contractors and other
professional consultants generally in relation to the development of the
design of the Projects including with respect to build ability of proposed
design solutions.
1.1.8. Construction and technical phases in the Projects.
1.1.9. Administration of the Projects' various contracts so as to enable
the Company to perform its obligations and exercise its rights in the
Projects;

1.1.10. Determination of the specific infrastructure requirements,


(including, but not limited to: electricity, water, access roads, storm
water, drainage, sewerage, gas, telecommunications, lighting), timing
and scheduling for the obtaining of the infrastructure services,
infrastructure service provider availability letters and the permissions
necessary;
1.1.11. Applications to obtain commitments for water, sewer,
electrical, gas, telephone and any other utility services necessary for each
phase of the Projects;
1.1.12. Requirements for projects-related site investigation including
geotechnical, environmental, topographical and other surveys that the
Company may require and coordinate the provision of the same.
1.1.13. Use all reasonable endeavors to procure that the completed
designs satisfy the normal requirements of any institutional funding
organizations, tenants, purchasers, as well as local laws and approvals
required from local authorities;
1.1.14. Facilitation of legal counseling related to all approvals
(including the building permits), consents, licenses, permissions,
certificates and statutory agreements as varied from time to time required
from any government, local or any other competent authority and
necessary for carrying out and completing the Projects.
1.1.15. Provide monthly status reports on the Projects' design,
development and regulatory status; and
1.1.16. Report immediately to the CEO and the shareholders on any
incident or occasion or information that was brought to his attention or
awareness that might have negative effect on the project or the company
1.1.17. Oversee the final completion and handover aspects and
permits (Tofes 4) of the Projects to the Company and/or the legal owners
of the residential or commercial units in the projects.. (the buyers)
1.1.18. Confidentiality: The Chief Engineer will keep in
confidentiality all information regarding the companies, the projects, and
the share holder activity, including but not limited: business information
such as, financial information. Marketing progress cost of projects, profit
& loss reports. Business plans and future activity intentions.
