This Work Order shall be read in conjunction with “Standard Conditions of


Subcontract” attached along with this Work Order. The terms and conditions
stipulated herein are final and binding and supersede any prior correspondence and
discussion between the Parties on the subject.

Dear Sir,
This has reference to Reliance Infrastructure Ltd’s (hereinafter referred to as “EPC
Contractor” or “RInfra”) enquiry dated _______ and subsequent discussion M/s _____
(hereinafter referred to as “Subcontractor”) had with EPC Contractor regarding subject
work. The Subcontractor has represented to the EPC Contractor that, the Subcontractor
has visited the site, assessed the Work & Site conditions and then made its offer to the
EPC Contractor. Through its quotation as well as during various discussions, the
Subcontractor has represented that it is fully geared up and competent to take up above
referred work.
The Subcontractor has also agreed to the all Standard Conditions of Subcontract
(hereinafter referred to as “Standard Conditions”), Bill of Quantities (hereinafter
referred to as “BOQ”) and specification as per details specified herein for carrying out
the Works.
Based on the above, the EPC Contractor is placing this Work Order on the Subcontractor
subject to the following terms and conditions:
1 Subcontractor’s Scope of Work:
The Scope of Work of the Subcontractor shall include the following:
1.1 The scope of work includes the supply and installation of
PREFABRICATED ACCOMMODATION (TRANSIT CAMP) AT _________" - SINGLE STOREYED
PRE ENGINEERED STRUCTURE consisting of rooms along with toilet, kitchen, dining,
store and reception cum entrance lobby including foundation for pre engineered
structure, and Brick work with plinth beams etc. up to plinth, wall cladding, roofing and
false ceiling, insulation, flooring, skirting and dado, service platforms, doors and

windows, cupboards, sanitary installations and plumbing, electrification, Plinth


protection and surface drains, separate OHT and area development as per the detailed
plan shown in Tender drawings and technical specifications
All work shall be performed in accordance with tender drawings,
technical specifications, schedule of items, other tender documents, and
directions of the Engineer. Item / items of work though specified in the
schedule of item but for which detailed specifications are not given in the
technical specifications, shall be performed as per the Specifications and
best available industry practice
The agency has to arrange all the materials and manpower required.
Rinfra shall not issue any material for the work. All the materials should
be strictly as per specifications also construction power and water
supply will be in the scope of agency.

1.2 Provide required manpower for collecting samples, transporting to EPC


Contractor’s Laboratory and carrying out testing.
1.3 Transferring and fixing Temporary Benchmarks (TBM) at site including
construction of reference pillars and getting checked by EPC Contractor’s Site Engineers.
1.4 The Subcontractor shall make its own arrangement for procurement and
safe storage of fuel, oil & lubricants, all tools & tackles, spares, etc, at its own cost.
1.5 The Subcontractor shall make its own arrangement for accommodation,
drinking water, utility water, construction water, power, camp facilities, disposal of
wastes, etc for its staff and labour at its own cost.
1.6 The Subcontractor at its own cost shall obtain and maintain the Insurance
for its plant & machinery, supervisory staff, labour, vehicles and other assets as set out
under Clause 43 of Standard Conditions of Subcontract.
1.7 Liasoning with local authorities, bodies, police and local public for smooth
functioning of construction works. The cost of all such liasoning work and related
expenditure is deemed to be included in the item rates and Work Order value.
2 EPC Contractor’s Support:
2.1 The EPC Contractor shall provide land for construction of the Camp
Office/Lab/Store /Workshop and for construction of residential quarters
for Staff and Executives.
2.2 Insurance of the Works of the Project in the form of Contractor's All Risk
(CAR) Policy procured by EPC Contractor or by the Concessionaire.
2.3 Bench Marks and reference pillars at select locations.
2.4 One copy of each construction drawings.
3 Time for Completion, Progress & Mobilisation:
3.1 The Subcontractor shall mobilize all its resources in a phased manner and
commence the Works at Site on or before _______ (dd/mm/yyyy) and is
to be completed in all respects within ______ calendar months’ time
including monsoon.
3.2 The Subcontractor shall submit chainagewise completion programme for
completion of entire Works in its scope under this Work Order in MS Excel
or MS Word format clearly indicating the chainages, layer position and
completion date.

3.3 The Subcontractor shall mobilize following minimum resources in a phased


manner:

3.4 The Subcontractor shall mobilize sufficient number of resources round the
clock-basis as per the requirement and/or as directed by the PM/CPM of
EPC Contractor or his authorised representative from time to time and
shall not remove the same without prior written permission from PM/CPM.
3.5 If the PM/CPM feels that the mobilized resources are not sufficient to
carryout the works, then he may ask the Subcontractor to mobilize
additional resources. In such cases, the Subcontractor shall mobilize the
additional resources at no additional cost to EPC Contractor.
3.6 The cost of mobilization and demobilization of Subcontractor’s resources
is deemed to be included in the Subcontractor’s agreed rates.
4 Quantities & Rates:
4.1 The rate shall be quoted lump sum for all the scope of work defined in the
drawing and BOQ. Contractor will quote the rates for all items given in
the BOQ attached as Annexure-1 to this Work Order.
4.2 The rates shall be inclusive of all taxes, cess, and all payments to be
made to concerned agencies for approvals, permission, etc.
4.3 Rates quoted shall be final and will not be revised under any condition.
4.4 In case the scope of work is revised added or reduced in that case
separate work order will be issued for revision.
5 Work Order Value:
5.1 Subject to the provisions of the Standard Conditions and Clause 8 of this
Work Order, the Work Order value for the Works shall be the total sum in
Indian Rupees arrived by multiplying the quantity of each item of
completed Works by the unit rate applicable to the relevant item in the
BOQ. Accordingly, the estimated Work Order value for the entire Scope of
Works stands at Rs.______________ (Rupees ____________________
only).
5.2 The unit rate for each item of Works under this Subcontract shall remain
firm and fixed throughout the completion period without variation for
whatsoever reasons and purposes.

5.3 The unit rates and Work Order Value shall be all inclusive as set forth
under Clause 6 of Standard Conditions.

6 Measurement for Payment:


6.1 Payment shall be made for completed work as per stage wise payment
schedule approved by Rinfra.
6.2 Adhoc monthly payment will be release based on the work done and
6.3 Total payment shall not exceed the Total contract Price.
6.4 Monthly bill shall be submitted in the format approved by the Engineer.
7 Price Variation:
7.1 No price variation is payable to the Subcontractor.
8 Mobilisation Advance:
No mobilization advance and material advance is envisaged to be paid to the
Subcontractor under this Work Order.
9 Payment Terms
10 The payments to the Subcontractor shall be released in accordance with the
process set out under Clause 26 of Standard Conditions of Subcontract.
11 Access to and availability of Site:
11.1 Access to site for the Works shall be provided to the Subcontractor by
Employer. However, if underground or over ground obstructions exist in
the Sites handed over to EPC Contractor, Contractor shall also do the
dismantling / shifting / removal of such obstructions.
11.2 The Subcontractor shall have no financial claims on this account except
extension of time that will be determined and granted as deemed fit by
EPC Contractor considering, (i) the actual time taken in removal of
obstruction and (ii) and the areas where the Subcontractor could have
worked despite obstructions.
12 Effectiveness:
This Work Order shall be effective from the date of receipt of Subcontractor’s
acceptance in the manner specified below by the EPC Contractor. Unless
terminated earlier by the EPC Contractor this Work Order shall remain in force
until successful completion of its Scope of Work by Subcontractor and certified
by EPC Contractor.
13 Damages:
14 Entire Agreement:
This Work Order supersedes any previously made verbal or written
communications between the EPC Contractor and the Subcontractor on any
aspects relating to the Works and is the entire agreement governing the
contractual relationship between the EPC Contractor and the Subcontractor in
respect of the Works.

This Work Order is issued in Original and duplicate copy to the Subcontractor. The
Subcontractor is requested to retain the original, sign & stamp all pages of the duplicate
copy and return the duplicate copy signifying its unconditional acceptance to the
authorised signatory of the EPC Contractor.
