SPA Solution Addendum


Microsoft Dynamics NAV

1. Scope. This solution addendum is part of your Microsoft solution provider agreement. It gives you the right to
provide Microsoft Dynamics NAV licensed software to customers as outlined in the following additional terms and
conditions. When we use the term “licensed software” in this solution addendum, we are referring to Microsoft Dynamics
NAV software. Unless we give terms another meaning in this solution addendum, they are used with the same meanings
as in your Microsoft solution provider agreement.
2. Licensed software price list; ordering; returns. Access to current price lists, information on available
discounts, ordering, and our returns policy for licensed software are available in the SPA guide.
3. Source code licenses. The licensed software may provide you with the ability to view and make modifications
to objects, i.e. the application code, form, table, reports and data ports, but not executables. If you have 1) obtained the
appropriate developer’s software license key, and 2) completed the required actions outlined in the SPA, including all
minimum examination requirements, we grant you a non-exclusive, non-transferable license to:
(i) Create customizations for the licensed software and associated software documentation, as outlined in the
user best practice delivered with the licensed software; and
(ii) Create, promote, market and provide the resulting customizations to customers.
You acknowledge that because the source code contains, and any derivative work will contain, material proprietary to us or
our licensors, you may not copy or distribute the source code or any derivative work other than in locked source code form,
i.e. that you may not grant the customer any access or license keys whatsoever to open the source code and work with it
unless the customer has acquired the right to use the development tools in the licensed software.
4. Geographic scope. The licensed software is not supported in terms of technical support, languages and
localizations in all countries or territories . The countries or territories in which this licensed software is supported are listed
in the SPA guide. Before we fill your order for licensed software in an unsupported country, we may require you to provide
a written acknowledgement from your customer confirming your customer’s understanding of the unsupported status of the
licensed software.
We are generally authorized to provide software licenses to customers in the following geographic region:

Bolivia Guatemala Suriname
Brazil Guyana Trinidad/Tobago
Canada Haiti United States

Chile Mexico West Indies
Colombia Netherlands Antilles

Even though a country or territory is listed above, we and you will not provide licensed software to a customer if located in
a restricted country or territory as required by section 13.1 of your Microsoft solution provider agreement. For additional
information, see http://www.microsoft.com/exporting/.
Also, before you provide licensed software to customers in the countries or territories listed above, you must comply with
all applicable laws and regulations necessary to provide licensed software to customers.
5. Copies. After you receive relevant access codes from us, you may make one copy of the licensed software for
the purpose of providing licensed software to a specific customer. You may not permit your customers to use the software
using your license key.
