HISTORY:

SAP sees effective corporate governance as critical to achieving corporate goals and increasing the
company's value. Naturally, openness about the company's corporate governance principles, practice,
and structure is itself an important element in SAP's policy.
SAP's corporate governance structure follows Germany's system of corporate governance. This
structure separates management and supervisory functions into two distinct bodies: the Executive
Board and the Supervisory Board. Since governance in Germany includes employee participation, the
SAP Supervisory Board includes employee members.
The German Stock Corporation Act also provides for a third body – a shareholders' organization known
as the General Shareholders' Meeting.
THE HISTORY OF SAP

Germany's Rhine-Neckar region to one of the world's largest independent software providers and an
employer of more than 47,598 people in over 50 countries.

AUTOMATE GLOBAL HR AND PAYROLL

CONTROL COSTS AND ENSURE GLOBAL COMPLIANCE

HR departments are being asked to quickly adapt to business and market changes,
increase the efficiency of their shrinking workforce, and control and lower HR-related
costs – all while ensuring compliance on a global scale. Successful companies are
addressing these challenges by consolidating on a single, integrated platform to enable the
automation of all core HR processes, comply with legal requirements, and offer consistent
service delivery to a global workforce.
Software and services from SAP and SAP partners can help you sync employee and non-employee data
across HR, time and attendance, payroll, benefits, and talent management systems, as well as third-
party business partners. In addition, you can realize process integration, process efficiency, and
maximum usability to ensure access to accurate, real-time information for all stakeholders.

• Achieve better global, workforce data through consolidation of HR and payroll operations on a
single platform

• Better handle disparate legal and end-user requirements by running business processes on a single
instance of SAP technology
• Ensure seamless transfer of payroll results into the SAP ERP Financials solution
SAP Solutions for HR and Payroll Processes
By using the familiar environments of Microsoft Office and Adobe as interfaces to the SAP ERP
Human Capital Management (SAP ERP HCM) application, Duet, and SAP Interactive Forms by
Adobe, you can enable employees and managers to perform required activities and access personnel
data without having to learn how to use an entirely new system; thereby increasing employee
satisfaction and user adoption.
Compliance, Visibility, and Process Excellence

Operational and HR managers often lack accurate and timely information to make informed personnel
decisions. Through the use of portals and dashboards, organizations can aggregate and view employee
data in one location – regardless of where the data resides. This can enable managers to simplify tasks,
reduce paperwork, optimize workflows, and make better and faster decisions.
SAP ERP HCM can handle complex payroll processes in compliance with current legal regulations in
49 countries. Predefined reports can help you address various legal and compliance issues, increase the
visibility and transparency of your HR processes, and simplify overall management of compliance-
related concerns.
SAP provides the foundation for process excellence on one, consistent platform. By enabling real-time
data, global reach, and integration within and outside of HR systems, SAP can help you improve
collaboration and efficiency across your entire organization.

Self-Service Is the First Step
The first step in maximizing efficiency in HR operations is to automate your standard processes and
provide self-service access through the use of portals or familiar, user friendly environments such as
Microsoft Office using Duet and SAP Interactive Forms by Adobe. These tools interface with SAP's
human capital management solution, enabling employees and managers to perform required activities
and directly access and maintain their personnel data – and, in many cases, without having to learn how
to use an entirely new system.
Utilizing Shared-Services Strategy
Once considered a vehicle for simple cost savings, centralized and standardized service delivery is now
helping to increase the quality and accelerate deployment of HR services. Centralizing expertise
enables your organization to provide superior training for your HR experts and enable knowledge-
sharing – leading to consistent and more accurate answers to employees' questions that cannot be
handled via self-services.
Strong Options for Business Process Outsourcing
Another option for companies looking to meet their strategic goals is to outsource core HR operations
to a third party. Business process outsourcing lets you leverage the services of specialized organizations
that are optimized and dedicated to excellence in specific areas, freeing your organization to focus on
more strategic activities. SAP provides enabling solutions and services to a wide range of business
process outsourcing providers that deliver industry-leading services that can address your unique needs.
As a result, SAP ensures that select business process outsourcing providers have the solutions, know-
how, and support required to create sustainable business value for their clients.

ATTRACT, DEVELOP, REWARD, AND RETAIN

The current economic climate is forcing companies to reorganize and realign their workforce in a way
that increases productivity while reducing overall costs. To accomplish this, well-developed strategies
for managing talent must be in place. Why? The reason is simple. Successful talent management is a
major driver of organizational performance and competitive advantage.
Organizations around the world have turned to software and services from SAP and SAP partnersto
help:
• Automate and streamline recruiting processes to decrease time and cost
• Make quicker and better-informed decisions on talent
• Increase workforce productivity through individual feedback and targeted development
• Develop a strong global talent pool across the entire organization
• Deepen the talent-bench strength through organization-wide identification, management, and
cultivation of top performers and high potentials
• Offer personalized learning opportunities, while reducing training costs
And by bringing it all together with SAP, organizations have also gained the visibility needed to
effectively drive talent management strategies that increase individual and organizational performance,
while keeping costs down.
Identify, Develop, and Monitor Talent
Operational and HR managers often lack accurate and timely information to make informed personnel
decisions. Through the use of dashboards and visualization tools, organizations can aggregate and view
employee data in one location – regardless of where the data resides. This can enable executives and
managers to better monitor performance, distribute information to targeted audiences, and make better
and faster decisions.
By integrating employee performance management, talent review and calibration, succession planning,
and employee development processes, your company can ensure that it has the talent you need to be
successful – allowing you to focus on strategies and programs that support a high-performing
