DMC Education Limited is a BSE listed (BSE: 517973), Education company, providing training
for various entrance examinations. DMC plans to establish itself across India in the supplemental
education market.

The Strategy
DMC strategy for growth is built around a very scalable model that rests on the following pillars:

Specialized Content: Our self study courses help in time management, work measurement and
self assessment. Westland Books (www.westlandbooks.in), a Tata Trent subsidiary, has
partnered with us to publish "Power Coaching for IITJEE", India's 1st, highly successful, ‘Off
the shelf’ IITJEE Course.

Scalable delivery model: We have developed ‘content for classroom delivery’ to make the
teaching methodology independent of any single faculty. At any point in time, DMC can train
and deploy teachers from a wide pool of available instructors.

Product aggregation: DMC has brought multiple, successful brands under one umbrella. This
enables greater utilization of resources and hence profitability of the centers. Such an
aggregation strategy will allow greater penetration to every corner of India.

Technology: Successfully exploiting technology for delivering coaching to students in remote


areas.

• HughesNet (www.hughes.in): We deliver IITJEE/AIEEE Coaching (lectures and course


material) to students at remote areas using VSAT backbone of HughesNet. We achieve
the education objectives with a blend of interactive lectures, real time query handling, online
testing, telephonic counseling/feedback, and physical course material.

• Online tutoring/content platform: Students use this for online tutoring, online testing,
recorded video lectures, and interaction with the student community having similar career
aspirations.
The Market

The market for supplemental education (test preparation and vocational training) is estimated to
be Rs. 50,000 Crore. This market is growing at 25% YOY and due to the following reasons the
growth is expected to be healthy

• School / Colleges not able to cope with the changing requirement of fundamental career skills

• Emergence of specialized careers and growing demand of existing careers

• Online technology to distribute content remotely increases the scope of such market

• Growing middle class in India willing to spend on education (estimated to be 35% of net
income)

The Business Model


DMC is focused on coaching and content development for ‘Test Preparation’ and ‘Career' skills
for student. It delivers this content through physical and online channels. Big brands are
successful only in metros and towns having a population of at least 10 lakh residents.

The company goal is to become a market leader in the segments it operates in, within the next 3
years, through the following:

1. Interactive Remote classrooms: ‘Real time’ classes across India at locations that don’t have
good local coaching for entrance exams. Students can attend high quality classes from
specialists, while being physically away. The centers will be connected with a 512 Kbps link.

2. Online tests and content: Entire postal coaching market will migrate to online learning
platform, enriched with recorded lectures, online testing and interactive learning systems.

3. Direct to School: DMC intends to tie up with various schools and offer courses to
students within the school premises.
Recent Developments

DMC acquired Trump and Gates (www.trumpandgates.com) in Oct' 09. T&G (Trump and Gates)
are pioneers in coaching for Actuarial Science in India. T&G specializes in counseling for
admissions in International colleges and preparation for GMAT/GRE/SAT/TOEFL/IELTS. T&G
is also the leading destination for GATE coaching in Delhi.

DMC has a strategic tie-up with the fastest growing brand for IIT JEE coaching in Delhi, called
Quest (www.questtutorials.com). Founded in 2003, the company is offering courses at 10
locations in Delhi.

DMC has a strategic tie-up with the biggest and oldest coaching brand in CA coaching called
"Academy of Commerce" (www.aoc-india.co.in) Founded in 1982, the company is offering
courses at 10 locations in Delhi.

DMC has also acquired Vsoft Solutions (www.vsoftsolutions.in). Vsoft is a pioneer in software
development for Indian languages. Vsoft has some good and very popular products for
corporates. It has good clients including Government of India and News Agencies. Vsoft has also
delivered customized solutions to some Banks, Financial Institutions and Govt. Departments.
Management Team

Dr. P.K. Awasthi- Chairman

Dr. P.K. Awasthi, a Management Expert, obtained Ph.D. & MBA besides training in
Management from Henley Management College, U.K. Dr. Awasthi has more than 40 years of
experience and served educational institutions and industry in private, public and co-operative
sectors in various key positions. This includes Marketing Director, Kribhco, Head of Marketing
& Finance Departments & Chairman cum Managing Director, PPCL. While working in USA Dr.
Awasthi, under UNIDO project, developed a prototype for production of liquid fertilizer by
using renewable source of Hydro-energy.

His main interest is in the field of general management, social development, rural development,
and poverty alleviation programs.

Dr. Awasthi served on the Board of Fertilizer Association of India, Society for promotion of
wasteland Development, Gramin Vikas Trust, Gujarat state Energy Generation Corporation. He
is Chairman of Societies- “Human Habitat & Environment”, “Agriculture Marketing &
Extension” and visiting professor of Indian Institute of Finance, Delhi.

Dr. Awasthi has published more than twenty papers/ Articles in important journals, attended
National/ International Conferences, extensively traveled in abroad including USA, UK,
Germany, Malawi, Zimbabwe, Kenya, Middle East countries, China, Japan, Singapore, Malaysia
and Thailand.

Sham Sunder Gupta-Managing Director


Sham Sunder Gupta is a very experience company executive. He has more than 30 years of
experience in the field of business development, customer acquisition, asset acquisition and
management.

Babu Lal Vijay - Director


Mr. Babu Lal Vijay is a talented professional who is vested with entrepreneurial and commercial
skills combined with a focused and futuristic approach. He did his initial studies in Rajasthan and
went on to get his Post Graduate certificate in Business Administration from University of
Wales, United Kingdom. He is a graduate Gemologist from the Gemological Institute of
America, New York City. He has more than 14 years of experience in the financial institutions
and other Government institutions. He has been associated in various capacities with Al Rajhi Al
Misfer Group (Saudi Arabia), National Marketing Company (Saudi Arabia), Al Othman Group
(Nada) Hofuf, (Saudi Arabia), Show case Systems Inc, Carthage, Texas USA. He is also the
Managing director of Viva Gems Inc, New York City, USA.
Saroj Gupta-Executive Director
Saroj Gupta, is B.Ed., MDP (IIM Lucknow) having 20 years vast experience in banking and 5
years experience in education industry. She is passionate about education. Mrs. Gupta founded
Trump and Gates with a few more professionals to pursue her dream of running an education
organization. She is Director of Trump and Gates a leading educational Institute in actuarial
Science and in other entrance exams. She has been awarded for her contribution by various
organizations.

Gaurav Mittal- Chief Executive Officer


Gaurav helped create a unique personal marketing approach for customer acquisition. Gaurav
also brings operational experience in the supplemental education space from his days at Career
Launcher. Before that he played key marketing roles at Zensar and JWT. Gaurav received his
MBA from IIM Lucknow and his Bachelors in Engineering from IIT Roorkee.

Praveen Tyagi- Chief Operating Officer


Praveen brings a passion for innovative content creation and delivery along with a deep
understanding of delivery technologies. Praveen worked as a software analyst in the Intel MIPS
division in Oracle (Redwood City) and then worked for various departments (IT, Consulting,
Sales, Marketing and advertising) in the wireless startup Brience Inc (San Francisco). Praveen
received his Masters in computer Science from University of Alabama and his Bachelors of
Engineering from IIT Roorkee.

Atul Garg – Director, VSOFT


Mr. Atul Garg is an electrical engineer and have over 20 years of IT experience. He has worked
with IBM and also worked with National Police Mission and currently handling IT
implementation in Land record reforms for Yamuna Expressway Industrial Development
Authority.

Bharat Gupta – Director, VSOFT


Bharat Gupta is Computer Science graduate from NSIT and has worked with Newgen Software
Technologies in R&D department and also worked in Mercer, USA in Pension sector.

STRATEGIC TIE-UP WITH AOC

The Company has entered into an agreement with ACADEMY OF COMMERCE STUDIES
PRIVATE LIMITED, one of the prominent education company in North India for opening of
Trump & Gates Centers and other verticals of the Company in various locations. Apart from
infrastructure uses, both parties will also share marketing resources, network of each other for
business development and also the technology acquired/developed by each other. This will
increase the synergy of operation between two companies. Academy of Commerce (AOC) has
been a pioneer in CA education. After 28 years of excellence it is now considered to be a premier
institute for all levels of training. The institute has benefited more than 65,000 students,
producing top rank holders of India every year. AOC believes in delivering knowledge solutions
with respect to a career driven approach of learning. The academy focuses on shaping students to
become world-class CA professionals enabling them to choose from a range of career options
that are available. AOC prescribes performance based sessions divided in modules which are

DG-Eye Connect
As a part of expansion strategy, the company is planning to set-up franchisee network all over
India. Through the franchisee network, the company will offer its existing coaching. For this
purpose and to ensure uniformity of delivery, the Company also entered into a Business Solution
Agreement with Aurus Network Infotech Private Limited. Aurus through its flagship product
“DG-Eye Connect” will connect studio classrooms to multiple learning centers, for live lecture
recording and streaming, along with two way audio/video/text interaction.
SUBSIDIARIES

Vsoft Services Private Limited

Vsoft is a 14 years old Mumbai based Indian Language software Development Company. Vsoft
Services Pvt Ltd, promoted by Mr. Rajiv Prakash Khare (M.Tech-IIT, Mumbai) is the pioneer in
development of Indian bilingual software. Recently DMC takeover the Company and the total
takeover consideration is fixed at Rs.1,50,00,000/- (Rupees One Crorers and Fifty Lacs Only) .
Vsoft is a 100% Subsidiary company of DMC and Mr. Bharat Gupta and Mr. Atul Garg was
appointed as nominee directors in the Board of Vsoft. Mr. Bharat, BE-Computer Science from
Delhi University, previously working with MERCER, USA and also Newgen Software
Technologies. Mr. Atul Garg is an electrical engineer and have over 20 years of IT experience.

DMC Institute of Employability Skills Private Limited

The Company through this subsidiary company will enter into the skill development market of
India. India has about 200 million unskilled employable people. Every year 12.8 million people
enter the labour market in India. Only 2 - 4% of the population learns a skill or trade. Very little
linkage between education and employment. Present economic growth is unsustainable if the
work force does not acquire right skills to support a knowledge and technology driven industry.
Time and again, industry has expressed concern over the shortage of skilled resources in India.
Through this company is planning to provide the job-oriented courses in different segments to
the young generation of India.
