Commercial Development Licence for the Use of Material* provided by KCC

This Agreement is made between:

AND
KCC (the Licensor)

In return for payment, and subject to the terms of this Agreement, KCC as Licensor grants you as
Licencee a non-transferrable, non-sublicensable, royalty free non-exclusive licence to:
o use such Content, information, source code, and/or other KCC materials that may be made
available to you to enable you to develop products/solutions in response to challenges
published by KCC
o publish the Content and alter, adapt, edit, incorporate, modify, translate and create your own
product or services as a result of taking part in the Developer Day (a 'Work') provided that You
shall:
a. grant KCC a royalty free non-exclusive licence allowing use of the Work by all or any
KCC sites in perpetuity
b. acknowledge the source of the Content in your Work
c. not publish, distribute or otherwise make the Content available, (including in any Work
You create), in a way that would enable other people to download or use the Content
other than as set out in this Licence
d. only use the Content and/or the Work for purposes that are not illegal, derogatory or
otherwise objectionable or that bring KCC or any third party into disrepute
e. not infringe any third party's intellectual property rights nor remove, obscure, or alter
any copyright notice, trademarks, or other notices (including the terms of this Licence)
included in the Content.

You shall not interfere or attempt to interfere with the operation of the Site in any way through any
means or device including, but not limited to, spamming, hacking, uploading computer viruses or
time bombs, or the means expressly prohibited by any provision of these terms and conditions of
use.

This Licence is the entire agreement between the parties with respect to the subject matter
hereof. This Agreement shall be governed by the law of England in every particular including
formation and interpretation and shall be deemed to have been made within England.

By accepting the material offered for development purposes, Licensee agrees to abide by all of
the above conditions. Licensee shall sign this licence and return it to KCC to indicate receipt and
acknowledgment of the terms of this licence.
