EMPLOYMENT CONTRACT BETWEEN

_ Ashfaq Ahmed, Raja Adeel AND Smartschools.pk

This Employment Contract, made and entered into this _ April_ day of __25th _,20_11_, by and
between the ___Ashfaq Ahmed & Raja Adeel__ , and _Smartschools.pk__ as ratified by action
of the governing board of Smartschools.pk at a regular meeting held on _23rd April_,20_11_.
This contract incorporates and replaces all prior contracts and/or amendments thereto.
Smartschools.pk is an Online School Management System facility established for the purpose
of developing, maintaining, operating and conducting, among other activities, Online School
Management System, Customer Support & up gradation to new features.
In consideration of the mutual promises of each, and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged by both Smartschools.pk and
Developer agree as follows:

1. TERM
The SMARTSCHOOLS.PK employs the DEVELOPER, and the DEVELOPER hereby accepts
employment as a DEVELOPER/Maintainer for a _As long as the project is in operation_ term
commencing on ___25th April_,2011_ and ending on __as long as project is in Operation.
SMARTSCHOOLS.PK may by specific in action and with the consent of DEVELOPER.
SMARTSCHOOLS.PK shall notify DEVELOPER in writing, _20_ days of its intent concerning such
extension and/or nonrenewal.

2. CONDITIONS OF EMPLOYMENT
A. Duties
The DEVELOPER is responsible for overall design & implementation of the system.
The duties of DEVELOPER shall include, but are not limited to the following:
1. Designing & development of the system from explicit requirements provided.(One time)
2. Implementation, testing, debugging of the system.
3. Beta & Alpha test of the system.
4. Maintenance & upgrading of the system.
5. Technical Support.
6. Security of the system
7. Debugging & removal of bugs reported by the customer.
8. Managing the hosting issues.
9. Making sure the smooth & efficient running of the system.

B. Limitation of Authority
Notwithstanding other terms herein, DEVELOPER shall not have the right to make contracts or
commitments for amounts in any means for or on behalf of smartschools.pk, without first obtaining the
express written consent of smartschools.pk

C. Supervision of Developer
DEVELOPER reports to the __Mr. Arslan Qamar Khan____. If that person is temporarily absent or
unable to perform [his or her] duties, then the DEVELOPER shall report to the _Mr. Saad Ali Shah__. In
no event shall there be more than one person at any time acting on behalf of the smartschools.pk insofar
as control of the DEVELOPER is concerned.
D. Criticism, Complaints and Suggestions
The SMARTSCHOOLS.PK, individually and collectively, shall refer all criticisms, complaints and
suggestions called to the SMARTSCHOOLS.PK's attention which SMARTSCHOOLS.PK deems
substantive at the time, to the DEVELOPER for study and appropriate action, and the DEVELOPER shall
review and investigate such matters and inform the SMARTSCHOOLS.PK of the results.
E. Board/Management Meetings
The DEVELOPER shall attend appropriate meetings of the owner, board of directors, board of governors,
president, general manager or other supervisors with the exception of executive sessions devoted to the
consideration of any action or lack of action on the DEVELOPER's contract, the DEVELOPER's salary or
benefits, or the DEVELOPER's evaluation
J. Reassignment The DEVELOPER shall not be reassigned from the position of DEVELOPER to
another position without the DEVELOPER's written consent.

K. Resign
In case the developer wishes to resign from smartschools.pk, [He or She] would provide a written resign
document ONE MONTH prior to desire date.

3. COMPENSATION
A. Salary
SMARTSCHOOLS.PK shall pay to DEVELOPER in exchange for services rendered under this
Agreement, a total of Rs 20,000 will be paid to the developers for creating a basic model of this project as
per given requirement document, further compensation at the rate of _five thousand__ Pakistani Rupees
(Rs__5000_) per month, payable every month, while this Agreement shall be in force.
B. Increment
SMARTSCHOOLS.PK shall make increments in the salary of DEVELOPER, depending on the sales of
the company & efficiency of the Developer.

4. ANNUAL PERFORMANCE EVALUATION


SMARTSCHOOLS.PK shall evaluate and assess the performance of the DEVELOPER in writing at least
once a year. The meeting at which the SMARTSCHOOLS.PK evaluates the DEVELOPER will be held in
a closed environment, executive session if done by SMARTSCHOOLS.PK's governing board, unless the
SMARTSCHOOLS.PK and DEVELOPER agree that it should be held in an open setting. The
SMARTSCHOOLS.PK shall devote a portion of the meeting at which the evaluation takes place to a
discussion of the working relationship between the DEVELOPER and the SMARTSCHOOLS.PK. The
evaluation format and procedure shall be in accordance with the SMARTSCHOOLS.PK's administrative
evaluation system and state and federal law. The evaluation may form the basis for increases in
DEVELOPER's compensation.

5. TERMINATION This employment contract may be terminated by:


A. Mutual agreement of the parties.
B. Disability of DEVELOPER. If the DEVELOPER is permanently disabled or is otherwise unable
to perform [his or her] duties because of sickness, accident, injury, or mental incapacity for a
period of ninety (40) working days beyond any accrued sick leave, the SMARTSCHOOLS.PK
shall have the option to terminate this agreement with no obligation to pay the aggregate
severance sum.
C. Discharge for cause. In the event DEVELOPER commits a material breach of the obligations
and duties of DEVELOPER under this Agreement or commits any acts designated as conduct
violation or for just cause shall be considered cause for immediate dismissal.
SMARTSCHOOLS.PK may terminate this Agreement, during its term, only for "cause" which, for
purposes herein, shall mean DEVELOPER's (i) material and continuing failure to perform [his or
her] essential duties hereunder; including but not limited to failure to work full-time on the
business of SMARTSCHOOLS.PK for reasons other than disability; or (ii) dishonesty; or (iii) gross
misconduct or gross dereliction of duty; or (iv) fraud, misrepresentation or other acts of moral
turpitude or criminal conduct.
E. Death of DEVELOPER.
6. SAVINGS CLAUSE
If any provision, or any portion thereof, contained in this Agreement is held to be unconstitutional, invalid,
or unenforceable, the remainder of this Agreement, or portion thereof, shall be deemed severable, shall
not be affected, and shall remain in full force and effect.
7. MODIFICATION
Any modification of this Agreement or additional obligation assumed by either party in connection with
this Agreement shall be binding only if evidenced in writing signed by each party or an authorized
representative of each party.

8. Terms & Conditions for the system development


1. Complete software including, but not limited to concept, documentation, it’s parts, code,
design, graphics, layout, source code, database would be the sole proprietary and
confidential to smartschools.pk, which shall not be disclosed, transmitted, or duplicated,
used in whole or in part for any purpose without prior written permission. Any use or
disclosure in whole or in part without express written permission of smartschools.pk is
prohibited.
2. Developer will not sell, duplicate, and reproduce, in apart or as a whole, any part of
system.
3. Smartschools.pk holds all rights related to the software, it’s implementation,
upgrading & other related tasks.
