Corporate Controller and Assistant Treasurer - Corporate Officer Position (2003-
2009)
- Oversee 40 employees in a rapid growth environment - company revenues grew fro
m $100 million in 2003 to $650 million in 2009.
- Due to the rapid growth of the company, expanded the Controller Department fro
m 7 employees in 2003 to 40 employees in 2009, with low turnover.
- Responsible for all accounting related areas including GAAP/SEC accounting, ex
ternal reporting, revenue recognition, job set-up, billing, accounts receivable,
cash receipts and collection, payroll processing, accounts payable, all taxes (
U.S. and international income taxes, state and local taxes, payroll taxes), inte
rnal controls, accounting policies, internal financial statements, acquisition a
ccounting, employee expense audit and insurance.
- Reduced the monthly close process from 4 weeks in 2003 down to 7 days.
- Actively involved in the due diligence and the post-acquisition transition pro
cess for the company's 12 acquisitions which ranged from $1 million to over $200
million.
- Oversee the work provided to the external auditors, including account reconcil
iations, analytic write-ups, accounting position papers, Sarbanes-Oxley controls
support, tax calculations, etc. for the audits and reviews of the company's 10K
s and 10Qs.
- Coordinated work with the outsourced internal audit function, including Sarban
es-Oxley 404 testing, IT control testing and operational audits.
- Created and implemented tax planning strategies reducing the worldwide effecti
ve tax rate and increasing cash flows, assure worldwide tax compliance with exte
rnal tax advisors, decided all international transfer pricing issues, successful
ly concluded all Federal IRS and state revenue audits, and signed all tax return
s of the company.
- Successfully completed a Form S-1 Registration Statement filing with the SEC i
n May 2004 and an initial public stock offering in October 2004 - only 5 months
from S-1 to IPO. In order to prepare the S-1 filing, I needed to go back to the
start of the company in May 2002 and restate each of the quarter-end periods to
a full GAAP basis.
- Directed the preparation of all 10Ks, 10Qs and 8Ks from the time the company w
ent public in 2004 through 2009.
- Successfully implemented timely compliance with the required Sarbanes-Oxley in
ternal control regulations after going public.
- Continuously worked on controlling external costs (external audit fees, tax se
rvices, outsourced internal audit function, insurance premiums), saving multiple
$100k's each year.
- Addressed accounting issues with other departments and the operational managin
g directors to assure proper accounting recording of transactions and events.
- Oversaw the quarterly Disclosure Committee Meetings with top management from a
ll departments (finance, accounting, legal, human resources, and operations) in
order to assure properly prepared and fully disclosed quarterly and year-end fin
ancial statements.
- Actively participated and attended all Audit Committee Meetings by preparing t
he agendas, preparing information and presenting at the meetings.
