For over 20 years provided legal counsel to senior management and all department
s of a $14 billion New York State-chartered savings bank, its 32 branches, holdi
ng company, subsidiaries and affiliates.
This legal counsel included diverse areas of law including: litigation, employme
nt, security, bank regulatory, corporate, contracts, lending, real estate, infor
mation technology and insurance.
Represented the Bank on contested cases in State and Federal Courts, and before
administrative agencies and commissions.
Experienced in all facets of litigation including research, legal analysis, prep
aration of pleadings, briefs, discovery requests and responses, position stateme
nts and motions; witness preparation, taking and defending depositions, arguing
motions, mediation and negotiating settlement agreements.
Managed all litigation handled by outside counsel, was liaison to Executive Mana
gement of the Bank and managed litigation budgets for services by retained couns
el.
Actively monitored and analyzed new and anticipated legislative and regulatory i
nitiatives in order to protect against adverse consequences, while at the same t
ime providing every strategic advantage to the Bank in a competitive industry.
Provided ongoing legal counsel for all aspects of corporate operations including
corporate law, real estate and lending law, litigation, software licensing, int
ellectual property, confidentiality, and employment law and with respect to poli
cies and procedures, employment offers and terminations, wage and hour, discrimi
nation and employee benefits. Drafted contracts and agreements including Releas
e and Separation, Consulting, Employment, Confidentiality, Settlement, Restituti
on, Retainer, Indemnification and Offer Letters.

a Successfully represented the institution in a number of discrimination actions
before various Courts and Administrative Agencies.
a Lead in-house counsel on default interest rate case with significant implicati
ons for financial services community.
a Established and facilitated the systemization of the institutionas Regulation
O compliance program.
a Researched and prepared corporate policies and procedures pertaining to the in
stitutionas Code of Conduct, Employee Handbook and Manual, Tuition Reimbursement
