RELEASE AND CONSENT

I have voluntarily and knowingly applied as a participant and competitor for the National Food Showdown 2011 (the Competition), a culinary competition sponsored by TV Food Chefs, Inc. (TV FOOD CHEFS) to be held on 23 and 24 September 2011 at the A. Venue Events Hall, Makati City (the Venue). As a participant/competitor, I acknowledge that I am tasked to perform and bring all of the requirements for the Category/ies that I am registered in including but not limited to the preparation of the dishes chosen and the ingredients, tools and equipment necessary for such preparation, table setting including all dishware, silverware, glassware needed for such setting and other equipment and tools as may be required by the Organizing Committee of the Competition; As a participant, I hereby commit to do no acts as would jeopardize, compromise and/or expose to risk the Competition, TV FOOD CHEFS, the Organizing Committee, the Venue and all the advertisers or sponsors of the Competition (collectively, the Sponsors) and other participants/competitors. I undertake not to cause harm, damage, loss or injury to any of personnel, including myself, involved in the Competition. I undertake to comply with all the rules, regulations, general policies and instructions of the Competition and hereby acknowledge that the Organizing Committee shall have the sole discretion in determining the rules, regulations, general policies, instructions and mechanics for the Competition including the criteria for judging and prizes. I hereby acknowledge that I will abide by and accept the decision of the Organizing Committee and the judges as regards the winners of the Competition. I acknowledge further that my participation in the Competition is on a voluntary basis and I shall not receive any compensation, fee or reimbursement for my participation in the Competition including for any Works, as defined hereinafter, I have submitted in relation to the Competition. I agree that all costs and expenses, related to my participation in the Competition shall be for my sole account. I acknowledge and agree that my participation in the Competition shall not be construed by me, or my heirs, successors and assigns, as a pre-qualification or requirement for, or constituting or evidencing a contract of employment between TV FOOD CHEFS, the Organizing Committee, or any of the Sponsors and myself. I understand and acknowledge that I am an independent contractor. I hereby acknowledge that TV FOOD CHEFS shall have perpetual right to any and all recipes, presentation, settings and works (collectively, the Works) which may be created out of or in connection with my participation in the Competition, without material or territorial limitation. I hereby release and hold TV FOOD CHEFS, the Organizing Committee, and its Sponsors, their respective directors, officers, stockholders, employees, licensees and assigns, free and harmless from any claim by any third party in relation to any Works that I have furnished, provided and made in relation to my participation in the Competition, including copyright infringement. I warrant and represent, except as may be allowed under the Competition mechanics, rules and regulations, the Works I have furnished in relation to the Competition are wholly original to me and/or have not been presented in any competition, whether for fee or otherwise, of similar nature. I further warrant that Works shall not infringe upon or violate the rights of any person, firm or corporation. In relation to Item 5 above, I hereby consent and authorize TV FOOD CHEFS, its successors, licensees and assigns to use, produce, copy, distribute, broadcast, publish, and reproduce the Works, my name, likeness, biographical material, photographs, films, videos, recordings, in all forms and media now known or hereafter developed, for any and all purposes whatsoever, including but not limited to broadcasting or publication by any medium, including print, television, radio, recording, the World Wide Web or Internet, throughout the world in perpetuity and without cost to TV FOOD CHEFS, its successors, licensees and assigns; I hereby assign unto and license to TV FOOD CHEFS the use and all right, title and interest, including copyright, in my likeness, including all images, photographs, scans, portraits, pictures, videos or other portrayals of my image, likeness and personality in connection with the Competition. I agree that such shall become the sole property of TV FOOD CHEFS. TV FOOD CHEFS shall have full and complete rights to allow public distribution and exhibition of the Works, my likeness, image and personality in such manner as TV FOOD CHEFS shall desire, including on the Internet, and further that TV FOOD CHEFS shall be granted and assigned full and complete rights to any interview, appearance or performance in which I have participated in relation to the Competition, including all copyright therein, such that TV FOOD CHEFS may freely distribute, publish, broadcast and copy such interview or performance. I hereby assign absolutely to TV FOOD CHEFS any and all such copyright, performers rights and any related rights whatsoever and any and all moral or related rights which I may have in such interview, appearance or performance are hereby freely waived.

I hereby release and hold TV FOOD CHEFS, the Organizing Committee, the Competition judges and its Sponsors, their respective directors, officers, stockholders, employees, licensees and assigns free and harmless from any and all claims which I, or any third party, have or may have for tort, damages, omission or any other cause of action arising from my attendance/participation in the Competition. 11. I acknowledge that I am participating in the Competition with full knowledge and understanding of the risks involved therein. I, including my successors and assigns, shall hold TV FOOD CHEFS, its organizing Committee and its Sponsors, their respective parent company, affiliates, subsidiaries, officers, employees and personnel, free and harmless from any claim arising from any physical injury, disability, loss or damage or death, or any other claim arising from my participation in the Competition that I may suffer during the Competition, whether caused by an event outside the control of TV FOOD CHEFS, its Organizing Committee, Sponsor or any act or negligence of any third party.

12. In the event the Competition is terminated or cancelled on the Competition Schedule due to public emergency or necessity, legal restriction, act of God, strikes, lockouts, or at the direction of national, provincial or city authorities, or for any reason beyond the control of TV FOOD CHEFS, the Organizing Committee and the Sponsors, I hereby release and hold TV FOOD CHEFS, the Organizing Committee and the Sponsors, their respective directors, officers, stockholders, employees, licensees and assigns, free and harmless from any and all claims which I, my heirs or assigns, have or may have, arising from such termination, suspension or cancellation of the Competition. 13. I hereby warrant that I am of full legal age (if above eighteen (18) years of age) and have capacity and right to contract in my own name; that I have read the above release and consent prior to its execution, with full understanding of its content and consequences thereof, and that I have agreed and accepted all the terms stated above.
