RESOLUTION NO. _______ A RESOLUTION RETAINING LEGISLATIVE COUNSEL WHEREAS, the Village of Island Lake is a municipality located in Lake and McHenry Counties, Illinois; and WHEREAS, the Trustees may, from time-to-time, have divergent views and perspectives on issues coming before the Island Lake Village Board due to political, philosophical, and policymaking differences from that of the Mayor; and WHEREAS, the Village currently employs a Village Attorney; and WHEREAS, the Trustees may, from time-to-time, choose not to seek legal counsel from the Village Attorney, who was appointed by the Mayor, with the advise and consent of the Trustees; and WHEREAS, the Trustees may, from time-to-time, in the exercise of their legislative duties, wish to seek independent legal counsel; and WHEREAS, Section 8-1-7 of the Illinois Municipal Code, 65 ILCS 5/8-1-7, authorizes the corporate authorities of any municipality to make contracts for a term exceeding one year, and not exceeding the term of the mayor or president, relating to the employment of a municipal attorney and the employment of outside professional consultants such as attorneys who require technical training or knowledge; BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ISLAND LAKE, MCHENRY AND LAKE COUNTIES, ILLINOIS, as follows: Section 1. The above stated recitals are incorporated herein by reference.

Section 2. Pursuant to the authority granted by Section 1-8F-1 of the Island Lake Village Code, the law firm of ZRFM is hereby retained as an independent contractor to serve at the pleasure of the Trustees as independent legislative counsel to the Trustees at the rate of $160.00 per hour for attorney legal services. For fiscal year 2011-2012, the maximum legal fees billed to the Village for work performed for the Village by legislative counsel in any given month shall not exceed $2,000.00 per month. Legislative counsel shall not be expected to attend board meetings unless requested by a majority of the trustees. The term of this contractual relationship shall be for a term in excess of one year but not exceeding the term of the Village President. The contract can be terminated by Board action or by the law firm, but all charges incurred by the Village prior to termination shall be paid. Section 3. In the event a conflict exists between the terms of this Resolution and any other ordinance of the Village, the terms of this Resolution shall govern. Section 4. In the event that any term or provision hereof is found or determined to be invalid, the invalid portion shall be deemed stricken herefrom and the remainder shall be in full force and effect. Section 5. and approval. This Resolution shall be in full force and effect from and after its passage
