AGREEMENT This agreement made on the Wednesday 24th August 2011, by and between APOEL basketball club of NICOSIA,

(hereinafter referred to as the Club), and Mr. Slaven Cupkovic, Serbian Citizenship, Date of birth 23/6/1988 and passport number: ___________ (hereinafter referred to as the Player) and Mr. Miroslav Illic & Guillaume ALTHOFFER hereby represented by FIBA License number: 2007019053

WITNESSETH In consideration of the mutual promises hereinafter contained, the parties hereto promise and agree as follows: The Club hereby employs the Player as a skilled basketball player for the 2011/2012 season. The employment shall start on September 12th, 2011 and shall end on the final day of the season. Following the Players arrival in Cyprus, It is the responsibility of the Club to give the Player a complete physical examination during the first four (4) days after the Players arrival.

2) At the end of the contract the Player is free to sign with any other club he wishes, without any compensation to either party. The player will receive a net salary for the season 2011/2012 of US$3,300(US Dollars Three Thousand Three Hundred Only) per month for an initial period of 6.25 months. The schedule of the salary payments is as follows:

If the team continuous to play beyond March 20, 2012, the player will receive a prorated salary of $110 (One Hundred and Ten Us Dollars Only) net per day and he will receive this salary before his departure from Cyprus.

The bonuses are net and accumulative. No bonuses will be paid for friendship games and other non-official games or Cypriot Cup Games. The bonuses are to be paid on the same month that the bonus is achieved (as per clause 7).

6) Said salaries are net amounts (the Club pays all taxes), and will be paid on last day of each month. 7) The Player will receive the following bonuses: A. Winning the Cypriot League Championship B. Winning the Cypriot Cup Championship

A delay in any payment (according to schedule of payments of clause 3) of more than 21 days may be regarded as a breach of the agreement by the club. In this case the player has the option to refrain from rendering any services to the Club until the full amount(s) owed to him have been paid the payments that are due according to the payment schedule. If after 7 additional days still has not fulfilled all the financial commitments toward the Player or the Representative, Parties will try to solve dispute on amicable way. If they will not arrange any settlement in results of led conversations, the Player will be free to leave, while the club has to pay all salaries mentioned above, immediately issue a letter of clearance and pay the Agent fee. The Club shall have full responsibility for the submittal of an application for an issuance of all work permits, licenses, visas, etc. which may be required by law for the Player to properly and legally provide the services outlined in this Agreement to the Club. The Player shall cooperate with the Club in assisting in the fulfilment of any such requirements.
9) 10) This is a guaranteed agreement provided that the Player passes the

Clubs medical and physical examinations within four (4) days from the arrival in Cyprus. If the Agreement is not terminated in writing by September 16, 2011, the Agreement will be automatically guaranteed from September 17, 2011 until the end of the season. 11) The Club agrees to provide the following for the Player:

A. The club will provide an apartment to be shared with another player of

the club. It is a suitable furnished apartment of good standard, with a television, internet, complete with a bathroom & kitchen. The Club will pay expenses for electricity and all other utility expenses for the apartment. The player will pay his own telephone bill. The Club will also provide the Player with a car to be shared with another player of the club. The team will assume all the costs of the car except the cost for gasoline and any parking or traffic tickets the Player may receive. If the Player causes any damage to the apartment or the car he will have to pay for the repair costs. The Club has the right to pay the repair costs directly to the claimant and deduct such costs from the players salary. Player will have 2 meals per day paid in restaurants that club will assign.

B. The Club shall cover all medical expenses for cure and treatment of

injuries and diseases incurred by the Player and coming from performing this Agreement during his stay in Cyprus standard healthcare, hospitalization. The Club is responsible that the Player will have the Clubs standard sports medical insurance while staying in Cyprus. The player has to visit the doctors recommended by the Club only at the presence of a Clubs representative and agrees to give the Clubs coach, trainer, or physician immediate notice of any injury suffered by him, including the time, place, cause and nature of such injury. In case the Player does not follow the procedure as described in this clause then the Player will be subject to disciplinary action. C. The Club agrees to pay 100 % of the players salary if the player is unable to compete due to injury related to club activity. The payments would last for the remaining months on the contract following any injury to the player.
D. The Club will provide to the player with one economy round-trip tickets

from Belgrade to Cyprus.

E. The Club will provide to the Player one membership to a Fitness Gym

for weight training. 12) The Player agrees to provide the following throughout the time of the contract: A. The Player will be present in good condition and will participate in all scheduled games, team practices, and individual practices. The Player is to wear the uniforms and warm-ups provided by the Club in all playing contests. B. The Player will not bring any discredit to the Club, the team or the sponsor.

C. The Player is not allowed to play games or practice with any other team during the contract period, unless with a written approval of the coach or the general manager.
D. The Player agrees that he is aware of the use of random drug testing

and he will be available for the FIBA and or the Cyprus Basketball Federation doping test as required by the Club and or the Federation. If the Basketball Federation of Cyprus and or FIBA suspend the Player for one (1) game or more, due to the fact that the Player tested positive to drug testing, the Club has the right to terminate this agreement immediately. E. The Player will follow the Internal Rules of the Club. The club agrees to pay the Agent Miroslav Illic, 10% of total amount of the contract, free of taxes, which is USD $2,060 (Two Thousand and Sixty USD) NET to be paid no later than September 30th, 2011.

14) This contract is void in case of involvement with drugs, excessive use of alcohol, for not following the directives of the club and for the unexcused missing of games or practices. 15) The Club shall grant the Player his Letter of Clearance at the end of the contract unless the Player owes monies for damages to the apartment, or for telephone expenses. 16) This contract contains the entire agreement between the parties and no other agreement, oral or otherwise, regarding the subject matter of this contract shall be deemed to exist or bind any of the parties hereto. 17) Any dispute, controversy or claim arising out of this Agreement shall be settled through negotiations of the parties, involving Players Representative. In case of failure to so settle the dispute shall be referred to and settled in to the Basketball Arbitral Tribunal (FAT), created by FIBA, in Geneva, Switzerland and shall be resolved in accordance with the BAT Arbitration Rules.
