This shall be called and known as the MARKETING CONTRACT (or MC) and is entered into by and between,

the First-party whose name and signature are stated in the Signature section hereof, and hereinafter referred to as Contractor, and Emelino T Maestro, ETM Events and Seminars Services, ETM Tax Agent Office (ETM-TAO), Inc., and hereinafter referred to as ETM. TERMS AND CONDITIONS. The following shall be strictly observed, obeyed and respected at all times, without mental reservation and purpose of evasion, viz; 1. REPRESENTATION. Contractor and ETM shall be exclusively and solely represented by their respective authorized persons whose names and signatures appear on the Signature section hereof, in which their signatures and agreements shall bind the aforementioned contracting parties. 2. OBJECTIVE AND PURPOSE. The Contractor shall promote, sell, market, advertise, and publish the identified events of ETM. 3. CONTRACTOR. For the promotion and furtherance of the objective and purpose of this MC, the Contractor shall a. acquire all necessary tools and equipments to be used in its operations; b. prepare all essential advertising and promotional paraphernalia based on the agreed parameters and specifications; c. email, facsimile, and text-blast these advertising and promotional collaterals immediately; d. accept calls from its potential participants; e. explain to its potential participants the benefits and issues that cover the scheduled events; f. encourage all callers to attend the said events and pay on time;

g. design and develop a Reservation Slip; h. prepare and send the Reservation Slip to its participants; i. request its participants to fill-up the Reservation Slip; j. prepare a summary of received Reservation Slips during the day and email it on or before 5 pm of the same day to ETM for the for purposes of billing and collecting fees; k. not collect any fee and give any favor to its participants without a written consent from ETM; l. bill ETM for the commission earned; m. have a working knowledge in the field of taxation; n. inform all participants of the rescheduled events; o. do whatever legally possible to increase the number of participants and coverage of advertising and promotions of all scheduled events; and p. do all assigned and agreed tasks. 4. CONTRACTOR-COMMISSION. The contractor shall receive 15% commission based on the gross income actually earned for each and every participant that it referred and/or brought in. The term gross income shall be understood to be the gross receipt actually collected less discount and hotel charges and shall include the 12% value added tax or 3% percentage tax, whichever is applicable, and 10% expanded withholding tax. 5. ETM. To make this MC works, ETM shall a. prepare the parameters of the marketing campaign for the scheduled events; b. inform the Contractor about these parameters; c. receive and accept the summary of Reservation Slips;

d. bill all the participants; e. collect all investment seminar fees; f. choose the venue to be used and food to be served; g. pay hotel/venue charges; h. pay Contractors commission within 3 banking days from receipt of its billing statement. i. withhold tax from its commission and remit the same to the BIR; j. issue a BIR Form No 2307 for tax withheld; k. account for income and expenses; l. prepare all essential reports; and m. do all assigned and agreed tasks. 6. DISPUTE RESOLUTION. The order, instruction and resolution of ETM shall always be on top of every order, instruction and resolution that may come from whoever parties. 7. SIGNATURE. Contractor and ETM affixed their signatures hereunder to attest that the provisions of this MC shall be faithfully complied with.
