LEAVE AND LICENCE AGREEMENT

THIS AGREEMENT is made and entered into at Kamothe, Navi Mumbai, on this day of 2011 BETWEEN Mr./Mrs._________________________________ an adult, Indian Habitant, aged ________ years Indian Inhabitant, residing at, _________ ________________________________________________________________________ Hereinafter called the LICENSOR (Which expression shall unless be repugnant to the context of meaning thereof be deemed to include his/her heirs, executors, administrators and assigns and shall include the female gender and plural) of the FIRST PART. AND Mr./Mrs. ___________________________________________________, an adult, aged _________ years, Indian Inhabitant, presently residing at, _________________________ _______________________________________________________________________ Hereinafter called the LICENSEE (Which expression shall unless be repugnant to the context of meaning thereof be deemed to include his/her heirs, executors, administrators and assigns and shall include the female gender and plural) of the OTHER PART. WHEREAS the LICENSOR is a member / shareholder & beneficial owner of commercial / residential, _______________________________________________ _______________________________________________________________________ (hereinafter called The said Society) & as such is absolutely entitled to hold, use & occupy the said Flat / Shop. AND WHEREAS it has been arranged that the Licensee shall with the Leave & License of the Licensor have the use of the said Flat / Shop for the residential / Commercial purpose. AND WHEREAS: The licensee being in acute need to Temporary Residential / Commercial accommodation had requested the Licensor to grant the Licensee his permission and license for use of the said premises for the temporary period of __________ (period). Both the parties have agrees upon the terms and conditions hereinafter contained. AND WHEREAS: As per the recent orders form the Department of Police, the Licensee furnish the following details and further agrees to co-operate in getting No Objection from the local Police by appearing personally as and when called by the Police under which jurisdiction the said Premises is covered: i. Permanent Native Address : ______________________________________________ ____________________ ii. Present official Address : _________________________ ___________________ iii. The recent passport size photograph is affixed in appropriate place. NOW IS HEREBY AGREED BY AND BETWEEN THE PARTIES AS UNDER: 1. That the License to use the said premises shall be according to English Calendar months commencing from _________________ to __________________ for a period of Eleven months. 2. The basic compensation of the said Flat / Shop will be Rs. _________ (Rupees___________________________________ Only) per month payable in advance by 1st day of each month except maintenance Charges, This amount shall not be inclusive of all society charges like electricity charges, service charges, water charges, Nonoccupancy charges, Watchmens salary etc. and exclusive of parking charges as applicable. The vehicle parking charges to be paid by the Licensee. 3. The Licensee shall keep in deposit with the Licensor a sum of Rs. ____________ (Rupees _________________________________________ Only) free of interest, which will be adjusted against the compensation for the notice period, and the 4. Balance amount will have to be refunded b y the Licensor before taking the vacant possession of the Flat / Shop. 5. Either party shall be liberty to terminate this Leave & License earlier by serving on the other, one calendar month prior notice in writing. 6. To use the said premises only for the purpose mentioned in clause (2) above and not to use the same for any illegal, immoral or improper purpose or as a public house, not to cause permit or suffer in any part thereof anything which may become a nuisance or annoyance or cause damage to the Licensor or the adjoining owner or occupiers or neighboring properties. 7. Not to claim any rights or interest of any kind or nature whatsoever in the premises or any part thereof save and except to use the same as a mere Licensee. 8. The Licensee shall not carry out any structural, additional alternations in the premises without prior permission of the Licensor. 9. The Leave & Licensee has been granted by the Licensor on the express understanding that nothing herein shall create any tenancy or lease or sub-tenancy or any other right or interest of any part thereof other than the permissive right of use hereby granted it is

being clearly understood that the rights are purely, temporary, personal and on contract basis and are non transferable. 10. The Licensee shall not be entitled to transfer the benefit of this agreement to anybody else. Nothing contained in, this agreement shall be deemed to grant a lease or demises or right of any nature whatsoever and the Licensee agrees and undertakes that the Licensee shall never take up such contention at any time in future. 11. Not with standing anything contained in this agreement, both the Licensor and Licensee shall at any time, during the period of this agreement or on its expiry, are entitled to renew the period of 11 months, in the said premises by executing a fresh Leave and License Agreement by giving to the other party one month notice in writing and with prior permission of the LICENSOR, and if no such intimation is exchanged by both the parties then Agreement will come to an end on the expiry of the original period of 11 months. 12. The License shall abide the byelaws of the society and keep the premises in clean condition and shall not damage the premises. 13. The Licensee shall pay and bear all the charges for electricity to be consumed in the Flat / Shop as per reading of such meters attached to this Flat / Shop. 14. The Licensee shall assist the Licensor in obtaining permission from, police station / society / builder, for occupation of the Flat / Shop by the Licensee. 15. The Licensee shall pay the compensation hereby reserved and perform the covenant herein contained and if carried out on the part of the Licensor as well, the Licensee should have peaceful and quiet enjoyment of the premises without any interruption from the Licensor or their servants or agents. 16. The Licensee shall not create any nuisance, annoyance, or act of waste in the aforesaid premises. The Leave & License will be in force for a period of Eleven Months unless terminated earlier and shall terminate on _______ on which date the Licensor peaceful and vacant possession of the premises unless this agreement is renewed by the parties hereto in writing for such further period on terms mutually agreed. 17. The Licensee shall replace / repair any fitting that may be damaged or broken due to negligence but reasonable wear, and tare, damage in the course of using the same excepted. 18. The Licensee shall be at liberty to install other fitting and fixtures in the premises, which will be removed by the Licensee on termination of the Leave & License. 19. In the event of any leakage of constructional nature the cause thereof shall be borne by the Licensor. 20. The Licensee shall allow and permit the Licensor or their agents entrance in to the premises at all reasonable hours for the purpose of inspecting the premises on receipt of twenty four hours notice in writing. 21. The Licensor shall at all times during the subsistence of this agreement keep the Licensee harmless and indemnified against all actions proceeding, claims raised / taken by the Government, Judicial, quasi-judiciaal or any third party challenging the authority of the licensor to give the said flat on Leave & License basis to the Licensee. 22. The transaction envisaged under this agreement will be within the purview of Section 24(1), (2), (3), of Maharashtra Rent Control Act. 1999 and the Licensee had given undertaking and assurance that he will not claim any right in the Competent Authority for getting possession of the said flat, after the expiry for this Agreement as per the provisions contained herein. 23. Notwithstanding anything contained herein, it shall be lawful for the Licensor, in event of any breach of the terms and conditions, by the Licensee, clearly mentioned in the said Agreement, revoke the Licence and permission granted to occupy the said premises, by giving to the licensee four weeks previous notice by in writing and if such notice is given the licensee shall hand over the possession of the said premises to the licensor after completion of the one Months notice period and on receiving back the deposit amount and the licensee shall not complain or have any objection to vacate the said premises or claims any rights in respect of the said premises for the rest of the period. 24. In case the Licensee desire to hand over the premises to the Licensor, due to unavoidable circumstances before the completion of term / tenure of this Agreement it shall be lawful for the Licensee to give one Months termination notice in writing to the Licensor as to enable the Licensor to make arrangement for the said security deposit to be paid back to the Licensee. 25. The Licensee shall not do any act deed or things as would constitute a breach or the rules, regulations any Bye-laws of the Society. 26. On termination of the Leave & License the Licensor will take over peaceful and vacant possession in the same condition as it has been now normal wear and tare and damage by

fire (not caused by negligence on Licenses part) earthquake, riot, violence, of any army or mob war, air raid, or acts of God accepted. IN WITNESS WHEREOF the arties hereto have executed this Agreement in the manner hereinafter appearing on the day and year hereinabove written.
