Today 10th October, Sunday 2010, the above members formed the following agreement and started the firm named M/s. Alpona Label. Every member of the firm is mentally well and

matured and all are Bangladeshi and Muslim. The conditions of the partnership agreement are the following:

Name of the firm: M/s. Alpona Label Address: Plot-36, Road- M. Bir Uttam Road, Ashulia, Savar, Dhaka. (Factory), address of the firm may be changed by the partners. Area of the firm: The working area of the firm is in the whole Bangladesh. The area will be expanded in the international market. Nature and Objectives: To supply the different type of label of textile to the different business customer with high quality and just in time delivery. Capital: The initial capital is 50 lakhs of which 30 lakhs is financed by the Bank and partners will invest additional capital if necessary. Partners Drawings: Partners may withdraw money from the firm if necessary. Interest on Drawings: Interest on the withdraw money will be charged @ 10% annually. Profit and loss: Every partner of the firm will receive profit and loss according to their capital. The

Partnership Agreement::Page D2 of D3 Management: Every partner can run the firm and one person will run the firm outside the firm as a General Manager. Salary: Every partner will receive salary equally. Name of Bank: HSBC, Savar Branch, Dhaka. Running banks Account: Two members of the firm run the firms bank account. Signature in the Paper and different Agreements: The first two members of the firm will deal in different documents on behalf of the firm. Starting of work: The starting of the firm is considered after the signature on the agreement. Publish of Final account: At the end of every year the firm will publish and submit to the meeting. Time of account: From January to December will be considered as time of account. New partner: New member may be included in the firm by the permission of the all partners. Retirement of partner: A partner can retire from the firm by giving 3 months notice. Death of partner: In this case, the nominee of the dead partner may run the firm; otherwise his/her money of the firm will be paid. Method of Money paid: In case of death or retirement the money of partner will be determined within 2 months and paid within 3 months after determination through 3 installments. Valuing of Goodwill: Goodwill will be valued in standard form. Solve of problem: The any problem among the partners will be solved by the agreement or following the act of partnership of Bangladesh. Dissolution: The firm will be dissoluted according to the act of partnership of Bangladesh. Change of Conditions: Any condition of the firm may be changed through the approved of partners.
