General Notes The above equipment list is indicative and may change to some extent. The exact technical specifications and quantities will be confirmed after detailed engineering. For Pump the material of construction mentioned above is only for wetted parts.

b. Packing and tagging Preparation shall be in accordance with clients requirements packing and marking. The packing of the materials, goods or equipment shall be sufficient to provide protection from damage due to normal handling during transport. Bolts, nuts, washers and any other small items for field installation or storage shall be packaged and clearly marked. Shafts shall be locked in position to minimize brinelling of bearings. It will be ensured that all materials, goods or equipment are supplied and fitted with lifting lugs as necessary to facilitate handling during assembly, maintenance and transport. Machined surfaces shall be adequately protected from corrosion and damage during transport.

c. Erection and Commissioning:

Erection and commissioning of Equipment and Piping on site is in Praj scope.


Kick off / Review Meetings and Supervision Visits (ONLY RECOMMENDED BY PRAJ) (i) Kick - Off Visit: 1 visit of 2 engineers for a period of 1 working day each to Site.

For all these visits, to and fro charges, all expenses in Site like lodging (hotel) & boarding (food) are to be made by Client at actual.

d. Training of operating personnel: PRAJ will provide training for clients plant operating personnel. This will include: Classroom training at clients place. Classroom training will be provided on the following: - Fundamental aspects of the process - Testing and analytical procedures - Start-up, shutdown, plant operation, trouble-shooting and what-if analysis - Start-up and shutdown procedures In plant training during start-up and commissioning: On the job training will be provided after the theory Training on the site during the water trial and precommissioning of the plant. This will involve: - Plant operation and trouble-shooting - Safe operating practices - Training material will be provided by PRAJ and competency tested to ensure effective learning. e. Electrical Lightning arrestor, earthing pit & earthing to individual equipment is in Clients scope. . f. Civil & Structural (CLIENT Scope): Civil Load Data will be prepared for structural design of civil units. Design Procurement, fabrication & construction of civil units is in the Client scope.

g. Instrumentation All minimum necessary instruments required for the Water treatment plant as per scope of supply mentioned above is considered in PRAJ scope.

SECTION VI : EXCLUSIONS (CLIENTs RESPONSIBILITIES)


1 Approvals Statutory approvals & Authorities' approval for construction and operation of the plant. Applications and license fees to various statutory Government Authorities for obtaining various clearances permissions, No Objection Certificates, etc Equipment Storage Storage & security of supplied equipment on site. Storage, transport, handling and treatment of raw material, water, air, steam etc. up to the receiving equipment as specified in the battery limit. Mechanical Items Chemical Storage tank along with unloading pumps Raw water, treated water storage tanks and distribution system Civil and Structural All civil works including buildings, foundation for equipments / skids / structural, Effluent. Pit, acid / alkali proof lining, approach roads etc. However civil GA drawings with loading data and foundation details will be furnished after award of contract. Structural Design , Procurement, Supply and construction as per Indian standard and construction (as opted by client) of structure work with Indian standard members including steel building, ladders, platforms, pipe racks, cable trays etc for the Complete Plant. Landscaping, land leveling, demolishing of existing structures, land survey, contour plotting, soil strength test / analysis. Effluent storage/settling pits if any Design, engineering, construction & execution of all civil work including all foundations, drains, sumps, pits, tanks, shed and non-plant-building etc. Design, engineering, construction & execution of all Civil and Structural works for MCC, PLC and Control Panels.

Electrical: HT/LT transformer, DG, Turbine, Capacitor and HT/LT electrical cabling relay, switches including capacitors for power factor correction, PCC, Cables. Plant Lighting, Lightning arrestor, Earthling pit and yard lighting. Instrumentation: Instrumentation other than scope of supply. Instrument calibration, cable trays etc. for those instruments. Facilities to inter connect with existing control system.

SECTION VII: SCHEDULE OF PRICES AND PRICE BASIS

PRICE SCHEDULE:
For Design, Engineering and Supply of Equipments for Water treatment plant and subjected to battery limits and scope of supply FOR site mentioned in section IV & V is as follows:

COMMISSIONING / HANDOVER:
After erection, the facilities in Clients scope should be made available for commissioning. In absence of same within 30 days it will be assumed that the plant is commissioned and the same will be handed over. All the dues against commissioning will be released immediately thereafter.

e.

VALIDITY:
Our offer is valid for acceptance for a period of 30 days, from the date of submission.

f.

STATUTORY VARIATIONS (ANY VARIATION):


Our prices are firm but subject to statutory variations. Any increase in Excise Duty, taxes etc. at the time of delivery shall be charged extra to your account (Required proofs / documents will be furnished for the same) However, if there is a reverse in excise duty the same will be passed on to your account.

g.

WARRANTEE:
12 months from the date of commissioning of the plant or 18 months from the date of supply, whichever is earlier.

Our warrantee is only against manufacturing defects found in the plant. Our warrantee will be void if faulty installation / operation is found. Warrantee is subject to the following conditions. i) Original spares are used for replacement. ii) Specified quality lubricants are used for lubrication as per schedule.

h.

FORCE MAJEURE CLAUSE:


Our offer is subject to the acceptance of Force Majeure Clause such as Strike, Lockout, Non-availability of raw materials, or Acts of God such as Fire, Flood, Draught, Earthquake, etc. which are beyond our control.

SECTION VIII: GENERAL TERMS AND CONDITIONS


a. Submission of engineering documentation package is not to be considered as transfer of know-how on a general basis. b. Any data, information, designs, drawings, process know-how and other such documentation pertaining to design, manufacture, operation and maintenance of the plant and machinery, which PRAJ may discuss and/or elaborate and/or handover to PURCHASER or their Consultants or officials from time to time, are of proprietary nature and are to be kept confidential by PURCHASER or their consultants. c. PURCHASER or their consultants shall neither disclose such data, information, designs, drawings, process know-how, and other such documentation to any third party nor use it for any other purpose other than its intended use, without the written permission from PRAJ. d. The following facilities/services are to be arranged for our staff by the free of cost to us for supervision services PURCHASER

All local conveyance & transportation including between airport & hotel, hotel to site and at site. Suitable boarding facilities and furnished accommodation for our engineers at site.

e. Delivery: Total delivery period for supply of equipments, piping and accessories will be 08 Months f. Consequential Damages: Neither party shall at anytime be liable to the other for any loss of profits and any similar indirect damages, however, described, incurred or suffered by either party in respect of the project. g. Inspection: All the equipment fabricated by Praj shall be subject to inspection and Quality Assurance by Praj personnel. If client desires to be present during all the above inspection activities then all the expenses related to this will be in clients scope. This additional requirement of clients presence during above inspections may result in requirement of additional time. Since at the time of submission of this offer the nature of any such additional requirement on account of inspection from clients end is not known, therefore its impact on Price and delivery is not considered and may be discussed / revised during subsequent discussions appropriately Third party inspection has not been considered in the above price and delivery schedule. If the same is required, the inspection charges will have to be borne by Client and Praj will indicate the revised delivery schedule accordingly.

h. Insurance: Insurance by CLIENT From such date as the parties agree and is appropriate until Commissioning of PROCESS PLANT, insurances will be arranged and maintained by Client with reputable and substantial insurers to cover the full value of the respective interests of the Client, Praj/ Praj Sub Contractors and such other persons (if any) as determined by the Client as follows: Insurance to cover the risks of physical loss, damage or destruction of PROCESS PLANT to its full replacement value and all materials and equipment to be incorporated therein. Public liability insurance covering legal liability in respect to third party bodily injury and damage to property for appropriate limits. Workers insurance which complies with the laws for the time being in force in India.

Insurance by PRAJ During the currency of this contract in respect of PROCESS PLANT, Praj shall at their own expense, insure and keep insured their engineers at their own expense and keep insured the following with reputable and substantial insurers on policy terms acceptable to Praj: i. Delay In Completion: If the completion of dispatch is delayed beyond the contractual date for reasons beyond our control as listed out hereunder but not limited to them, we shall be entitled to suitable re-adjustment in the period of completion by mutual consent and the contract will stand amended to that extent: j. Delay in inspection beyond the appointed date or delay in approval of test certificates, whichever required, beyond a period of 7 days from the date of submission by us. Delay in release of dispatch clearance or hold up of work due to your specific instructions or lack of instruction. Delay attributable for Force Majeure conditions, more particularly detailed under appropriate clause hereunder.

Force Majeure: Force Majeure shall include but not be restricted to Acts of God or enemy, action of the government in its sovereign capacity including changes in law or policies, strikes or shortage, floods, fires, earthquakes, explosions, accidents, epidemics, civil commotion's, insurgency, war, riots etc. includes any factor or event beyond the reasonable control of parties. In the event of any Force Majeure circumstances affecting the ability of either party to perform in accordance with this Proposal for extended periods of time exceeding 3 weeks, the parties hereto shall meet and jointly decide the future course of action including but not limited to amendment or recession of this Proposal. In the event that any occurrence referred to above hereof causes a delay exceeding 3 (three) months, either party shall have the right to terminate this Proposal without giving rise to any claim for additional compensation except for the payments defined hereinabove plus any costs and expenses reasonably incurred by Praj as a result of such termination.

k. Warehousing Charges: In the event, the equipment/ components which are ready at the works of Praj or their sub-contractors/ vendors, cannot be dispatched for reasons attributable to Client, Client shall pay to Praj their warehousing charges at the rate of 2% per month of the value of these equipment for such undelivered equipment/ components with Praj. Client will however, release proportionate payment due against such supplies to Praj. l. Rotation Of Site Supervisory Staff / Engineers: Praj shall have the right to change/ rotate Site Supervisory staff, as may be deemed fit, in which case travel expenses due to such unscheduled rotation/ change shall be borne by Praj. m. Secrecy And Confidentiality: Any data, information, designs, drawings, process know-how and other such documentation pertaining to design, manufacture, operation and maintenance of the PLANT, which Praj may discuss/ exchange/ elaborate/ hand over to Client or their Consultants from time to time, are of proprietary nature and are to be kept confidential by Client or their Consultants subject to the disclosures of such information to regulatory authorities in India and compulsory disclosure under order of court. Client or their Consultants shall neither disclose such data, information, designs, drawings, process know-how, and other such documentation to any other third party nor use it for any other purpose other than its intended use, without the written permission from Praj. Praj will not share any of the design data, which is specific to Clients project, to third party companies operating in India. However, this Article shall not preclude the necessity of sharing the relevant information with Clients Contractors and representatives as may be reasonably necessary in connection with the construction, maintenance and operation of the plant. Whenever Client makes any disclosure of proprietary information to its Consultants or to its subcontractors, having a need to be informed pursuant to this Offer, then Client shall obtain a signed Confidentiality Agreement, prior to making such disclosures, for Consultants/subcontractors and provides a copy of such confidentiality agreement to Praj prior to making such disclosures. It is hereby expressly understood by Client that Praj is and shall remain the Owner of WTP system covered under this Proposal and Client specifically undertakes and guarantees that the confidential information shall not be used by them for putting up another production facility. Client is obliged to treat the WTP System as Confidential Information and not to permit anyone other than Praj to have access to the PLANT being set up at SITE only unless: Client needs to do so for maintenance purposes; or Client has been unable to obtain such services form Praj; or Client has first obtained from such party a signed confidentiality agreement and provides a copy of the same to Praj.

Client is prohibited from assigning the rights to use the WTP system to anyone other than a purchaser of all of the assets of the plant at SITE only in connection with the sale of this plant.

n. Change In Work Law: If there is any change in the scope and/ or nature of work during the execution of this project because of change in local Government's ruling/ regulations/ order an adjustment in terms including, but not limited to prices, deliveries etc. shall be negotiated. Praj is not obliged to proceed with the changes until Praj have received Clients written approval of the proposed changes as well as adjustments / amendments, if any, in terms of the Offer. o. Completion Of Obligations: Prajs obligations in this Offer shall get fully discharged upon HANDING OVER. p. Sub-Licensing: Praj shall be handing over to Client certain information in respect of the PROCESS PLANT. Client is specifically prohibited from sub-licensing or assigning the Technical Information and/or ownership of the plant to any third party, except specifically discussed with Praj. Upon any such sub-licensing and/or assignment, prompt, written notice of assignment shall be delivered to Praj. q. Rights to improve design: Praj reserve the right to modify, alter the specifications and designs of the equipment with a constant aim to improve the same without affecting the guaranteed performance and without claiming extra charge there from. r. Change in Technical Specifications: Any change in specifications as required by Client will be discussed by Praj with Client and the technical / commercial implications of such changes will be mutually accepted before incorporating such changes. s. Intellectual Property Rights: Praj shall provide necessary back up support to Client to defend any law suits filed or injunction moved against Client by any third party for any alleged infringement or violation of a trademark or any other intellectual property rights during the continuance of this Offer or thereafter, with respect to this Offer, by providing necessary technical documents/ technical evidences etc. The term Intellectual Property Rights for the purpose of this clause shall mean all intellectual property rights related to the Services to be provided in terms of this offer, whether registered or not, whether capable of being registered or not, including patents, copyrights, trademarks, designs, proprietary information, know-how, design rights, owned, acquired, developed or otherwise held by Praj as an licensee." t. Liability: Notwithstanding any other provision in this Proposal, Praj shall not be liable, whether in contract, under statute, tort (including negligence) or otherwise, for any loss of use (whether partial or total), loss of profits, loss of revenue, loss of contracts or indirect or consequential loss or damage whatsoever and howsoever arising which is suffered or incurred by the Client and / or directly or indirectly connected with this Proposal.

Praj shall not be liable to Client or the subcontractors of Client for any consequential losses of any kind or nature arising out of or alleged to arise out of furnishing of any services, personnel information or other assistance by Praj. The maximum cumulative liability of Praj to Client with respect to this PRPOSAL whether based on contract, tort, negligence, strict liability or otherwise, shall not exceed 5% of the Contract Price and Client shall hold harmless Praj from any liability in excess thereof. Praj agrees to indemnify and hold Client harmless from and against liability for injury to or death of any personnel of Praj (except as set forth in the following sentence) or for loss or damage to any equipment or property owned by Praj. Client agrees to indemnify and hold Praj harmless from and against any liability for injury to or death of any personnel of Praj occurring on Clients premises. Client shall indemnify and hold Praj harmless from and against liability for injury to or death of any personnel of Client or any third parties and for loss or damage to any equipment or property owned by Client or any third party. u. General Lien: Praj shall have general lien on the equipment supplied to the extent of payment due to them under this contract. Client shall not put to commercial use any of the equipment, till all the payments are released to Praj. Praj retains title to all equipments delivered by it until realization of full payment of the amounts invoiced. Praj shall be entitled to have registered retention of title or have secured it in any other applicable for without Clients consent. v. Waiver: No waiver by either party of any default by the other in the strict and literal performance of compliance with any provision, condition or requirement of this AGREEMENT shall be deemed to be a waiver of strict, literal performance of and compliance with any other provision, condition or requirement hereof, not to be waiver of or in any manner release such other party from strict compliance with any provisions, condition or requirement in the future; nor shall any delay or omission of either party to exercise any right under this Proposal in any manner impair the exercise of any such right accruing to it thereafter. w. Assignment: Neither party hereto shall without the prior approval or permission in writing of the other assign or transfer either part or whole, any rights, benefits or duties and obligations accruing, undertaken or incurred under this Proposal to any other person. x. Validity of Offer: Our offer is valid strictly for a period of Thirty days from the date of receipt of the offer. Other Terms and Conditions will be subject to mutual discussions and confirmation thereafter, in writing by us. Any extra Man-visits (other than mentioned in the offer) when demanded by Client or required due to reasons attributable to Client will include the following charges: 1) Travel Tickets to & form Pune to site by air/ rail by economy class or First class AC. 2) Local Conveyances & lodging & boarding. Charges for various flight tickets economy/ business class India.
