Executive Summary:
GOOGLE INC., ANDROID DIVISION (Google Android) is proposing to assist Nokia Corporation in developing, maintaining, supporting and testing a Nokia Smartphone with android OS (2.3) on it. Google Android proposes to be strategic partner with Nokia Corporation (Handset division) and help design and develop a cell phone with Android OS Gingerbread (2.3.4 Version) with reference to the Scope of Work mentioned in Section 1.2. The key objective of this proposal is to validate the capabilities of the Google, Android to help develop Android OS cell phone using Nokia Corporation capabilities and Android OS. Google Android has done a high level analysis of the functional and nonfunctional requirements along with Proof of Concept (PoC) for the proposal. The solution that Google Android proposes is to help develop an Android cell phone. Google Android has been market leader in mobile OS segment and is quickly capturing market share. Google Android has helped develop and implement Android smart phone for various cell phone manufacturer. Strategic partnership with Nokia Corporation Google Android wishes to develop a long time strategic partnership with Nokia Corporation to help develop smart phones and help Nokia retain market leader position. Costs/Timelines Google proposes to develop customized Android OS compatible to Nokia cell phone hardware with a peak team size of 7 offshore consultants along with 3 onsite coordinator over a period of 4 months at a total price of USD 550,000. Google looks forward to partner with Nokia Corporation and would strive to ensure a high quality of service and support in the course of executing this proposal. 1.Introduction
Google Inc., Android Group (henceforth referred to as Google) is submitting this proposal to execute the Android Operating System for Nokia project. 1.1. Smart Phone Industry

In todays smart phone industry where there is a lot of competition, capturing more market share can only be done by forming strategic partnerships. Even though the use of Android operating system is growing at a considerable pace over the last few years, a partnership with Nokia will be a significant milestone. This partnership will also benefit Nokia hugely as android brings a wide variety of features which are not available in the Nokia smart phones. This will also help Nokia cement its place as the worlds largest

manufacturer of smart phones.

1.2. About Android 2.3 (Gingerbread)

Google has understanding and experience in developing customized OS and application for cell phone manufacturers. Google proposes to follow the below mentioned approach to achieve the same. Design o Develop requirement for the new smart phone o Gather requirement for OS structure o Propose design regarding OS structure and features Develop o Assign team members for development o Develop kernel and application layer of Android OS o Design Emulator for Android Nokia cell phone o Google will use proprietary software to develop application which will not be shared Testing o Module, Integration testing of OS and application o Unit and UAT will be supported Deliverables

According to Googles understanding, the following will be the project deliverables: All the Android OS versions that will be launched will be customized for Nokia smart phones and provided as update for the then Nokia Android smart phone users. Android OS developed for Nokia will support all the applications developed for previous software versions. Graphical User Interface will be developed and customized according to Nokias requirements. Using content management feature to support Android market applications on Nokia servers which would help Nokia market its products in a better way.

Costing and Payment Basis

Google proposes to develop customized Android OS compatible to Nokia cell phone hardware with peak team size of 7 offshore consultants along with3 onsite coordinator over a period of 6 months at a total price of USD 500,000 with the proposed solution. This timeline would be revisited and may be revised after the initial discovery & design phase. Additionally Google will charge Nokia $ 5 for each Nokia Android cell phone sold as royalty. Google will charge Nokia USD 4000 per week for 1 offshore Android consultant.

Google will raise appropriate invoices based on the number of associates working on the project and would bill Nokia accordingly. If the team structure changes anytime during the project, Google will change the billing accordingly. Nokia will pay Google in accordance with the payment terms specified in the Agreement. In the event that Nokia disputes an invoice, Nokia shall notify Google reasons for disputing any amount within fifteen (15) days after receipt of applicable invoice, where upon Parties shall promptly seek to resolve the dispute by mutual discussion. Any such dispute shall not relieve Nokia from paying when due any undisputed portion of the invoice. A proper staffing plan for the project will be shared and agreed upon with the customer. This would help to retain the business knowledge in the Google team. However, resignations, employee terminations etc are external factors, which are beyond the control of Google and hence Google cannot be accountable for the same. Nokia would provide Google with a valid Purchase Order Number and a signed Task Order before the start of project. Please note that this cost does not include the license cost for the software required to execute the project. If Google needs to procure software for executing the project, the software license cost will be billed separately as an additional cost.

4.Conclusion
Google wishes that Nokia acknowledges the proposal in positive and this leads to a strategic partnership between Nokia and Google in future. Google proposes that all smart phones developed by Nokia post June 2012 be equipped with Android Phones. Nokia can expect increase in number of sales

of its smart phones after shifting from Symbian to Android platform. Google looks forward to a successful partnership between Nokia and Google which would be beneficial for both parties.
