1. BINDING GREEMENT

THIS END USER ICENSE GREEMENT (THIS "GREEMENT") SETS FJRTH THE TERMS ND

SU!!IERS ND ICENSJRS ("!HII!S") GREES TJ ME THE !TFJRM4 v2 !ER (THE

2. ICENSE ND JWNERSHI!

2.1 Grant of icense. s long as you comply with the terms of this greement,
!hilips hereby grants you a limited, non-exclusive, non-transferable, personal
license, under its copyrights in the icensed Software during the term of this
greement, solely to: (a) install one (1) copy of the icensed Software, including
any related user instructions or similar documentation (collectively,
"Documentation") on one (1) single device, (b) use the icensed Software in
accordance with the terms of this greement and in accordance with the
Documentation for your own use, and (c) make one (1) copy of the icensed Software
and Documentation for back-up and archival purposes. ny copies that you are
permitted to make pursuant to this greement must contain the same copyright and
other proprietary notices that appear on or in the icensed Software and
Documentation.

2.2 Jwnership. The icensed Software and the Documentation are protected by
copyright, including without limitation by the intellectual property laws of the
United States, international copyright treaties and applicable laws in the
countries where they are being used. Subject to the license expressly granted
herein, !hilips and its licensors retain all right title and interest in and to the
icensed Software and to the Documentation. Except for the licenses expressly
granted above, no other rights are granted to you under this greement.

3. RESTRICTIJNS

3.1 General. ou may not, and may not permit any third party to: (i) modify,
translate, reverse engineer, decompile, disassemble or otherwise attempt to
discover the source code of, or create derivative works based upon, the icensed
Software or Documentation (except where and to the extent such restrictions are
expressly prohibited by law); (ii) sublicense, rent, lease, lend, or otherwise
transfer the icensed Software or Documentation, any copies or portions thereof or
any rights granted to you hereunder; (iii) remove, alter or obscure any proprietary
notices or labels on the icensed Software or Documentation or fail to include such
notices or labels on any copies you make, or (iv) distribute or perform content
accessed through the icensed Software to third parties outside your normal circle
of acquaintances.

3.2 !roprietary Rights.

(a) ou may only use the icensed Software and Documentation in compliance with
applicable laws and regulations including, without limitation, international,
national and local laws and regulations concerning (i) copyright and other
intellectual property rights, and (ii) import, export or re-export of data and
computer software

(b) Content files accessed, downloaded, displayed, compressed, decoded, encoded,
copied or otherwise used ("Use(d)") with the icensed Software, may be protected by
copyright laws or other intellectual property or proprietary laws or third party
intellectual property rights. This greement conveys no right to such content or
the Use thereof. It is your sole responsibility to ascertain whether any
copyright, patent or other licenses or authorizations are necessary and to obtain
any such licenses or authorizations to Use such media and content. dditionally,
you agree to play back and download only those materials for which you have the
necessary patent, copyright and other licenses, and/or clearances authorizations.

(c) ou may not (i) use the icensed Software in an attempt (or in conjunction with
any device, program or service that is designed) to circumvent technological
measures employed to control access to, or the rights in, a content file or other
work protected by the copyright laws of any jurisdiction, or (ii) circumvent or
attempt to circumvent any copy management system embodied in the icensed Software
by any means.

(d) ou acknowledge that none of the icensed Software or Documentation or
underlying information or technology may be downloaded or otherwise exported or re-
exported (i) into (or to a national or resident of) Cuba, Iraq, ibya, Sudan, North
orea, Iran, Syria or any other country subject to a U.S. embargo; or (ii) to
anyone on the U.S. Treasury Department's list of Specially Designated Nationals or
the U.S. Commerce Department's Denied !arties ist or Entity ist. By using the
icensed Software or the Documentation you are agreeing to the foregoing and are
representing and warranting that (i) no U.S. federal agency has suspended, revoked,
or denied you export privileges, (ii) you are not located in or under the control
of a national or resident of any such country or on any such list, and (iii) you
will not export or re-export the icensed Software or Documentation to any
prohibited country, or to any prohibited person, entity, or end-user as specified
by U.S. export controls.

3.3 Government Rights. This icensed Software and Documentation are provided with
RESTRICTED RIGHTS. The icensed Software is proprietary, commercial computer
software developed exclusively at private expense. If this product is acquired
under the terms of a U.S. Government contract, then, pursuant to 48 C.F.R. 12.212
or 48 C.F.R. 227.7202 (or any successor regulations thereto) as applicable, use,
duplication or disclosure of the icensed Software by the U.S. Government is
subject to the restrictions of this greement.

4. U!DTES ND TECHNIC SU!!JRT

4.1 Updates. !hilips may, but has no obligation to, provide you any bug fixes,
patches, enhanced functions, or new versions (each, an "Update") to the icensed
Software. If you elect to download an Update made available by !hilips, you agree
that !hilips may install such Updates as part of the icensed Software. ll such
Updates shall constitute icensed Software subject to this greement, except to the
extent other license terms are provided with the Update.

4.2 Technical Support. !hilips may, but has no obligation to, provide you any
maintenance or technical support services with respect to the icensed Software.

5. CJMMUNICTIJN FETURES

5.1 Generally. The icensed Software includes Internet applications that issue and
receive communications over the Internet as part of its normal operation. ou are
responsible for any telecommunications or other connectivity charges incurred
through your use of the icensed Software.

5.2 utomatic Communications. The icensed Software may automatically and
anonymously communicate with !hilips (i) when you install or uninstall it, (ii)
when you use it to download files from the Internet, and (iii) periodically while
you are on-line to determine the availability of any Updates to the icensed
Software. utomatic communications features do not send any personally
identifiable information about you without your consent. These communications
allow !hilips for aggregate, anonymous statistical analysis, to provide and improve
advertising services, product and service offerings and to plan for future
enhancements and services.

8. INDEMNIFICTIJN

ou agree to hold harmless, indemnify and defend !hilips, its officers, directors
and employees, from and against any losses, damages, fines and expenses (including
attorneys' fees and costs) arising out of or relating to any claims that you have
(i) Used any materials (including materials provided by !hilips) in connection with
the icensed Software in violation of another party's rights or in violation of any
law, or (ii) violated any terms of this greement. If you are importing the
icensed Software from the United States, you shall indemnify and hold !hilips
harmless from and against any import and export duties or other claims arising from
such importation.

9. TERM ND TERMINTIJN

9.1 Term. The term of this greement commences on the date you accept this
greement (as set forth in Section 1 above), and shall continue until terminated as
set forth below,.

9.2 Termination. This greement shall terminate immediately, without notice, or
any further action being required, upon any failure by you to comply with the terms
and conditions of this greement. Each of you and !hilips may also terminate this
greement for any reason, or for no reason.

9.3 Effect of Termination. Upon termination of this greement, (a) all licenses
granted to you hereunder shall immediately terminate, (b) you will cease all use of
the icensed Software and Documentation, and (c) you will delete all copies of the
icensed Software and Documentation, downloaded, installed or copied under this
greement. Section 1 (Binding greement), Section 2.2 (Jwnership), Section 6
(Disclaimer of Warranty), Section 7 (imitation of iability), Section 8
(Indemnification), this Section 9.3 (Effect of Termination) and Section 10
(Miscellaneous), will survive termination of this greement.

10. MISCENEJUS

10.1 Waiver. No waiver by !hilips of any right or remedy under this greement
shall be effective unless it is in writing. The failure of !hilips at any time to
require performance of any provision of this greement shall in no way affect its
right thereafter to require performance of the other of such provision, nor shall
such failure be held to be a waiver of any succeeding breach of such provision or a
waiver of such provision itself.

10.2 ssignment. ou may not assign this greement or any rights granted to you
hereunder, including any assignment by way of merger, acquisition or otherwise by
operation of law. ny attempted assignment in violation of the foregoing shall be
null and void.

10.3 Entire greement. This greement constitutes the complete and exclusive
agreement between you and !hilips. The terms and conditions contained in this.

10.4 Governing aw; Jurisdiction. This icense greement shall be governed by the
laws of the State of California, without regard to conflicts of law provisions, and
you hereby consent to the exclusive jurisdiction of the state and federal courts
sitting in the State of California. This icense greement will not be governed by
the United Nations Convention of Contracts for the International Sale of Goods, the
application of which is hereby expressly excluded.


10.6 Headings. The section headings used in this greement are intended for
reference purposes only and shall not affect the interpretation of this greement.

Fournisseur de licence ou ses affilis durant ce processus.

dispositifs commerciaux semblables depuis nos serveurs et les affichera dans
l'interface graphique du logiciel. Un message sera envoy nos serveurs

affilis durant ce processus.

permet de vous abonner la lettre d'information lectronique du Fournisseur de
licence et de vous abonner pour recevoir des messages de nos partenaires. Si
vous vous abonnez l'un de ces services, vous recevrez de temps autre des
messages lectroniques du Fournisseur de licence. 'otre adresse lectronique ne
sera pas divulgue des tierces parties. De plus, durant l'installation du
Div !layer, vous pourrez choisir d'envoyer au Fournisseur de licence des
informations concernant la configuration systme de votre ordinateur. Ces
informations ne sont pas nominatives et ne serviront qu' amliorer les
performances du Div !layer sur les systmes typiques des utilisateurs Div.

!S D'UTIISTIJN CJMMERCIE : Ce Contrat de licence vous accorde le droit
d'utiliser le logiciel uniquement pour votre usage personnel. 'utilisation
commerciale du logiciel ou de produits drivs de son utilisation n'est pas
autorise par ce Contrat de licence.

!S DE CJN'ERSIJN DE CJDE : Il est interdit d'utiliser ce logiciel avec un
logiciel ou un appareil dont le but est de transcoder ou de convertir dans
un autre format une vido Div ou un contenu au format Div Media.

RESTRICTIJNS :

(a) Il est formellement interdit de copier, modifier, combiner, vendre, louer,
redistribuer, cder ou transfrer de quelque manire l'uvre sous licence ou
l'une de ses parties.

(b) 'ous ne pouvez effectuer qu'une copie unique, des fins de sauvegarde, des
lments compris dans cette offre groupe ou lis l'uvre sous licence.

(c) Il est galement expressment interdit d'effectuer une ingnierie inverse,
de dcompiler, de traduire, de dsassembler, de dchiffrer, de dcrypter ou
d'essayer de quelque autre faon de dcouvrir le code source de l'uvre sous
licence, car l'uvre sous licence contient du matriel propritaire du
Fournisseur de licence. 'ous ne pouvez pas non plus modifier, altrer, adapter,

illisible d'une quelque autre faon le brevet, la marque dpose, la marque de
service ou les avis de droit d'auteur du Fournisseur de licence.

(e) 'ous acceptez que l'uvre sous licence ne soit pas envoye, transfre ou
exporte dans un autre pays, ou utilise, d'une manire interdite par des
agences gouvernementales ou des lois, restrictions ou rglementations
d'exportation.

(f) 'ous ne pouvez pas publier ou distribuer, sous forme d'dition lectronique
ou imprime, les lments contenus ou lis l'uvre sous licence, y compris
mais s'en s'y limiter, le code objet, la documentation, les fichiers d'aide, les
exemples et les tests de performance.

DURE : Ce Contrat est en vigueur jusqu' rsiliation. 'ous pouvez rsilier ce
Contrat tout moment en dsinstallant l'uvre sous licence et en dtruisant
toutes les copies de l'uvre sous licence. prs rsiliation, vous acceptez de
dsinstaller l'uvre sous licence et de renvoyer ou dtruire toutes les copies
de l'uvre sous licence, tout document joint et tous les autres lments
associs.
