0 DEFINITIONS, ORGANIZATION AND AMENDMENT PROCEDURE

1.1 DEFINITIONS AND ABBREVIATIONS In these Articles, except where inconsistent with the context, the following expressions shall have the following meanings:The Institute of Marine Engineers (India) hereinafter referred to as The Institute - means the Society with jurisdiction and objects as detailed in the MEMORANDUM OF ASSOCIATION of THE INSTITUTE OF MARINE ENGINEERS (INDIA) The General Body of the Institute - hereinafter referred to as the General Body - shall mean the Institutes apex body consisting of all the members of the Institute. Governing Council of the Institute hereinafter referred to as The Council - means the group of members (duly elected in accordance with the relevant Article/s and/or the rules and procedures in Operating Rules and Procedures) responsible to provide directives and policies, on behalf of and as may be directed from time to time by the General Body, to the Office Bearers of the Institute and to ensure that the Articles and Operating Rules and Procedures contents are duly amended when necessary- see 1,3 below for Amendments to Articles. Roll means the membership Roll of the Institute. Corporate Member means any person on the Roll as a Fellow or Member or Associate Member and Corporate Membership shall be construed accordingly. Voting Member means any person being a paid up Corporate Member and Voting Membership shall be construed accordingly. Except where it is used attributively to describe Membership of the Council or Staff, or where it is otherwise qualified by an adjective, the word Member shall mean any person on the Rollexcept where it is used attributively to describe Membership of the Council or Staff, or where it is otherwise qualified by an adjective. The Statutes means The Societies Registration Act, 1860, the Bombay Public Trust Act 1950 & Bombay Public Trust Rules 1951 all as may be amended. Words imparting the masculine gender shall include the feminine and words in the singular shall include the plural and vice versa.

Operational Rules and Procedures - hereinafter referred to as ORP - shall mean the rules and procedures for day to day administration of the Institute as approved by the Governing Council from time to time in line with the requirements the Articles of Association as adopted by the General Body and approved by the Charities Commissioner.

`Approved', `Laid Down' and `Recognised' shall mean approved, laid down and recognised by the Council for consideration of and adoption by the General Body of the Institute. Adopted shall mean accepted by the General Body of the Institute for implementation and where applicable, inclusion in relevant document/s.. Appellate Board shall mean member or group of members of The Institute, duly appointed by the Council, to consider and recommend appropriate actions for consideration of the Council, (in accordance with the procedure applicable and terms & conditions, as given in ORP) any appeals or grievances from any members and candidates who have applied for membership and/or transfer.

The following abbreviations shall be used in the text of this document wherever necessary: GC: GOVERNING COUNCIL

HGS: HONORARY GENERAL SECRETARY HO: HEAD OFFICE OF THE INSTITUTE

IME (I) or IME: THE INSTITUTE OF MARINE ENGINEERS (INDIA) ORP: OPERATING RULES AND PROCEDURES

1.2 ORGANISATION OF THE INSTITUTE The General Body of the Institute is the apex body of the Institute. It can by a majority voting adopt, reject or revoke any decisions of the Council. The Council as defined earlier, is the group duly elected, to provide guidance, directives and policies for ensuring that all activities of the Institute at its Head Office and Branches or Chapters are carried out without any violation of the Articles including code of ethics, , Branch Rules and ORP all as may be amended. The Council ensures that: The directives and decisions of the General Body are implemented; All relevant matters on the operations, accounts, activities etc. are reported to the General Body. The Office Bearers - President, Vice President and Honorary general Secretary (HGS) are duly elected persons responsible to look after the day-to-day operations of the Institute on behalf of and as directed by the Council The Organisation Chart of the Institute is included in ORP and shows details of hierarchy and communication lines at the Institute Head Office and at its Branches and Chapters. 1.3 AMENDMENTS TO ARTICLES OF ASSOCIATION

Amendments may be proposed by any Corporate Member or group of Members or by the General Body. The following procedure shall be applicable: 1. Any proposal/s by any Corporate Member or group of Members shall be routed through the Chairman of the Branch or Chapter concerned and forwarded to the HGS 2. The proposal shall be circulated by e-mail to each member of The Council for their comments. Such comments shall need to be forwarded to HGS by an appropriate date as determined by the Office Bearers. 3. The proposal with comments received from the members of the Council shall be discussed at its next meeting for due consideration and decision. 4. If considered appropriate, the Council shall approve the proposal for consideration of and adoption by the General Body. 5. In case of any proposals not considered appropriate by the Council, the decision of the Council and reasons thereof will be recorded in the minutes of the meeting and communicated to the Branch or Chapter concerned. The records of Councils action will be part of the matters to be brought to the notice of the General Body. 1.4 AMENDMENTS TO ORP 1. Any proposal/s for amendment shall be routed through the Chairman of the Branch or Chapter concerned and forwarded to the HGS. 2. The proposal shall be circulated by e-mail to each member of The Council for their comments. Such comments shall need to be forwarded to HGS by an appropriate date as determined by the Office Bearers. 3. The proposal with comments received from the members of the Council shall be discussed at its next meeting for due consideration and decision. 4. If considered appropriate, the Council shall approve the proposal . 5. In case of any proposals not considered appropriate by the Council, the decision of the Council and reasons thereof will be recorded in the minutes of the meeting and communicated to the Branch or Chapter and member concerned. The records of Councils action will be part of the matters to be brought to the notice of the General Body. 6. All changes made in the ORP shall be brought to the notice of General Body by the Governing Council
