REGISTRATION OF COMPANY 1.0 SECRETARY COMPANIES INTRODUCTION Before we register our company, we have to submit the required registration documents and fees payable to the Commission. Our company shall have: 1. At least two directors (the director and promoter can be the same person) 2. Form 9 Certificate of Incorporation for a private company 3. Post in Corporation The company number will be finding in form 8 or 9. This form is used by applier to propose their business name to the SSM. Then SSM will choose the suitable name for them. If the application does not fulfill the conditions, it will be reject. The conditions are: a. The business name does not suitable with the business b. They apply the same name with other application. c. Use the words that controlled by Registration. d. Use the name which is not the real name.

2.0 MAKE A SAVING ACCOUNT IN BANK Before register with PKK (Pusat Khidmat Kontraktor) or CIDB

(Construction Industry Development Board), the company must make the saving account in bank first. The company must submit the copy of financial statement to PKK and CIDB. The company secretary will prepared an application letter to the bank to make the saving account from the bank. This letter contains the directors name, which will be accepted to sign the cheque. This director had been chosen and agrees from all the board of directors. After fill all the form, it will be submit to the bank include the copy of identity card the directors who accepted to sign the cheque.

3.0 REGISTER THE COMPANY WITH KWSP AND PERKESO KWSP Register the Employee All employees must register with KWSP form KWSP 1. This form must attach together with Form 49 or Business Certificate Registration in 7 days from date employee paid salary for their staffs. After registration, the employee will get the reference numbers. This reference numbers is able to use in every KWSP affair. The employees also will get these documents: a) Form KWSP 6 (Form A) to pay monthly payment to KWSP b) Form KWSP 3 to register the staffs as members c) Employee Registration Certificate this certificate must show in employees premise. d) Employee Guides Book. The employee can apply to register more than one employees numbers to make the affair of monthly payment be easier. Form KWSP 6 (Form A) Every month, KWSP Form 6 will supply to the employee. This form contains the datas such as KWSP membership numbers, NK (nombor kawalan), NIRC and name of staffs who register with KWSP. All of these data will be printed by KWSP computers.

Form KWSP 6 will supply to employee at the end of the month to pay the payment to KWSP for the next month. When KWSP form 6 (Form A) received, make sure all the numbers, name and employee address on this form is right. The employee not supposed to attach the hand written, typed or photocopy of Form KWSP 6 (Form A). The employee also not allowed using the empty Form KWSP 6 (Form A) to print the members data with their own computers.

PERKESO Form 1 used to register employee. For the private limited company, these forms needed: 1. Form 9 (Akta Syarikat 1965) 2. Borang 49 (Companies Act 1965) 3. Form 13 (Company change the name) (PREPARE 2 COPIES EACH 1) Form 2 used to register the staff. The form 2 must filled in two copies of original form with the staff information. Every single of Form 1 and Form 2 must have the company chop. First, the applicant must fill the Contractor of Civil and Electrical Works Application Form (PKK/1/98/PIN.5). Then, the form will be send to PKK with fee process, RM 100.00 for the class A contractors. The fee must be paid to Manager of PKK using bank draft. The other way of payment will not acceptance. The address to send the application form including the fee process is: Pengarah, Pusat Khidmat Kontarktor, Kementerian Pembangunan Usahawan, Tingkat 15 & 16, Medan MARA, Jalan Raja Laut, 50652, Kuala Lumpur. The applicant must inform what the type of class they want to apply. The register contractors allowed to join the tender depend on their class. For class A, the financial limit is more than RM 10,000,000.00. The class A contractor allowed to operation around the country (Malaysia). The applicant also must inform the type of Header and Sub-Header they want to apply. There are six type headers exist in PKK, such as: Header I Header II Civil engineering works Building works

The company must register with Suruhanjaya Syarikat Malaysia (SSM) first. The applicant must inform the company capitals. For class A contractors, the minimum capital is RM 600,001.00. The company should have at least one of their boards of director, shareholders or staff that have technical qualification. For class A contractors, a relevance degree or diploma with the application domains is needed. The degree or diploma must be recognized from government. If the company has the experienced board directors, shareholders or staff, they must show the evidence of their experience. The company, who already had their own plant or appliance, must show the purchase receipt, registration book of vehicles or any document can used to proof that the plant and appliance is their own. If the company has the rental plant or appliance, they need to show the authentic document from the rental agencies. The agency right from suppliers must be attaching for the mechanical works. If the shareholders have shared more than 5% or RM 50,000.00 in the other company, their application will never attend. The application will not deliberate if the board of director or staff already has a post in the other company, which that company already registers with PKK. When the company application passes, they will get the information from the registration offer letters. The letter also obtains the registration class, header and sub-header. The letters also tell the amount the registration fee. For class A contractors, the registration fee is RM 5,000.00. The registration fee must being paid between 30 days from the date of the offer latters. The payment must paid by Bank Draft or Pos Order to MANAGER, PUSAT KHIDMAT KONTRAKTOR. The other way of payment will not acceptance.

The authentic period is two years. The applicant can renew the application 3 months before the expired date of registration. After the expired date, the registration not considers anymore and if the company still wants to register, they need to make a new registration application. Bumiputra Recognition There are a few rules if the company wants to apply the Bumiputra Recognition. The rule was written in surat Pekeliling Perbendaharaan Bil.4 Tahun 1995. i. ii. iii. iv. v. vi. Share of the company must majority or more than 51% owned to Bumiputra shareholders. There are majorities or more than 51% Bumiputra board of directors in the company. There are majorities or more than 51% Bumiputra staffs in the company. Executive, Director or Manager or others key post in the company is Bumiputra. Organization chart must shown the managing of the company is fully control by the Bumiputra; and Financial managing controlled by the Bumiputra.
