TERMS AND CONDITIONS OF THE LOQUENDO PRONUNCIA PAY AS YOU GO TTS SERVICE
The following terms and conditions apply to the Pronuncia Service offered by Loquendo S.p.A., with registered headquarters in Via Arrigo Olivetti 6, Turin, Italy (hereinafter referred to as Loquendo) to the signatory company of this document identified above (hereinafter referred to as the Customer). 1. Definitions For the purpose of this Agreement, the following terms shall have the following respective meanings: (a) SOFTWARE shall mean Loquendo TTS software and its relative databases, for the creation of VOCAL FILES from text content. (b) VOCAL FILES shall mean the files containing the waveforms of synthetic voices produced using the SOFTWARE . (c) REGISTRATION FORM shall mean the PRONUNCIA PAY AS YOU GO TTS REGISTRATION FORM to which this document is attached, duly signed by the Client. (d) SERVICE shall mean the PRONUNCIA PAY AS YOU GO TTS Service made available to the Customer through the Customers own Internet access to a copy of the SOFTWARE for the production of VOCAL FILES, in accordance with the terms and conditions and the limitations indicated in this document, in the REGISTRATION FORM and in the REGISTRATION Forms other Annex Documents, according to the modes of access and operation notified by Loquendo to the Customer. (e) SERVICE CONFIGURATION shall mean the configuration of the SERVICE as described in Annex A of the REGISTRATION FORM. (f) APPLICATION CONTEXT shall mean the context or the contexts of application of the software products/applications commercialised by the Customer, as indicated in the SERVICE CONFIGURATION section of the REGIS TRATION FORM. It is to be noted however, that despite any other indications contained in the REGISTRATION FORM, LOQUENDO does not in any way allow the use or application of the VOCAL FILES in an APPLICATION CONTEXT that includes the transmission and/or the broadcasting, with whatever means and in whatever form (such as for example, but not only, communication to the public through radio, television, satellite, or cable broadcasting or any other means of distance broadcasting). 2. OWNERSHIP AND RIGHTS (a) All rights, ownership, title and interest in the SERVICE, the SOFTWARE and the VOCAL FILES, the relevant technology and their related inventions, patent rights, copyrights, trade secrets, trademarks and other related intellectual property rights shall vest exclusively with Loquendo, and no rights or licenses are granted to Company hereunder, by implication, estoppel or otherwise, except for the limited property rights expressly relative to the text contents originating from the Customer and for the productions of VOCAL FILES. (b) The CUSTOMER acquires no rights or entitlements to the SERVICE, the SOFTWARE and/or the VOCAL FILES with the exception of the license of use expressly granted by Loquendo as outlined in Point 3 below. 3. (a) LICENCE Subject to the terms and conditions of this Agreement, Loquendo grants the Company a personal, non-transferable, limited, non-exclusive, royalty-free, temporary sublicense to: (i) Access the SERVICE and use the SOFTWARE for the sole purpose of producing VOCAL FILES within the limits of the SERVICE CONFIGURATION and according to the operation modes indicated by Loquendo during a period of 6 (six) months from the service activation date. (ii) integrate the VOCAL FILES into products and/or the Customers software products and/or applications belonging to the APPLICATION CONTEXT; (iii) use the aforementioned products/applications in which the VOCAL FILES referred to in point (ii) above have been integrated, for personal or Company use within the respective APPLICATION CONTEXT(S) and (iv) distribute the software products and/or applications in which the VOCAL FILES referred to in point (ii) above have been integrated, both directly and indirectly to end-users, for the sole purpose of the personal use of said users within the APPLICATION CONTEXT, with the exception of the following limitations.

The Customer is granted no other license or right. The Customer undertakes not to modify, reverse-assemble or reverse-compile the VOCAL FILES and not to use the SOFTWARE, in whole or in part, for purposes other than those expressly indicated in the aforementioned license, and the Customer undertakes not to undertake such actions and to oblige the customers/users of its products and or applications indicated in points 9ii), (iii) and (iv) above to accept the same limitations and obligations relative to the VOCAL FILES integrated in such products or application by contract. (b) For the purposes outlined in point (a) above, the Customer will be able to incorporate the VOCAL FILES in other programs, products or multimedia files licensed by the Customer in the APPLICATION ENVIRONMENT specified, under the provision that any part of the VOCAL FILES thus incorporated will continue to be subject to these terms and conditions. (c) The Customer is aware that the SERVICE is equipped with authentication mechanisms to avoid unauthorized use and undertakes to follow this protection policy. The Customer also undertakes not to disclose the passwords, login and SERVICE access procedure provided by Loquendo to third parties. Furthermore, the Customer undertakes to use such password/login information only for their personal access to the SERVICE, respecting the license limitations indicated above. 4. ABSENCE OF LOQUENDO WARRANTIES The Customer confirms that it has tried the SOFTWARE and the production of VOCAL FILES by accessing the demo version of the PROGRAM on Loquendos website www.Loquendo.com prior to completing the REGISTRATION FORM, and has autonomously judged it suitable for its own VOCAL FILE production requirements. No warranty is given by Loquendo to the CUSTOMER with respect to the SOFTWARE, the SERVICE and/or the VOCAL FILES produced with them, and, to the maximum extent permitted by the applicable laws, all express or implied warranties, including, without limitation, any warranty as to merchantability, fitness for purposes, absence of errors or defects or infringement of third party rights, or service continuity and absence of service interruption or unavailability are hereby expressly excluded by Loquendo and waived by company. 5. LIABILITIES Except in the case and to the extent as otherwise provided by mandatory provisions of applicable law: (a) in no other case Loquendo shall be liable to company or any third party for any direct, indirect, incidental, special or consequential damages, loss of data, loss of profit or loss or revenues, in connection with or arising out of the implementation of this agreement, the SOFTWARE, the SERVICE, the VOCAL FILES and the use thereof; (c) even if Loquendo has been informed of the possibility of such damage, the CUSTOMER shall be solely responsible and liable for its use of the SOFTWARE, the VOCAL FILES and for any possible harm or damage caused thereby, and shall hold Loquendo harmless from any such liability and responsibility. (d) (c) Customer agrees that Loquendo shall in no case be liable for any form of costs, expenses or damage in any way caused by the VOCAL FILES, their textual content and/or their use, running, representation or broadcasting by the CUSTOMER or by third parties. 6. Limited License Grant Subject to the terms and conditions of this Agreement, Loquendo grants the Customer a personal, non-transferable, limited, non-exclusive, royalty-free, temporary license to use the SOFTWARE provided by the SERVICE. The Customer agrees not to provide this license to third parties without the prior written consent of Loquendo. 7. License Termination The license granted by Loquendo through this agreement shall be considered automatically expired and void by right, with the exception of Loquendos right to be compensated should the Customer not respect one or more conditions expressed in sections 3, 5 and 6 or should the Customer otherwise use the SERVICE, SOFTWARE or the VOCAL FILES in any way not explicitly authorized in writing by Loquendo, or should the Customer fail to pay the amounts due for the use of the SERVICE as indicated in the REGISTRATION FORM according to the payment terms specified. Upon expiration or termination of this Agreement for whatever reason, the Customer shall refrain from any further use of the SERVICE, the SOFTWARE and the VOCAL FILES and shall shall forthwith, at its own expense, and if so instructed by Loquendo, return or destroy all the full or partial copies of VOCAL FILES from any computer memory any together with any back-up copies in its possession or under its control and certify this destruction to Loquendo in writing. In any case, the Customers obligations and limitations indicated in this document remain even after the termination of the license. 8. APPLICABLE LAW AND COMPETENT JURISDICTION

The terms of this agreement shall be governed by and construed in accordance with the laws of Italy (with the exclusion of Italian law provisions dealing with the conflict of laws) and the Customer irrevocably agrees to submit to the jurisdiction of the Torino Courts. Notwithstanding the foregoing provisions, Company understands and agrees that any use by Company of the SOFTWARE and/or VOCAL FILES outside the scope of the license expressly granted hereunder or any other breach by Company of its obligations hereunder would cause irreparable harm and damage to Loquendo and that, therefore, in the event of any such abuse, breach or attempt thereof by Company, Loquendo shall be entitled to enforce this Agreement in any court and to obtain from any court equitable relief, including without limitation preliminary injunctive relief, against Company, to prevent the occurrence or continuance of any such breach, without prejudice to any other right or remedy of Loquendo.
