JOSEPH MANPOWER SERVICES Colon Street, Poblacion 3, Dumaguete City CONTRACT OF EMPLOYMENT KNOW ALL MEN BY THESE PRESENTS: This Contract of Employment is entered into this ___ day of November 2011 by: (Kini nga kontrata sa pagpanarbaho gisudlan karong petsa ___ sa Nobyembre 2011 nila ni) ST. JOSEPH MANPOWER SERVICES, a sole proprietorship business operated by JOHN VILLANUEVA, of legal age, Filipino, with office address at Colon Street, Dumaguete City, hereinafter referred to as the EMPLOYER; (ST. JOSEPH MANPOWER SERVICES, usa ka negosyo nga gipanag-iya ni JOHN VILLANUEVA, hamtong ang panuigon, Pilipino, ug kinsang opisina anaa sa Colon Street, Dumaguete City, karon pagatawgon ug EMPLOYER) and (ug) ___________________, of legal age, Filipino and a resident of ______________________________, herein referred to as the EMPLOYEE. (___________________, hamtong ang panuigon, Pilipino ug nangamuyo sa ________________________, dinhi pagatawgon ug EMPLEYADO) Witnesseth: WHEREAS, the EMPLOYER is engaged in the business of manpower service that caters to the needs of its Clients; WHEREAS, the EMPLOYER entered into a memorandum of agreement with ISLAND MERCHANTS CORPORATION (IMC) with branch office at Barangay Camanjac, Dumaguete City, wherein the EMPLOYER will service the warehousing, merchandising, and delivering of the products of IMC. Thus, in order to comply with his obligations in their contract, EMPLOYER is in need of Warehousemen, Merchandisers, Logistic Drivers, Forklift Operators, Logistic Assistants, and Utility personnel for its operation, copy of the memorandum of agreement marked as Annex A is hereto attached and made part of this contract by way of reference; WHEREAS, the contract of the EMPLOYER with IMC is for a period of SIX (6) MONTHS; WHEREAS, the EMPLOYEE desires to be deployed by the EMPLOYER to its Client IMC and perform the tasks as stated in the Job Description hereto attached as Annex B hereof; WHEREAS, Employee manifests and guarantees that he/she possesses the requisite qualities and competencies needed by the Employer in the conduct and course of its business; NOW THEREFORE, the parties hereby agree as follows: 1. EMPLOYMENT

The EMPLOYEE understands that the basis and limitation of his employment with the EMPLOYER is the life of the Contract of the EMPLOYER and IMC (Annex A). Thus, the EMPLOYEE is hired by the EMPLOYER as follows: Duration: Employment Period: Location: Position: SIX (6) MONTHS From: NOVEMBER 1, 2011 To: May 31, 2011 ISLAND MERCHANT CORPORATION LOGISTIC DRIVER

That in fairness to the EMPLOYEE, should the EMPLOYER be able to renew the service contract with IMC and the same task performed by EMPLOYEE for IMC under this contract is again available, the EMPLOYEE shall have a preference to renew his contract with the EMPLOYER and to be assigned to same task subject to the favorable evaluation of the supervisor. Being a logistic driver, the NATURE of work of the EMPLOYEE is FIELD WORK, and therefore, his rights under the labor code are covered by the provisions of a field worker. 2. 2.1 COMPENSATION EMPLOYEE will receive a gross basic monthly rate of TWO HUNDRED SEVENTY FIVE (Php275.00) per day subject to withholding tax, and employees counterpart of SSS, Pag-ibig contributions, and other government-required deductions. In addition, EMPLOYER will pay the mandatory 13th month salary due the employee at the end of each calendar year or at the end of this contract at the option of the EMPLOYEE. In order to meet the expectations of IMC, the EMPLOYEE may also be entitled to receive additional incentives from the EMPLOYER for carrying out their assignment subject to the guidelines hereto attached as Annex C. EMPLOYER shall provide the EMPLOYEE with THREE HUNDRED PESOS (PhP300.00) worth of cellphone load with preference to the unlimited call plan of Smart Company, or the EMPLOYEE, for their account, may also agree to share with the EMPLOYER the difference for an unlimited call and text post paid plan. The EMPLOYER shall provide the EMPLOYEE with provision to cover parking fees and vulcanizing services, and allowance for meals which amount shall be determined by the EMPLOYER according to the distance of travel; The EMPLOYEE will likewise be paid regular wage during regular holidays such as New Years Day, Maundy Thursday, Good Friday, April 9, Labor Day, Independence Day, Phil-Am Friendship Day, All Souls Day, Christmas Day, Rizal Day; RESPONSIBILITIES AND OBLIGATIONS OF EMPLOYEE EMPLOYEE shall perform the duties and responsibilities as provided in the Job Description, Annex B, and that his job necessarily includes additional tasks reasonably assigned to him by the EMPLOYER from time to time. Employee acknowledges that he has read and understood his Job Description.

JOSEPH MANPOWER SERVICES Colon Street, Poblacion 3, Dumaguete City 3.2 EMPLOYEE freely and voluntarily binds himself to observe the company policies of employers client IMC of which he has been properly oriented. Accordingly, the grounds for disciplinary action and termination under the company rules of IMC are applicable to the EMPLOYEE in addition to those provided in this contract; EMPLOYEE is expected to perform the tasks assigned to him with diligence and with consistency in skills and character, as the EMPLOYER relies in him the client IMCs satisfaction of the employers service. EMPLOYEE must bear in mind that his chance for a renewal of his contract with the EMPLOYER solely relies on the renewal of the contract of his EMPLOYER with client IMC. Pursuant to the preceeding item 3.3, EMPLOYEE admits that he has read the SJMS employees handbook, and he has been adequately explained the work ethics of the company. GROUNDS FOR TERMINATION

EMPLOYER reserves the right to terminate or cancel this Contract after observing due process for just or valid causes. EMPLOYEE may be terminated for just causes on grounds for violation of any of the company policies of the EMPLOYER or its client IMC. Commission of crime or offenses, whether work related or not, that will prejudice the interest of the EMPLOYER or endangers the latters credibility will likewise be a ground for termination. In such case, substantial evidence is sufficient to establish the culpability of the EMPLOYEE. 5. RESERVATION CLAUSE

When it is perceived by the EMPLOYER or his representative that when the EMPLOYEE has seriously violated company policies and the continued deployment of the EMPLOYEE at his station at IMC would prejudice EMPLOYERs contract with IMC, the EMPLOYER has the right to immediately withdraw the EMPLOYEE from his assigned station and replace him with another personnel. Consequently, the no work no pay policy shall apply. Immediately thereafter, the EMPLOYEE shall be given the right to be investigated in accordance with labor laws. Should the EMPLOYEE have shortages in his collection for the day, then he shall be liable to the same and shall pay it on the next salary day. Notwithstanding his obligation to pay the shortage, when the same shortage reaches TWO THOUSAND PESOS (PhP2,000.00), the EMPLOYEE shall be administratively suspended until such time that he is able to remit the same to IMC. This is mandatory because the EMPLOYEE is an accountable employee assigned to collect payments from customers of IMC. 6. DECORUM

EMPLOYEE shall wear the company uniform neatly, and use his identification card at all times when at work. EMPLOYEE shall be respectful and courteous to the Officers of the EMPLOYER and Client IMC. 7. NON-COMPETITION CLAUSE

JOSEPH MANPOWER SERVICES Colon Street, Poblacion 3, Dumaguete City After the end of this contract or in the event that EMPLOYEE is separated or terminated from employment for whatever reason, he shall not seek employment in another company in the Philippines nor establish or set up a business competing with the Client of the EMPLOYER for a period of TWO (2) Months from expiration of contract or date of separation or termination, without the prior written consent of EMPLOYER. 18. ACCEPTANCE OF TERMS AND CONDITIONS OF EMPLOYMENT

EMPLOYEESs affixing of his signature on the herein Employment contract means that the EMPLOYEE has read and fully understood the terms and conditions hereof and accepts the same. The condition of his employment which is a TERM OR PROJECT CONTRACT has been clearly communicated to and accepted by him at the time of his engagement.
