Experience
Legal Experience Ronald Maines joined Kirton & McConkie in 2010 after spending the majority of his professional life in Washington, DC. His practice emphasis over this period has been the intersection of technology, regulation and complex commercial transactions, for which he provides strategic and advisory services, business analytics, deontic network and digital ecosystem analysis, and other legal and business counsel of a non-routine nature. He has been lead counsel in over 250 proceedings before federal agencies involving a range of administrative and

enforcement challenges, license assignments and transfers, programming, First Amendment, and other issues; and lead counsel in scores of media and technology property transactions. He has facilitated the resolution of numerous complex or intractable regulatory issues through negotiations with agency staff and high-level officials of the FCC, NTIA, RUS, and with Members of Congress; and on various occasions has been retained to conceptualize and implement resolutions to divisive boards of directors. As communications counsel to Wall Street investment houses, Mr. Maines has advised clients concerning major corporate transactions affected by Federal agency, Justice Department, and Congressional scrutiny in merger arbitrage and other contexts. His appellate litigation practice focuses on regulatory, media, and constitutional issues. He has argued 17 cases in the US Courts of Appeal, primarily the DC Circuit. Before the Supreme Court, Mr. Maines has been counsel of record in 21 cases principally on behalf of amici curiae . In 1998, he was appointed by Justice Sandra Day O'Connor to argue an important Bill of Rights case in the Supreme Court. His clients before the High Court have ranged from Members of the U.S. Senate to businesses and think tanks. He has been an adjunct instructor in Constitutional Litigation at Georgetown University, a Senior Visiting Fellow at Cambridge University's Centre for Public Law, and an Associate in Oxford Universitys Programme in Comparative Media Law & Policy. More recently, he has been at work on a doctorate in the London School of Economics, where his research involves models for aligning regulatory and constitutional frameworks in emerging democracies. Business Experience Mr. Maines has significant experience as a principal or member of senior management in several media and digital technology enterprises. He has deep knowledge of commercial issues and market dynamics in these industries, including competitive analyses, pricing models, ROI analyses, structuring of third-party relationships (resellers, distributors, channel partners, joint venture partners, equipment manufacturers, offshore contractors); employee relations and benefits issues, corporate governance procedures, liability awareness and prevention, and stockholder relations. His experience includes directing legal and procedural audits in preparation for institutional financing; identifying, evaluating and negotiating with likely strategic partners and major investment houses, and framing capital financing packages. Entrepreneurial Experience 1991: Founder, The Clarendon Foundation , licensee of Educational Broadband System licenses delivering educational programming in markets throughout the United States 1993: Co-creator, The History Channel , the first successful cable television network with an educational mission; principal assets sold to Arts & Entertainment Network 1995: Co-founder, GHZ Equipment Company, wireless technology and equipment enterprise 2005: Co-founder, Digital Bridge , technology company providing information-sharing solutions to Homeland Security, Education, and Healthcare sectors
