The old relays should be handed over to concern s/stn. incharge. You have to give the guarantee for relays as well as workmen ship for the period mentioned in the special terms and conditions. Joint inspection should be carried after the replacement of relays and joint inspection report should be submitted along with the bill for claiming payment of works portion.

TERMS AND CONDITIONS OF CONTRACT

PART- I 1. and 2. NAME OF WORK : Supply and retrofitting of Existing Electro Mechanical and Static Transformer Differential Relays with Numerical Transformer Differential relay of ABB,SIEMENS EASUN REYROLLE make only at various substations under EHV CC (O&M) Zone, Amravati. RATES: The rates should be quoted for the labour charges and supervision of your engineer and supply of relays required for retrofitting of relays. The price list of relays should be given separately. Rates towards retrofitting charges and relays should be quoted inclusive of taxes VALIDITY OF OFFER: The offer shall be kept open for our acceptance up to 120 days from the date of opening of the tender. EMD : E.M.D. is payable @ Rs. 1% of the estimated value of the work, which is payable in cash or D.D, or B.G. The tender will not be opened unless E.M.D. is paid. The E.M.D. of the unsuccessful tender will be returned after the issue of work order to the successful bidder. The E.M.D. of the successful bidder will be returnable after payment of S.D. by him. DISQUALIFICATION: Disclosing untrue and /or false information, or withholding information or part of information. Record of poor performance such as unsatisfactory work or abandoning the work etc. Financial shortcomings or failures in past contracts. The Company does not bind itself to award the contract to the lowest bidder. Eligibility of the bidder, submission of all documents, past record will carry due weightage while arriving at the decision. The bidder should not quote conditional rates related to quantity of work, payment terms etc.

TERMS AND CONDITIONS OF CONTRACT PART II

1) SIGNING OF CONTRACT : Within 7 days from the date of the receipt of this work order, the contractor shall enter into an agreement with the Board, in the prescribed proforma. Until the agreement is executed, the Company will not be liable to pay, nor the contractor shall be entitled to claim amount due or payable under the contract. The necessary stamp paper, etc charges for the agreement shall be borne by the contractor. 2) PERFORMANCE SECURITY DEPOSIT : Within 7 days from the receipt of the letter of intent order, the contractor shall furnish a performance guarantee deposit amounting to 5% of the contract value by cash or bank guarantee of a Nationalised / Scheduled bank. Or consent for deduction of equivalent amount from Ist RA BILL. 3) REFUND OF SECURITY DEPOSIT : The performance Security Deposit will be refunded after satisfactory completion of guarantee period. 4) EXECUTION OF THE WORK : Immediately after receipt of the work order, the contractor shall take prompt action in planning the work in consultation with the concerned Executive Engineer. He should also take steps for timely procurement of the necessary material and tools and plant. The Programme should be finalized quickly and the Executive Engineer concerned should be approached to make the structures/equipment safe for works wherever necessary, at least two weeks in advance. Having finalised the programme, the schedule shall be strictly adhered to. The work should be carried out to the full satisfaction of Executive Engineer. 5) SUPERVISION OF THE WORKS : The works shall be under the overall supervision of the Executive Engineer, concerned or his designated representative not below the rank of Dy. Ex. Engr. The contractor shall obtain a certificate from the Executive Engineer for having executed the works satisfactorily. The detail locations will be given by concern Executive Engineer. Operating Authority: This contract will be operated by the concern Executive Engineer, or his designated representative not below the rank of Dy. Executive Engineer. Period of Work : The retrofitting (works portion) of the relays shall be completed within 6 months after the supply of relays in each case & subject to availability of shutdown / outages.

QUANTITIES : The quantities indicated in the Schedule A are approximate and only indicative. The actual quantities may vary.

CONTRACTORS EMPLOYEES : The contractor shall employ and provide on site only such employees who are skilled and experienced for execution and supervision of works. The contractor shall provide housing accommodation to his employees. He shall also be responsible for any injury/accident to his employees. Payment of compensations etc. as may required to be paid eventually shall be borne by the contractor himself. The contractor should ensure that his staff uses the requisite safety equipment. The employees should be duly insured against any such eventuality. The proof of insurance should be submitted to this office alongwith order acceptance letter.

DAMAGE TO PERSONS AND PROPERTY. The contractor shall indemnify the Company against any losses and claims regarding any injuries or damage to any persons, material or physical damage to any property whatsoever which may arise out of , or in consequence of the execution of the work. During execution of work any damage/loss to Transmission Companys property occurs will e recovered from your bill.

SITE CLEARANCE. The contractor shall, during the progress of work, keep the site reasonably free of all unnecessary obstructions and shall store the material neatly so as not to cause any obstruction for normal working/operations. Similarly on completion of the works, the contractor shall clear away and remove from the site all surplus materials, rubbish, and temporary work of any kind. The site should be kept clean.

SUB-LEFTING OF CONTRACT. The contract, or any part thereof shall not be assigned, transferred, or sub- let without the prior written permission of the undersigned. Even if such permission is granted, it shall be the responsibility of the principal contractor to whom the work order was originally issued, to execute the works as per the terms of the contract.

FORCE MAJEURE. Only the following conditions shall be considered for the purpose of this clause.

Natural phenomena such as floods, draughts, earthquakes, epidemics etc. Acts of any Government, domestic or foreign, such as war (declared or undeclared), priorities, guarantees, embargoes etc. The party affected by Force Majeure shall within 15 days of the occurrence of such a cause, notify the Company in writing with sufficient documentary proof.

INCOME TAX & WCT. Income Tax @ Rs.2.3% or as applicable will be deducted from the bills. W.C.T will be deducted through bill @ 2% will be deducted at source, if you are registered under WCT Act, otherwise the W.C.T. will be deducted @ 4% at source.

LIQUIDATED DAMAGES. Should the contractor fail to complete the works in the stipulated time period, he shall be liable to pay to the company the sum equal to 0.5% of the contract value (per week for the delayed portion of work) subject to a maximum of five percent as liquidated damages and subject further to Force Majeure conditions. However any delay due to non availability of shutdown will not be considered for any Penalty or as liquidated damages.

TERMINATION OF CONTRACT. The undersigned reserves the right to cancel the contract, after giving due notice to the contractor, in the event of the breach of contract in any respect.

15)

APPLICABILITY OF GENERAL CONDITIONS OF CONTRACT. Notwithstanding anything stated herein, the Companys General Terms and Conditions of Contract shall be applicable to the contract, as far as they are applicable to this contract.

FAILURE OF EXECUTION OF THE WORK For failure to execute the work as per Schedule against the order in full, within the stipulated period, the Company shall be at liberty, without further notice or reminder to the Contract to get the same work done on account of and at the risk of the contractor and the prefer a claim for the difference in price and for all expense whatsoever incurred in getting the said work done and the same shall be recovered from any payment due to the Contractor from bills or deposit or on any account such expenses will also include 15% Supervision Charges.

JURISDICTION. All disputes, differences related to the tender/contract shall be subject to the exclusive jurisdiction of Amravati District Court. Please quote your Pan No. and Tax No. in your bill for effecting the payment to the authority also please quote your PF No. and copy of the challan for previous month for effecting the CPF payment of your staff. Otherwise your payment will be delayed please note.

Special Terms And Conditions

1. No. of relays and type shall be furnished at the time of placement of confirm order. 2. During the retrofitting of relays if any additional spare / material required & which is not mentioned in price list (Schedule A) , the same shall be supplied by you at extra cost & the payment for the same will paid by MSETCL. 3. Bidder has to deliver the relays to store centre Badnera . 4. The S.E. EHV O&M CIRCLE, AMARVATI Circle, will make 100% payment for supplied relays through bank against dispatch document / MRI. Payment of retrofit will be cleared against submission of joint minutes of meeting made with engineer in charge for the retrofitted relays. 5. Delivery:- First Lot of relays shall be delivered to Store Centre Badnera within 12 weeks from the receipt of confirm order.First lot will be of value of 3 to 5 % of contract value. 6. The retrofitting (works portion) of the relays shall be completed within 6 months after the supply of relays in each case & subject to availability of shutdown / outages. 7. In case the work are not completed in stipulated period you will be liable to pay at the desecration of the competent authority a penalty up to % per week or part there of for delayed portion subject to maximum of 5% on value of the work order 8. Guarantee:- The relays should be guaranteed for a period of 12 months from the date of commissioning of the relays or 18 months from the date of supply which ever is earlier. You should replace any defective relays free of cost immediately. The guarantee certificate should be submitted along with the bill. 9. Technical skilled persons:- The contractor shall depute skilled workman for each class of work. 10. Stacking of Material :- The relays shall be delivered to store center Bandera. The material required for retrofit will be issued from the stores to respective sub stations. 11. Precaution:- All equipments line & bus are in charged condition. The contractor should take all precautions at his own cost until handing over the site to the Company MSETCL. 12. Crossing of Contract Value :- The Contractor will have to watch & ensure that, the total value of work carried out by him does not exceed the contract value. If the work/Value of contract is likely to be exceeded, the same should be brought to the notice of undersigned in writing. In such case he is not permitted to do the work without permission of undersigned. 13. Jurisdiction of Court :court shall be Amravati. For Dispute, yielding court case if any arises jurisdiction of

actual work executed by him under the supervision & measured by concerned Executive Engineer. 15. First Aid Box :- The Contractor should always Keep & Maintain First Aid Box :- for this work as safety measure. 16. Condition of Contact :- The contract is Governed by the MSETCLs general condition of contract. 17. Service Tax :- Service Tax 10.3 % will be paid extra if applicable for retrofitting work charges only. Please intimate Service Tax Registration Nos. on the Bill. 18. Accident :- If any accident occurs to your laborers skilled or unskilled compensation if any is to be paid by you only. 19. Inspection by our representative :- The concerned Executive Engineer of Engineer Incharge will be free to visit the contractors work as & when required at any time. 20. Shutdown as & when required & if possible will be arranged by the concerned Engineer In-charge. Concerned Engineer In-charge will intimate to Bidder at least 15 days in advance the program of shutdown/outage for mobilizing bidders engineer & manpower. 21.
