Company Description
The company's major product suppliers includeCovidien andJohnson & Johnson, whose productsaccount forabout 15% and10%of O&M's revenues, respectively. In addition to delivering products made by its supply partners, the distributor sells some 2,700 value products under its own MediChoice label. About 95% of O&M's sales come from the distribution of medical supplies, and most of that is attributed to contracts withacute-care hospitals, which are often represented bygroup purchasing organizations (GPOs) or integrated healthcare networks (IHNs). GPONovationis the largest client, accounting for around 35% of the company's earnings,with GPOsPremierandMedAssets(including its recently acquired Broadlaneunit) each accounting forabout 20% of sales. The company also has an ongoing exclusive supplier agreement with theUS Department of Defense. Additional clients include other government agencies and alternate health care locations such asphysician clinics, nursing homes,and surgery centers. As the health care industry has consolidated, so have the industries that serve it, andthe companyhastried to remain competitive byproviding supply chain management tools and services in addition to supplies to help its customers control costs.Its OMSolutions business unit providesoutsourcing and resource management services to acute care providers, including one-on-one consultations and physical inventory reviews. O&M's technologyofferings --many of which are managed by third party Dell Services, theIT outsourcing unit ofDell -includeOMDirect for order fulfillment; WISDOM, which allows customers to track inventory, usage, and other information to keep costs down; andPANDAC, which helps operating rooms track and control their inventory. O&Mlaunched a new division,OM Healthcare Logistics, in 2010 to offer third-party logistics servicesto suppliers seeking to lower costs by outsourcing all of their supply chain processes. The unit provides services including warehousing, repackaging, sample management, and data management services to manufacturers of medical devices and equipment. Whilethe company experiences a successful level ofrevenue and incomegrowth from greater product and service sales to existing customers, as well asthe addition ofnew clients, O&M doesn't shy away from acquisitions asanother wayto help boost sales. To help bolster its core distribution business,in 2008 O&M acquired private Midwest distributor The Burrows Companyin a deal worth about $90million. Company History
George Gilmer Minor Jr.'s great-grandfather was an apothecary and surgeon in colonial Williamsburg, Virginia. His grandfather was Thomas Jefferson's personal physician. Minor himself worked as a wholesale drug salesman in Richmond after the Civil War. In 1882 he and rival wholesaler Otho Owens partnered to form the Owens & Minor Drug Company. The company was both a retail and wholesale business, with a storefront that filled prescriptions and sold sundries, paints, oils, and window glass. When Owens died in 1906, Minor became the company's president. During the 1920s, the Owens family sold their stake in the firm. George Gilmer Minor III served briefly as the company's president in the early 1940s; his son, George Gilmer Minor IV (called Mr. Minor Jr. to differentiate him from his father), became president in 1947. In 1954 Owens & Minor installed its first computerized order fulfillment system. The following year the firm became Owens, Minor & Bodeker when it bought the Bodeker Drug Company, which was both older and larger than Owens & Minor. After 84 years in the drug wholesale business, the company entered the medical and surgical distribution business after buying A&J Hospital Supply in 1966 and Powers & Anderson in 1968. In 1971 Owens, Minor & Bodeker went public. By the end of the decade, the company had operations in 10 states. The fourth Minor to run the firm, G. Gilmer Minor III (Mr. Minor Jr.'s son), was named president in 1981 (he became CEO in 1984). Under his direction Owens, Minor & Bodeker would complete the transition from a drug wholesaler to a medical supplies distributor. In 1981 it purchased the Will Ross subsidiary of G.D. Searle (then the country's #2 medical and surgical supplies distributor). The company reverted to its original name on its 100th anniversary in 1982. By 1984 medical supplies supplanted wholesale drugs as its primary source of income. In 1988 Owens & Minor listed on the NYSE. The company passed the $1 billion revenue mark in 1990 and later sold its wholesale drug business. It extended its reach with the purchase of Lyons Physician Supply in 1993 and Stuart Medical (the #3 national distributor) in 1994. The company consolidated its warehouse operations and upgraded its computer system in 1995. To make up for losses attributed to restructuring costs and discounting prices for large accounts, Owens & Minor eliminated or reassigned jobs at several distribution centers. In 1998 it lost its biggest customer when embattled Columbia/HCA (now HCA) canceled its contract. Owens & Minor replaced this business by contracting with such providers as Sutter Health. In 1999 the company formed an alliance with drug distributor AmeriSource Health (now AmerisourceBergen) to streamline transactions with Sutter Health. In 2002 Owens & Minor launched an initiative to offer automated supply chain management services to its clients. Chairman and CEO G. Gilmer Minor III stepped down from the CEO post after 21 years in July 2005 but remained the company's chairman; Craig R. Smith, the company's former COO, was named CEO. Also in 2005, the company expanded into the diabetic direct-to-consumer supply business by acquiring Access Diabetic Supply. (That division was later divested, however.) The company in 2006 acquired the acute care medical and surgical supply business ofMcKesson Medical-Surgical, a subsidiary ofMcKesson Corporation, for $165 million.
