THIS CONTRACT OF EMPLOYMENT made on this 7th day of March 2012 BETWEEN: (1) Sense Holding, a company incorporated and existing under the laws of the Norwey, with its registered office at Kongsveien 57, N-1177 Oslo, Norway ( hereinafter referred to as the

Employer), which is the Registered Lessee of S/Y SENSE under the flag state of the Norwey (hereinafter referred to as the Yacht) (2) Vicenta N, Masangcay, a Republic of the Philippines citizen with her address at Mag-aba,Pandan, Antique 5712, Republic of the Philippines (hereinafter referred to as the Employee )

IT IS AGREED as follows 1 1.1 Job Title Stewardess The Employer engages the Employee, who hereby accepts the position on board the Yacht as Stewardess for the duration of this Contract as stated in article 3.1. The Employee shall provide such services to the Employer, appropriate to her position both on board the Yacht and ashore. 1.2 The Employee will be required to undertake the tasks set out in the relevant job description. A copy of the current job description for the position of the Employee is contained at Schedule 1 to this Agreement. The Employer reserves the right to amend this job description from time to time. The Employee may also be required to carry out such additional or alternative tasks as may from time to time reasonably be required of her. 1.3 The Employee shall be required at such locations and in such regions of the world as the programme for the Yacht requires, providing reasonable notice is given. 1.4 It is the responsibility of the Employee to maintain at her own expense any and all professional qualifications which may be required, by statute or the Employer, to perform her duties as provided for in this Contract including the medical certificate 2 2.1 3 3.1 Date of Commencement The period of employment commences on 30 May 2012. Duration of Agreement This Contract of Employment shall commence on 30 May 2012 and shall continue in effect for a period of 5 (five) years unless terminated by either party together with a 4 week termination of notice period.

Remuneration The current basic rate of pay for the Employee shall be 1,200.00 per month. This amount is net of bank charges and is payable in arrears by direct bank credit transfer on the last working day of the month.

The Employee acknowledges that she will be responsible for all income tax liabilities arising from her employment under this Agreement and hereby indemnify the Employer against any claims that may be made by the relevant authorities against the Employer in respect of any income tax or any other amounts which may be payable by the Employer relating to the Employees services hereunder.

5 5.1

Working Hours The Employee shall be required to work such hours as are reasonably required to properly fulfil her duties of employment as provided for pursuant to this Agreement

6 6.1

Holidays The Employee will be entitled to 2 (two) months paid holiday at their normal basic rate of pay, after each 8 months spent on the yacht. The holiday should be taken at a time mutually agreeable with the owner. Periods of leave should commence, and finish, on a day that the Yacht upon which she is employed is in port.

6.2

Holiday should be taken at such times as may be convenient to the Employer. The Employee must give written notice of not less than one month of their proposed holiday dates to the Employer, should the holiday period exceed 3 (three) working days. The Employer reserves the right, on receipt of the Employees notice of proposed holiday dates, to refuse to allow the Employee to take holiday on those dates. In such circumstances, the Employee will be given written notice within a period of time equivalent to the length of the leave that he has requested.

6.3

The Employee are encouraged to take as much holiday entitlement as possible to fit the Yacht and Employers schedule. She may not carry forward any days of unused holiday entitlement into the following calendar year, or claim pay in lieu of holiday save with the Employers explicit permission.

6.4

In the years of commencement and termination of employment basic holiday entitlement will be calculated pro rata. Upon termination of employment the Employee shall either be entitled to pay in lieu of any outstanding basic holiday entitlement or be required to repay to the Employer pay received in respect of holiday taken in excess of their basic holiday entitlement. In signing this Agreement the Employee authorise the Employer to deduct pay received in respect of holiday taken in excess of their basic holiday entitlement from any monies due to them on termination of their employment.

6.5

The Employer reserves the right to require the Employee to take any unused holiday during her notice period and will give them appropriate notice of such requirement.

6.6

For the purposes of calculating money in lieu of holiday due to the Employee or owed by the Employee to the Employer, one days pay shall be their annual salary (payable pursuant to clause 4 above, as reviewed from time to time) divided by 52 and then divided by the number of days in each week the Employee normally work.

7 7.1

Expenses All alcoholic beverages kept on board are the property of the Lessee and are for the consumption of the Lessee and guests only.

7.2

The Employer agrees to provide the Employee with an economy flight tickets, paid by the Employer, from Philippines to the place of embarkation and from place of disembarkation to Philippines.

8 8.1

Insurance Benefits The employment of the Employee is conditional upon the Employee holding, and continuing to hold, a valid medical certificate. In the event that the employee ceases to hold such a medical certificate the Employer shall be entitled to terminate the employment of the Employee with immediate effect.

8.2

The Employer shall take out and make available to the Employee an employers liability insurance policy.

9 9.1

Termination If the employment of the Employee is terminated by the Employer other than due to the default of the Employee, the Employee will be entitled to repatriation in the following cases: 9.1.1 9.1.2 9.1.3 9.1.4 9.1.5 when the contract expires in a country other than her country of residence at the end of a contractual or legal period in case of sickness or accident in case of yachtwreck when the Employer is no longer able to fulfil his legal or contractual obligations towards the Employee for reason of bankruptcy, sale of Yacht or change of flag 9.1.6 when the Yacht is sailing towards a war zone.

10 10.1

Employer Property The parties acknowledge that all correspondence, customer lists and records, drawings, documents, products or work products used by or developed by the Employee in the course of her employment

on board the Yacht and any other materials owned by the Owner/Lessee or used by it in connection with the conduct of its business shall at all times remain the sole property of the Owner/Lessee. 10.2 Upon termination of the employment of the Employee with the Employer for whatever reason the Employee shall forthwith return all correspondence, customer lists, drawings, documents and other papers, magnetic discs, tapes or other software storage media and all other property belonging to the Employer and /or Owner/Lessee which may be in her possession or under her control. The Employee shall not without the written consent of the Employer retain any copies. If so requested by the Employer the Employee will sign a statement confirming that she has complied with this requirement, and payment of any sums due to the Employee may be withheld until the Employee has complied with this clause 10.2. 11 11.1 Confidentiality The Employee acknowledges that she may not during or after the termination of her employment use or disclose to anyone (other than in the proper course of her employment with the Employer) any information of a confidential nature relating to the Employer or to its business or trade secrets including, without limiting the generality of the above, confidential information relating to; financial information, commercial information, sales and marketing information and trade secrets, methods of business dealing, pricing policies, business plans, unpublished financial information of all kinds, customer lists, details of supply contracts, market research and technical information (for example information about computer software) including all information relating to agents, Owners/Lessees and guests who have been on board the Yacht. 11.2 The Employee will keep confidential all information of a confidential, private or personal nature regarding the Yacht, the Employer, Owner/Lessee, guests and charterers whether or not the same shall be common knowledge amongst fellow crewmembers or the public. 11.3 The Yachts business is not to be discussed outside of the Yachts crew. Owners/Lessees name, names of guests on board, charterers on board, value and costs, specific cruising schedules etc. are not to be discussed by the Employee with any person save to the extent necessary for the performance of the Employee duties under this Agreement. 11.4 Discussing the Yachts business with the guests or charterers is not permitted. Conversations with guests must be kept on a courtesy basis, and should be as brief as necessary to be comfortable for the guest. The Employee must ensure any conversation between the guests and crew focus on the guests interest.

12 12.1

Grievance Procedures It is agreed between Employee and Employer that any grievance shall be dealt with exclusively between Employee and Employer in a timely manner and as soon as practically possible after the event.

13 13.1 13.1

Drugs and alcohol (a) The Employee is required not to be under the influence of alcohol or drugs whilst on duty. (b) The Captain will ensure that alcohol is only consumed on board by the crew when off duty and in moderate quantities.

13.2

The Employee may be requested to undergo random drug and alcohol tests to ensure compliance with clause 13.1, and a failure to submit to a test shall constitute grounds for summary dismissal.

13.3

It is the responsibility of the Employee to inform the Employer of all medication that she is taking, or may be required to take, whilst on board the Yacht and the Employer reserves the right to either suspend, or to terminate the employment of the Employee where, in the reasonable opinion of the Employer, the consumption of such drugs or medication may affect the performance of the Employees duties so that they may endanger the Yacht or the people on board the Yacht

14 14.1

Authority The Employee shall not, (except as may be necessary in an emergency situation and/or to safeguard the safety of the Yacht and those on board the Yacht and then only in so far as it is not possible to obtain the prior approval of the Employer and only in so far as is necessary to respond to such emergency situation) have any right or power to bind the Employer.

15 15.1

Variation to standard and other terms and conditions The Employer reserves the right to make reasonable changes to these and any other agreed terms and conditions of employment. Minor changes of detail (e.g. in procedures) may be made from time to time and will be effected by a general notice to the Employee. The Employee will be given written notice, before significant changes are made, unless changes in the laws of relevant jurisdictions or emergency orders issued by relevant maritime agencies require immediate change or are required by the insurers(s) of the Yacht. [Such changes will be deemed to have been accepted unless the Employer receives from the Employee an objection in writing before the expiry of the notice period.]

16 16.1

Jurisdiction This Agreement shall be governed and construed in accordance with Norway law and the parties submit to the non-exclusive jurisdiction of the Norway courts with regard to any dispute or claim under or in connection with this Agreement.

SCHEDULE 1 JOB DESCRIPTION 3rd crew member - Stewardess N.B. These instructions are intended to assist the Employees and the crew in the safe operation of the Yacht. Nothing in these instructions should be construed as relieving the Employees or crew of their responsibilities, as defined by Law or Government Regulations with which they should be familiar, or form the exercise of sound judgement.

Ensuring the welfare and comfort of all guests on board; To ensure the Yacht is kept immaculately clean and tidy both interior and exterior by a regular programme of cleaning and polishing.

Maintaining the vessel to an excellent standard To ensure the safety of all guests and staff on board the yacht, together with the yacht itself To carry out safety drills with the crew and guests at the Captains request Ensuring security and limited access to the Yacht at all times; Safeguarding the Lessees interests; Compliance with all laws affecting the Yacht; Working at such locations as the Yachts programme dictates;
