CSR activities: Your Company, as a responsible corporate entity, believes firmly in meeting its social responsibility towards the development of the underprivileged in todays society. The Tech Mahindra Foundation is the CSR arm of your Company. Your Company contributes 1% of its PAT every year to fund the CSR activities undertaken on its behalf by the Foundation. During the year 2007-08, the Tech Mahindra Foundation has made total donations of Rs. 30 Million to meet its charitable objectives. Your Company and its employees have added Rs. 84 Million to the corpus account which stands at Rs. 304 Million. Education, Girl Child The Tech Mahindra Foundation believes in the power of education to bring about a transformation in the lives of the underprivileged, besides being the essential and critical element in national development. The Foundation has focused on bringing about positive changes in the area of education for the economically disadvantaged by developing partnerships with reputed NGOs who share the Foundations vision. It also seeks out organizations which have effective vocational training programs to enable young people to advance towards a better economic future. Some of the activities undertaken by the Foundation in association with its NGO partners include providing educational support to the children of waste pickers and construction workers and to children with various physical disabilities. The Foundation has supported organizations running educational centres for slum children and seeking to improve quality of education in municipal schools. It has encouraged its partners to pay special attention to the needs of the girl child. The year under review saw the Foundation launching some innovative initiatives such as: setting up of an employability portal which will help towards personal development and training of persons with disability; the software will be developed by employees of your Company; development of an English language competence course for underprivileged school dropouts; and a scheme to improve education in Delhi Municipal schools by instituting a scheme to recognize and honour outstanding teachers (Shikshak Samman Scheme). Your Company continued its policy of donating computer hardware to schools and charitable institutions. During the year under review, your Company set up an educational Trust, Mahindra Education Foundation, along with another company from the Mahindra Group for the purpose of setting up educational college campuses to improve the availability of qualified professionals for industry.

CORPORATE SOCIAL RESPONSIBILITY (CSR) Your Company is committed to play its role as an enlightened corporate citizen and continued to earmark 1% of its Profit After Tax (PAT) every year on CSR activities. Going forward, your Company proposes to increase this contribution to 1.5% of its PAT every year. CSR activities are mainly carried through Tech Mahindra Foundation (TMF). TMF focuses on activities for Social and Inclusive Development mainly in the area of education, particularly education of the girl child. The Foundation has a corpus of Rs. 389 Million and has spent approximately Rs. 72 Million during the year under review to achieve its objectives. The Foundation seeks to make a contribution towards provision of quality education and vocational skills to the economically disadvantaged, physically challenged and other vulnerable sections of society. Women empowerment and the educational needs of the girl child are special areas of concern to TMF. Recognizing that the great majority of children from under-privileged background study in municipal schools, TMF seeks to work towards improvement of these schools. Aware that youth who have studied in vernacular schools are often handicapped in their efforts to move ahead on account of lack of English language skills, TMF is endeavoring to help them meet this challenge. During the year under review, the Foundation selected several new not-forprofit organizations spread over Pune, Mumbai, Noida, Delhi and Bangalore. It now works with 50 NGOs enabling it to reach out to many

more children, with special attention to the educational needs of such vulnerable sections as girls from economically disadvantaged minority families. TMF has made a special effort to link up with organizations making innovative use of technology to reach out to the needs of the physically, particularly visually challenged. TMF has also partnered with many vocational training institutes to give loans and scholarships which would help economically challenged but deserving students to pursue their education. TMF continued to honour outstanding teachers and principals working in the Municipal schools of Delhi. These were selected through a rigorous and independent process. Mr. Vineet Nayyar, Vice Chairman of your Company and Director of TMF distributed the awards to 30 teachers on 7th April 2010 at a ceremony attended by the Municipal Commissioner of Delhi. There is an increasing amount of interest shown by our employees to volunteer and utilise their free time to help partner NGOs of the Foundation. The ESRO (Employee Social Responsibility Options) initiative, which was launched during the year under review by your Company in collaboration with TMF has had employees presenting proposals for supporting NGOs/charitable organizations working in the fields of education, health, environment and child welfare with your Company providing financial aid to these organizations. SUSTAINABILITY As a part of a responsible business Group having a global presences, your Company has taken considerable steps in responding to the challenges of Climate Change and Global Warming and transparently reporting its Sustainability or the triple bottom line performance i.e. performance towards the environmental, societal as well as economic aspects, so as to create sustainable value for all its stakeholders. Your Company has been participating in the Sustainability Reporting of the Mahindra Group since FY 2007-08. During the year under review the 2nd Sustainability Report for the year 2008-09 was released. Both these reports were in accordance with the latest guidelines of the internationally accepted, Global Reporting Initiative (GRI). This report was assured by Ernst & Young and conforms to the highest level for reporting Sustainability performance, which is A+. This would help in consciously reducing GHG emissions and waste, as well as conserve water, bio-diversity and natural resources. Hence during the FY 09-10 concerted efforts were made to ensure that the targets are met over the committed time horizon with the following thrust areas: The new Campus at Hinjewadi near Pune, has been developed with a focus on Sustainability principles, the important ones being Renewable energy using Wind & Solar for generating electricity for the utility block. Since awareness of these challenges is a major issue, focused efforts were made to enhance the awareness of employees as well communities around which we operate by conducting simple online tests to organizing Green walkathon & Cycle rallies and training school teachers on Climate Change & Environment who in-turn educate the children on these concerns. Carbon foot-printing exercise to inventorize GHG emissions from all our business operations, under scope I, II & III emissions as per internationally accepted standards was carried out. This will enable us to baseline data on our emissions and undertake initiatives towards improving performance in this area.  Janmadhyam Joint Womens Programme For more information write to us at tmf@techmahindra.com The Tech Mahindra Foundation in collaboration with the Municipal Corporation of Delhi announces the SHIKSHAK SAMMAN AWARDS for 2010-11, to honor outstanding teachers working in Municipal schools. The scheme was launched in 2008 and aims to create public recognition of the contribution of these teachers. The scheme is so devised as to provide an avenue for further professional development of the committed teachers, encourage innovations and disseminate best practices. The awards will be in the nature of scholarships, and other appropriate incentives for professional development. The selection will be made by an eminent jury of educationists according to criteria and process designed to ensure the fulfillment of the intent of the scheme. The scheme will be coordinated by the Tech Mahindra Foundation. For the year, 2010-2011, the scheme will be open to teachers of all schools of the MCD. Twenty awards are proposed to be given in 2010-2011.Each award will consist of a cash award, TLM kit, a residential workshop and a series of capacity building programs. This year, one special award will be given for the best zone also.

It contributes 1% of its profit after tax (PAT) every year to fund its CSR activities, most of which are undertaken on its behalf by the Tech Mahindra Foundation. During the year under review, your Company has donated Rs. 90.12 Million to Tech Mahindra Foundation. The Foundation works to give concrete expression to your Companys keenness to make a meaningful and sustainable contribution to the well-being of the less fortunate members of our society. Tech Mahindra Foundation is very focused in its approach and concentrates its endeavours on providing quality education and vocational skills to vulnerable sections of the community. During the year under review, the Foundation selected several new not-for-profit organizations spread over Pune, Mumbai, Noida, Delhi and Bangalore. It now works with 45 NGOs enabling it to reach out to many more children, with special attention to the educational needs of such vulnerable sections as girls from economically disadvantaged minority families. As far as vocational training is concerned, the Foundation has made a special effort to link up with organizations making innovative use of technology to reach out to the needs of the physically, particularly visually challenged. Last year, the Foundation had reported the launch of the initiative to honour outstanding teachers and principals working in the Municipal schools of Delhi. These were selected through a rigorous and independent process. Mr. Keshub Mahindra, Chairman of Mahindra & Mahindra Limited distributed the awards to 20 principals on 22nd February 2009 at a ceremony attended by the Municipal Commissioner of Delhi. Your Company also supported the Bihar Flood Relief program launched

by Mahindra group by donating Rs. 5 Million. The employees of your Company also contributed Rs. 9.79 Million towards Bihar Flood Relief. Your Company also supports the Nanhi Kali program run by the K. C. Mahindra Education Trust. An increasing number of your Company employees is volunteering their free time to help partner NGOs of the Foundation. Your Company in collaboration with the Foundation has finalized a policy for Employee Social Responsibility Options. This initiative has been undertaken to give employees an avenue for participation in CSR going beyond the activities of the Foundation. The Tech Mahindra Foundation and in collaboration with the Municipal Corporation of Delhi announce the SHIKSHAK SAMMAN AWARDS for 2009-10, to honor outstanding teachers working in Municipal schools.The scheme was launched in 2008 and aims to create public recognition of the contribution of these Teachers.

We believe that a well conceived and implemented program can set in motion a process of motivating a larger number of teachers to excel at their job. The scheme is so devised as to provide an avenue for further professional development of the committed teachers, encourage innovation and disseminate best practices.

Selected teachers will be recognized and awarded for meritorious service. The awards will be in the nature of scholarships, and other appropriate incentives for professional development. The selection will be made by an eminent jury of educationists according to criteria and process designed to ensure the fulfillment of the intent of the scheme.

The scheme will be coordinated by the Tech Mahindra Foundation. For the year, 2009-2010, the scheme will be open to teachers of all schools of the MCD. Thirty awards are proposed to be given in 2009-2010.Each award will consist of a cash award, TLM kits and a residential training program

Foundation will be able to spend Rs 60 million in the current year which is expected to increase over the years in line with increase in the corpus. The Foundation wishes to realize its vision by creating and supporting programs that will bring about sustainable changes, aimed at the upliftment of the less privileged and socially disadvantaged, especially children and women. Tech Mahindra Foundation came into existence as an expression of understanding of these issues of social concern. By focusing on education of the under privileged Tech Mahindra foundation believes that it can develop world class human resources. The Foundation announced its tie-ups with Delhi and Maharashtra based Non Governmental Organization (NGO) and partners like Akanksha, Anawa, Godhuli and Voice who will promote programs in education which enables the children to become self-reliant and responsible contributing citizens. In the future, the foundation is looking to tie up with organizations that share its common values and have commitment, competence and integrity towards the cause.
