TRICORE, INC.; WESTCHESTER FIRE INSURANCE COMPANY, Defendants JURISDICTION AND VENUE COMPLAINT There is federal court jurisdiction pursuant to 40 U.S.C. 3131 and 3133 (The Miller Act). Venue is proper in this district pursuant to 40 U.S.C. 3133(3). PARTIES I. PlaintiffXcel Fire Protection, Inc. (Xcel) is a New Hampshire corporation registered to do business in Massachusetts, with a principal place of business at IIA Industrial Way, Unit I, Salem, Rockingham County, NH 03079. 2. Defendant Tricore, Inc. (Tricore) is a Massachusetts corporation of I 00 Sharp Street, Hingham, Plymouth County, MA 02043. 3. Defendant Westchester Fire Insurance Company (Westchester) is a Pennsylvania surety company authorized to do business in Massachusetts, with a principal place of business at 33Arch Street, 29 th Floor, Boston, Suffolk County, MA 02110. FACTS COMMON TO ALL COUNTS 4. The United States of America, acting by and through the General Services 332411JWPD 1 Case 1:12-cv-10502-DPW Document 1 Filed 03/19/12 Page 2 of 3 Administration, entered into a pnme contract with defendant general contractor Tricore for renovations to and construction of the GSA Third Floor OPM Tenant Build-Out at John Foster Williams US Coast Guard Building located at 408 Atlantic Avenue, Boston, MA (Project). 5. Tricore, as principal, and defendant Westchester, as surety, executed a payment bond required by 40 U.S.C. 3131 securing payment of labor and materials fumished on the Project. 6. Plaintiff Xcel entered into a subcontract with Tricore to fumish labor and materials for the fire protection work on the Project. COUNT ONE-CONTRACT (Tricorc) 7. Xeel repeats and realleges paragraphs 1 through 6. 8. The subcontract price was $89,000. 9. Xcel and Tricore agreed to delete certain items of subcontract work, resulting in a net deduct of $5,640. 10. Xcel completed its remaining subcontract work. 11. The total of Xce!'s subcontract work is $83,360. 12. Tricore has paid Xcel nothing. 13. Tricore owes Xcel a principal balance of$83,360, plus interest on late payments and costs. 14. Xce! demanded payment, but Tricore failed to pay. 15. All conditions precedent to the maintenance of this action have been performed. Xcel realleges paragraphs 1 through 6 and 9. 17. Xccl substantially completed in good faith its subcontract work, the fair value of which is $83,360. 18. Xeel realleges paragraphs 12 through 15. WHEREFORE, Xeel Fire Protection, Inc. demands judgment against Tricore, Inc. for its damages, plus interest, and costs. COUNT THREE - MILLER ACT (Tricore and Westchester) 19. Xeel realleges paragraphs I through 18. 20. Ninety days have elapsed since Xcel performed the last of the labor or supplied the material for which claim is made. 21. This complaint was filed within one year after Xcellast furnished labor and materials for the Project. WHEREFORE, Xcel Fire Protection, Inc. demands judgment against Tricore, Inc. and Westchester Fire Insurance Company, jointly and severally, for its damages, plus interest and costs.
