W91CRB-12-R-0028 Page 6 of 52 Section C - Descriptions and Specifications STATEMENT OF WORK C.1. SCOPE. This Statement of Work (SOW) specifies the requirements and deliverables for the U.S. Army Rapid Equipping Force (REF) for seventeen (17) Hand-Held Precision Targeting Device (HHPTD) systems to provide dismounted observers the ability to rapidly locate ground targets with better than 10-meter accuracy to allow target engagement with precision indirect fire munitions. The scope of this effort includes delivering HHPTD Operation Manuals, Quick Reference Cards, Training Materials, and performing repairs as required. Each HHPTD system shall require the use of a Selective Availability Anti-Spoofing Module (SAASM) compliant Global Position System (GPS) card which will be supplied by the Government. As an option, the contractor shall procure a Precision Azimuth /Vertical Angle Measurement module (PAVAM) that will provide all weather high accuracy capability and interface with the HHPTD systems. The contract awarded as a result of this procurement must meet all the below listed requirements and deliverables. C.2. REQUIREMENTS. C.2.1 CLIN 001, HHPTD Systems. The Contractor shall manage, build, test, and deliver (17) HHPTD systems capable of hand held operation and consisting of an internal day imager (or direct view optic), night (thermal) imager, range finder, GPS card and a non-magnetic based azimuth/vertical angle measurement module to provide dismounted observers the ability to rapidly locate ground targets with better than 10-meter accuracy to allow target engagement with precision indirect fire munitions. The system shall include a light-weight tripod to provide a stable platform for operation of the HPPTD. The HHPTD systems shall incorporate a digital magnetic compass to be utilized as a backup to the primary non-magnetic based approach. If an external PAVAM is used, as described in C.2.2, the HHPTD systems shall interface to the PAVAM mechanically and electrically, and angular data from the PAVAM shall be used in the target location calculation. The HHPTD systems shall conform, at a minimum, to the system level requirements listed in Table I. All HHPTD systems shall successfully complete all required Contractor testing prior to delivery. The Contractor shall maintain a structured approach to controlling the hardware and software configuration integrity of the HHPTD systems and maintain interchangeability of HHPTD systems. The HHPTD systems will be labeled in accordance with MIL-STD-130N. C.2.1.1 Environmental Stress Screening (ESS). The Contractor shall subject all HHPTD systems to ESS. The Contractor shall propose an ESS profile, to include failure-free verification period with RFP Submission. The contractor shall make all performance measurements taken before, during, and after ESS available to the government for on-site review at any time. The Government reserves the right to perform, witness, or verify any of the inspections deemed necessary to assure supplies and services conform to prescribed requirements. C.2.1.2 Environmental Testing Requirement. The Contractor shall subject three (3) HHPTD systems to Environmental Testing per the test methods called out in Table I. The HHPTD systems shall survive and exhibit neither damage nor degradation of performance when exposed to the environmental conditions specified in Table I. One (1) HHPTD shall be tested for Electromagnetic Interference (EMI) as called out in Table I. These systems shall be refurbished to a fieldable condition after completion of testing. The Government reserves the right to witness any or all testing at the Contractors facility. C.2.1.3 Technical and Repair Support. The Contractor shall provide technical and repair support for each government test and user assessment event. The Contractor will make a best effort to provide repair or replace capability within 24 hours. The government anticipates conducting the following specific events: system level technical testing and evaluation (approximately 1 week engineering characterization at Fallon, NV) to be conducted approximately one week after hardware delivery (2 units required); and pre-deployment training and user assessment (2 weeks at Fort Campbell, KY.) to be conducted approximately two weeks after hardware delivery (5 units required). C.2.1.4 Government Furnished Equipment. Each HHPTD system shall require the use of a Selective Availability Anti-Spoofing Module (SAASM) compliant Global Position System (GPS) card which will be supplied by the Government. The delivery date shall be determined by Program Status Review #1.

C.2.2 CLIN 002, PAVAM Requirement. As a separately priced option, the contractor shall procure external Precision Azimuth/Vertical Angle Measurement (PAVAM) modules and shall interface the HHPTD system with the external PAVAM module. Should this option be exercised, the HHPTD Contractor shall be responsible for selecting, procuring, integrating, and delivering the PAVAM modules as well providing for any adjustments of the interface as required. This interface shall become Government property. The PAVAM shall have an accuracy of 4 mils (probable error) at 60 degrees North/South latitude or less, and shall meet this requirement in less than 4 minutes after power is applied. The PAVAM shall meet these requirements at times when celestial azimuth measurement is not available, at a minimum. When the PAVAM is attached to the HHPTD, the system shall meet the TLE requirement in table I. The PAVAM may be evaluated for environmental requirements by design analysis or prior testing. The PAVAM shall have a mounting interface to the lightweight tripod provided with the HPPTD, or alternatively, may be an integrated tripod/PAVAM unit in lieu of the light-weight tripod. C.2.3 CLIN 003, Not separately priced data requirements. Data items listed below shall be submitted to the Government via electronic media (on-line access, e-mail, compact disc, etc.). The format shall be Microsoft Word for text documents, Microsoft Excel for spreadsheets, Microsoft Power Point for graphics presentations, Microsoft Project for schedules, and Pro/Engineer for Drawings, unless otherwise specified in subsequent sections of this SOW. Use of Adobe format is permitted when required to facilitate delivery, however is not preferred. C.2.3.1 Program Management Reviews. The minimum required reviews shall be as follows and address schedule, funding and cost status, risk management, and progress. Briefing materials shall be provided for each review. C.2.3.1.1. Post Award Review to be conducted no more than 14 calendar days after contract award. C.2.3.1.2. Status Review #1 to be conducted no more than 60 calendar days after contract award. C.2.3.1.3. Status Review #2 to be conducted no more than 135 calendar days after contract award. C.2.3.2 Integrated Master Schedule. The Contractor shall prepare and maintain an integrated master schedule (IMS). Minimum requirements for the IMS shall include: all reviews, material and subcomponent timelines, fabrication, assembly, integration, test, delivery order deliverable timelines, logistic support scheduled events, field support events, training, and program reviews. The contractor shall maintain currency within one week. The contractor shall report any schedule variances affecting the critical path to the government for review of the impacts, and proposed corrective action. The contractor shall include the IMS as an agenda item at each government attended Status Review. The IMS shall be readable using Microsoft Project. A version of the IMS shall also be provided in Microsoft Power Point for briefing purposes. C.2.3.3 Monthly Status Report. The Contractor shall prepare and submit a monthly status report in contractor format. Content of the report shall include but is not limited to the IMS, risk tracking, planned/actual funding level as well as production status. The Monthly Status Report shall be delivered within 10 days after the end of each month, beginning the month following contract award. C.2.3.4 HHPTD Test Plan. The Contractor shall prepare and submit a Test Plan for the HHPTD system testing for Government approval at least 60 days prior to the beginning of scheduled tests. The Test Plan shall identify the tests, test sequence, and test schedule that will be conducted to address the performance requirements in Table I of this SOW. The Test Plan shall also identify the acceptance test approach that will be used to demonstrate compliance with the performance requirements prior to, during, and after the contractor test. C.2.3.5 Test Procedures. The Contractor shall prepare and submit to the Government test procedures for concurrence at least 30 days prior to the beginning of the scheduled tests in compliance with the HHPTD Test Plan. Any modifications to the agreed to procedures shall be concurred with in writing by the Government prior to being implemented.

W91CRB-12-R-0028 Page 9 of 52 C.2.3.6 Test Reporting. While Contractor testing is ongoing, the Contractor shall provide to the Government in electronic format a weekly overview of the most recent activities. Upon completion of Contractor testing, the Contractor shall prepare and submit a test/inspection report to the Government for approval. The Test Report shall reflect the test results, to include raw data, compiled and calculated data, and conclusions. The report shall address all testing performed and all failures encountered. C.2.3.7 Failure Analysis and Corrective Action Report (FACAR). For each failure that occurs during Contractor testing, the Contractor shall notify the Government within 48 hours, and prepare and submit to the Government a FACAR within 15 working days of failure occurrence. The Contractor shall prepare and submit each FACAR input in Contractor format. The FACAR shall include a summary of the analysis and identify root cause and the corrective action for all materiel affected; the remainder of the content shall be as agreed on by the Government. The FACAR shall not be considered closed until the Government has concurred on the report. Failures occurring during Government conducted testing are also subject to this requirement. C.2.3.8 Manuals and Training Material. The Contractor shall be responsible for providing Operator Manuals, Quick Reference Cards, Training Materials, field replaceable spare and repair parts in support of the Government testing and user assessments of the HHPTD systems. Written materials may be in contractor format and shall be provided on computer readable media (on compact disc, through e-mail, or through internet access) and as printed copies. At a minimum, one printed copy each of the Operator Manual and Quick Reference Card will be provided with each HHPTD system. Three printed copies each of the Operator Manuals, Quick Reference Cards, and Training Materials shall be provided to the REF. C.2.3.9 Safety Assessment Report (SAR). The Contractor shall prepare and submit a Safety Assessment Report (SAR) which evaluates the safety risk being assumed prior to test or operation of the system. In the SAR, the Contractor shall identify all safety features of the system hardware and software design, specific controls or precautions to be followed in the use of the system; and shall provide verification of compliance to safety requirements identified in the system specification. The SAR shall be prepared in compliance with MIL-STD-882D. The SAR shall be completed within 6 months of contract award. C.2.4 CLIN 004, Repair Support. The Contractor shall be responsible for providing one year of repair support for the HHPTD systems. The starting date shall be the day after the first system delivery to the Government. The Contractor shall be required to establish and maintain a management system for the repair and return of deployed HHPTD systems in conjunction with Product Manager Soldier Precision Targeting Devices (PM-SPTD). The Contractor shall be required to maintain storage control of two (2) of the procured HHPTD systems in a ready state as replacement systems for a failed deployed system. The contractor shall respond by acknowledgement to PMSPTD within 24 hours of a repair action request. The contractor shall ship a stored ready state HHPTD unit within 48 hours of repair action request to PM-SPTD. If subcontractors are used in the performance of this contract, several factors must be considered. All retrograde HHPTD systems will be managed by PMSPTD and shipped to the address provided in Section F. D.2 Packing and preparation for transportation. D.2.1. The Contractor shall enclose a company generated packing list with each pallet or container, as applicable. Serial numbers must be verified and placed on the outside of the box as well as on the packing list. The packing list must contain the Contract Number used to procure the products and the serial numbers for each system. Additionally, the Contractor shall supply a component list for each serialized system on the contract. D.3. The Contractor shall use Wide Area Work Flow (WAWF) to enter contract data that Government will verify and sign upon completion of inspection/acceptance reference government equipment D.4 The REF Transportation section will provide the Contractor with Transportation Control Management Documents (TCMD), RFID tags (if applicable) and Military Shipping Labels for the Contractor to affix to shipping containers or pallets. D.5. If palletizing is practical for quantity delivered, Contractor shall palletize as follows: D.5.1. Items must be palletized on a 48x 40 pallet not to exceed 64 height. D.5.2 Pallets must be shrink-wrapped in clear see-through plastic. D.6 The Contractor shall post the destination address, provided by the REF, to all four sides of each pallet/container. Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture. Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan; (2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization; (3) Consist of providing goods or services to marginalized populations of Sudan; (4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization; (5) Consist of providing goods or services that are used only to promote health or education; or (6) Have been voluntarily suspended. Sensitive technology-(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically-(i) To restrict the free flow of unbiased information in Iran; or (ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(3) If paragraph (k)(1) or (k)(2) of this clause applies (i) If the offeror does not certify to the conditions in paragraph (k)(1) or (k)(2) and the Contracting Officer did not attach a Service Contract Act wage determination to the solicitation, the offeror shall notify the Contracting Officer as soon as possible; and (ii) The Contracting Officer may not make an award to the offeror if the offeror fails to execute the certification in paragraph (k)(1) or (k)(2) of this clause or to contact the Contracting Officer as required in paragraph (k)(3)(i) of this clause.

W91CRB-12-R-0028 Page 48 of 52 Section L - Instructions, Conditions and Notices to Bidders INSTRUCTIONS TO OFFERORS 1. Every offeror must submit a written proposal in accordance with the following instructions. Written proposals are to be submitted in hard copy in three (3) separate parts, one for each Part. Each part shall be properly identified, dated and numbered (e.g. Part 1 Technical, etc.) and clearly indexed, logically assembled and tabbed. Each part shall contain clearly identified sections and all pages shall be appropriately numbered and identified by the complete company name, date and solicitation number in the header and/or footer. 2. Proposals shall remain valid for a period of at least 120 days from the closing date of the solicitation. In order to reduce proposal size, offerors shall submit only essential matters sufficient to clearly present their approach and provide an adequate basis for evaluation. Proposals shall be limited to the number of pages as outlined below for each Part. A page printed on both sides will be counted as two (2) pages. Pages containing text shall be typewritten, on 8-1/2 X 11 inch paper. Drawings or other graphics should be reduced only to the extent legibility is not lost. Each page shall be single spaced with a minimum of twelve (12) point Times New Roman font and one (1) inch borders. Within tables and graphics, a minimum of ten (10) point Times New Roman font shall be utilized. The cost/price proposal does not have a page limitation. The offerors proposal along with their subcontractors shall be delivered together in the same package. The Government will consider how well the offeror complied with these instructions when evaluating the offerors capability to perform the prospective contract. Offerors are advised to ask the Contracting Officer for clarification of any part of these instructions that they do not understand. Proposal Contents: Proposals shall consist of the following Factors: Factor 1. Technical: The Technical volume shall not exceed 25 total pages. The Technical volume shall include the following sections (approximate pages per section shown in parenthesis): technical performance in meeting SOW minimum requirements characteristics (14), schedule (1), quality (1), logistic support (1), testing support (2), Subfactor A Delivery (1) , and Subfactor B Small Business Participation/Subcontracting Plan (5). Offerors are responsible for including sufficient details, in a concise manner, to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked. The technical evaluation will be a determination as to whether the proposed product meets all of the specifications set forth in the statement of work. The technical evaluation will be based on information furnished by the offeror. The Government is not responsible for locating or securing any information, which is not identified in the proposal. To ensure sufficient information is available, offerors must furnish as part of their proposal all descriptive material such as cuts, illustrations, drawings, or other information necessary for the Government to determine whether the proposed product meets the performance characteristics and specifications of the requirement. No pricing information shall be included in the technical proposal submission. Subfactor A Delivery: Each offeror shall propose in accordance to the delivery schedule in Section F. The offeror shall address the delivery schedule requirements for each CLIN and state whether the required delivery period in days ARO will be met. Subfactor B Small Business Participation/Subcontracting Plan: (1)Each offeror shall submit a Small Business Participation Plan with goals it believes can be achieved. The objectives contained therein will be based on total contract dollars and the plans will identify goals for all socioeconomic category businesses. (2) Small Business Subcontracting Plan (if required): Each large business offeror will submit a plan that meets, at a minimum, the following goals based on total subcontract dollars: Type Goal

The percentage for Small Businesses (35%) is an overall minimum for all of the categories of businesses in the table above when combined. For instance, Service Disabled Veteran-Owned should receive 5% of total subcontract dollars, not 5% of the 35% going to Small Businesses. The plan shall be in accordance with FAR 52.219-9 and DFARS 252.219-7003. There are no page limitations on the Subcontracting Plan and Small Business Participation size. Factor 2. Past Performance: The Past Performance volume shall not exceed five (5) total pages. The Past Performance volume shall describe past performance and development of targeting devices that specifically involve precision targeting devices. List performance levels, schedule timelines and knowledge of GPS/laser certification processes required for fielding hardware. Offerors must submit recent and relevant past performance information within the last six (6) years. Past Performance information shall include contract numbers, contracting agency, point of contact (including telephone numbers and email addresses), and a brief description of the work performed. Offerors are reminded that both independent data and data provided in their proposals may be used to evaluate past performance. The Government does not assume the duty to search for data to cure problems it finds in proposals. The burden of proving acceptability remains with the offeror. Proposals that do not contain the information requested by this part risk rejection by the Government. Factor 3. Price: The offeror shall also fill in Section B for all CLINs. All pricing information shall be confined to the cost/price proposal. Department of Defense Support Contractors will serve as non-voting advisors during the evaluation process. Contractors may be from the following companies: Reger, The Wexford Group International, CACI, AND General Dynamics. Award will be based on Lowest PriceTechnically Acceptable in accordance with FAR 15.101-2. The Government reserves the right to award to an offeror whose proposal addresses all of the solicitation requirements, and which is evaluated overall as Technically Acceptable. In order to be considered Technically Acceptable the vendor must meet the technical specifications of the Statement of Work, receive a passing rating in past performance and meet the required delivery schedule. Discussions are not anticipated; however the Government reserves the right to conduct discussions if necessary. Selection of an offeror for award will be based on an evaluation of three factors. The three (3) Factors are: Technical, Past Performance and Price. The Government reserves the right to award without discussions with the offerors. Therefore, offerors will be cautioned to ensure that their initial proposals contain all necessary information and are complete in ALL respects. 1. FACTOR 1 TECHNICAL RATING: The overall rating for Technical (Factor 1) will be expressed as pass/fail. In order to be considered Technically Acceptable the contractor must receive a passing rating for Factor 1. Subfactor A Delivery: The proposed delivery meets or exceeds the specified delivery requirements set forth in the Section F. FACTOR 2 - PAST PERFORMANCE RATING: The evaluation team will evaluate past performance (Factor 2) with a risk assessment (low, medium/high, or unknown) that addresses the degree to which prior contracts demonstrate effective application. Risk associated with past performance will be rated as follows: Low Risk. Based on the offerors performance record, little or no doubt exists that the offeror will successfully perform the required effort. Medium/High Risk. Little or no relevant performance record identifiable; an unknown performance risk has no positive or negative evaluation impact. 3. FACTOR 3 PRICE RATING: Price will be evaluated to determine whether the offeror understands the requirements. In addition, Price will be evaluated to determine the feasibility of performing all the terms and conditions of the offer within the total price proposed by the offeror. Techniques and procedures described under FAR 15.404-1(b), and as supplemented, will be the primary means of assessing proposal reasonableness. Evaluation techniques described under FAR 15.404- 1(c) may also be performed in further determining the reasonableness and affordability of the proposal.

BASIS FOR AWARD: Award will be made to the offeror who recieves a passing rating for Factor 1 and a low risk rating for Factor 2 and whose evaluated cost is the lowest. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.
