The Mini-DV tapes / negatives remain the property of Jace Media, except if other arrangements have been made. Fully un-edited materials can be bought at an additional charge. LIEN Jace Media shall have a lien on clients property in the possession of Jace Media to secure payment of outstanding invoices. STORAGE Customers property is received, processed, and stored by Jace Media solely at the customers risk. Jace Media shall not be liable for loss, damage, or destruction of such property, or for delivery delays. In no event shall Jace Media be liable for more than the replacement value of the customers raw stock. Jace Media will store customers materials for a period of up to 60 days after conclusion of work (upon customers request). Within 30 days after written notification from Jace Media, customer agrees to remove, at customers expense, all materials in storage. In the event the customer does not remove such materials, Jace Media shall have the right to destroy or otherwise dispose of such material without liability to Jace Media or any other person. Customer agrees to indemnify and hold Jace Media harmless from all liability arising out of or connected with Jace Medias destruction or disposition of such materials. It is the customers responsibility to notify Jace Media of any change in the customers address. CUSTOMER SUPPLIED MATERIALS If customer supplies old and/or imperfect materials to be used by Jace Media in producing specific goods or services, Jace Media will not be responsible for the quality resulting from the use of such materials. TERMS Terms are C.O.D. unless credit has been established. Established accounts will be billed net 30 days. Service charges of 1.5% per month shall accrue to accounts outstanding more than 30 day. Jace Media retains ownership of all edited and source video tapes until payment for the production of these materials is received in full. SALES TAX All rates are subject to applicable sales tax unless a valid MA State Sales Tax Exemption Certificate is presented to Jace Media for its records. DEPOSIT All deposits are to be made prior to any work performed for client. Jace Media reserves the right to a DEPOSIT of 50%. On confirmation of deposit, reservation will be confirmed. SPECIAL arrangements can be made for deposit payments in writing. All bookings are made on a FIRST DEPOSIT PAYMENT, FIRST BOOKING basis. In the event that the booking is cancelled or not honoured by Jace Media or its representatives the full deposit is REFUNDABLE by Jace Media and or its representative to this contract. Deposit will be deducted from the final bill. CANCELLATION Cancellation Policy (unless otherwise agreed in writing): Cancellation within four (4) full business days of the scheduled work will result in a charge of 25% of the deposit for services and equipment scheduled. Cancellation within three (3) full business days or less of the scheduled work will result in a charge of 50% of the deposit for services and equipment scheduled (Business days are Monday through Friday and do not include Saturdays, Sundays or Holidays). Additionally, in the event of cancellation, Jace Media will be entitled to compensation for services performed and materials furnished up to the time of cancellation in accordance with Jace Medias established rate card charges. Jace Media will also be entitled to reimbursement for any and all expenses incurred resulting from and relating to this cancellation.

OFFICE HOURS Our office hours are 9:00 AM- 5:00 PM Monday - Friday. RETURNS / REFUNDS Since each order is unique to customer and has no re-sale value, All Sales Are Final. If we verify that we made an error, we will re-print the order. NO REFUNDS OR CREDIT. Customer must notify Roman Marketing Group within 6 business days of order acceptance to notify any defects discovered in the ordered product or the claim will be denied. In order to receive replacement Customer must return 100% of the received product within 15 days (on their own expense) from the time when the ordered product delivery was taken. All charges related to expedite printing (Rush Design, Printing or Shipping) are NOT REFUNDABLE, including for those orders that are returned for any reason. RIGHTS AND OWNERSHIP All tangible materials in all circumstances remain the property of Roman Marketing Group. All rights and ownership apply to preliminary concepts, works in progress, and finished material, whether the project is completed or canceled. The Client will be entitled to limited and specific usage rights of such materials only for the purpose of reproduction, after which all materials will be returned, unaltered, to Roman Marketing Group within thirty (30) days of use. Upon Clients payment of all fees and expenses, Roman Marketing Group will grant all reproduction and/or usage rights for all approved final materials created by Roman Marketing Group for this project. If the Client wishes to make any additional use of the materials, the Client agrees to seek permission from Roman Marketing Group and make such payments as are approved by the parties at that time. Where alterations or retakes are necessary, Roman Marketing Group will be given the opportunity to make such changes at an agreed additional charge. TAGLINES Roman Marketing Group reserves the right to tag all orders 2x6 or larger. You may request to have it removed for a cost of $50 per file. CUSTOMER CONTENT You understand that all information, data, text, photographs, graphics, messages or other materials (Content) are the sole responsibility of the person from which such Content originated. This means that you, and not Roman Marketing Group, are entirely responsible for all Content that you use form Roman Marketing Group gallery or send, upload, post or transmit via the Service. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. We DO NOT make any changes on customer files. Minimum charge for typesetting and design is $45.00. INDEMNITY By submitting the above document to Roman Marketing GroupI agree to the following terms. I have verified that spelling and content are correct. I am satisfied with the document layout. I understand that my document will print EXACTLY as it appears here, that I cannot make any changes once my order is placed and that I assume all responsibility for typographical errors. CUSTOMER SUBMITTED ARTWORK OR GRAPHICS All artwork or designs and images must be provided in CMYK format. Roman Marketing Group is not responsible for any color shift that occurs in conversions from RGB to CMYK color modes. All artwork, designs and images must be provided in minimum of 350 DPI and CMYK color mode. Roman Marketing Group is not responsible for images printed as fuzzy, distorted or pixilated due to customer provided artwork. COLOR PROOFING & MATCHING Roman Marketing Group is not liable for color matching or ink density on screen proofs approved by the customers. Screen proofs will predict design layout, text accuracy, image proportion and placement, but not color or density. Application of UV Coating may affect or change the appearance of the printed colors. Roman Marketing Group is not liable for the final color appearance of a UV product/s. ORDER CANCELLATION Roman Marketing Group will be happy to help you cancel your order prior to Approval. However, orders may be eligible for cancellation upon request via e-mail. Our Customer Service Team will inform you of any cancellation charges depending on the stage of the order. If job is canceled any labor hours (proof, graphics design, etc.) or administrative fees (credit cards fees, etc.) will be subtracted from your refund. Minimum is $25 (25%-60% of total transaction) Once the order has been placed successfully, No Refunds are issued for the Logo and Graphic design services. Roman Marketing Group is not responsible for any duplicated orders that are placed on our web site due to the customer mistake. ORDER SHIPPING AND DELIVERY Roman Marketing Group will always act to make sure that any production difficulties do not delay delivery schedules. In no case shall Roman Marketing Group be liable for any consequential or damages resulting from any delay in shipment or delivery. All Roman Marketing Group customers agree not to hold Roman Marketing Group liable for delays in shipments caused by weather conditions, shipping company delays, international customs issues or any other circumstances beyond Roman Marketing Groups direct control. Roman Marketing Group shipment and delivery dates are calculated based upon estimates provided by our suppliers. Roman Marketing Group will always act to make sure that delivery schedules are met. However, unexpected equipment failure, malfunction and or technical problems may delay the printing process. In case of delay caused by technical difficulty, rush charges/fees will be refunded or waived where applicable. However, technical difficulty will not be the grounds for order cancellation. SHIPPING ERRORS & LOST PACKAGES Lost or damaged claims can only be filed for shipments over $50.00 in value and can only be done after 30 days from package shipment. Roman Marketing Group is not responsible for 3rd party shipping errors, omissions or damaged shipments. CUSTOMER SUPPLIED INCORRECT ADDRESS When a package is not delivered due to an error made by the customer in submitting the proper shipping address, Roman Marketing Group will reship the package with corrected address and charge an additional shipping fee for the shipment. We reserve the right to refuse service without disclosing a reason. Billing Penalties There will be a $45 charge for all returned checks. Will Call Will Call orders will be kept for 30 days from the delivery of the notification phone call. Orders left at ROMAN MARKETING GROUP for more than 30 days will be considered abandoned and be recycled.
